BYLAWS

OTTAWA TOWNSHIP HIGH SCHOOL BOOSTER CLUB

Article I

Name

The name of this organization shall be the Ottawa Township High School Booster Club, hereinafter called the Booster Club. The mailing address shall be OTHS Booster Club, c/o Ottawa Township High School, 211 East Main Street, Ottawa, Illinois 61350.

Article II

Basic Purpose and Objectives

The basic purpose of the OTHS Booster Club shall be to enhance IHSA sanctioned programs at Ottawa Township High School by fulfilling these objectives:

-Encourage acquaintances and friendships among the parents of students attending Ottawa Township High School and other interested persons.

-Interest Ottawa Township High School students in the enjoyment, appreciation, and participation in IHSAsanctioned activities.

-Solicit the interest and support of the citizens of the community in activities at Ottawa Township High School.

-Provide supplementary financial aid in the support of the IHSAsanctioned activities at Ottawa Township High School.

-Promote activities which will recognize individual and group accomplishments at Ottawa Township High School.

It is assumed that Ottawa Township High School is staffed by competent people who are expected to be more qualified in this field than the officers or general membershipof the Booster Club, and no interference in these programs is intended.

Article III

Membership and Dues

Section 1 Membership in the Booster Club shall be open to any person subscribing to the purpose and objectives as outlined in Article II.

Section 2 Annual dues of the Booster Club shall be determined at an all-member meeting by a simple majority.

Section 3 A member is defined as one who has paid yearly dues. An active (voting) / member is one who has attended at least half the meetings to date, September through August.

Article IV

Meetings

Section 1 All-member meetings are to be held monthly throughout the year, at such time and place designated by the officers, traditionally, the second Wednesday of each month.

Section 2 Special meetings may be called by the President, by a majority of officers, or upon written request to the officers, by five percent of the active membership of the club, specifying the purpose of the meeting and giving reasonable notice of the meeting. No business shall be transacted at specially called meetings except that for which the call is issued.

Section 3A quorum shall consist of at least the following: 10 active members and 3 officers.

Section 4 Meetings shall be conducted according to Roberts Rules of Order Revised.

Article V

Officers

Officers or co-officers of the Booster Club shall include:

a) The President, Vice-President, Secretary, and Treasurer, or co-officers, all of whom will hold office for one year, or until their successors are elected and installed; and

b) the immediate Past-President who will serve a one-year term as an officer on a non-elected basis.

Article VI

Duties of Officers

President The President shall be the principal executive officer of the Booster Club. He or she shall preside at all meetings of the Booster Club and shall appoint all necessary committees.

Vice-PresidentIn the absence of the President or in the event of his or her inability or refusal to act, the Vice-President shall perform the duties of the President, and when so acting, shall have all the power and authority of the President. He or she is the President's representative on all committees and charged with the responsibility for motivating the committees.

Secretary The Secretary shall faithfully keep the minutes of all meetings in a book regularly provided for such purposes, shall keep a register of active members, shall be the custodian of all records of the Booster Club, except those kept by the Treasurer, and shall perform such other duties as may be assigned by the President.

TreasurerThe Treasurer will keep the records of all financial transactions of the Booster Club and make available such records upon the request, at any time, of any officer. He or she will make a report of the finances of the Booster Club at all meetings. The Treasurer will establish and maintain a banking account, and make all authorized expenditures. The Treasurer's signature will normally appear on each check; however, any other elected Officer may sign the check in absence of the Treasurer. Checks written for $1,000 or more require signatures of two Officers from different families.

Past President The Past President will serve for one year following his last term as President in advisory capacity to the President.

Article VII

Elections

Section 1 The annual election of Officers shall be held at the regular meeting held in April of each year. Officers shall assume their duties at the July meeting. Elections shall be by ballot vote.

Section 2No later than 30 days prior to the April meeting, the president shall appoint a nominating committee of no fewer than five members of the Booster Club to make nominations for the election of Officers at the April meeting. Nominations from the floor will also be accepted at the April meeting.

Section 3 Any active member will be eligible to serve as an Officer.

Section 4No one shall be nominated whose consent to serve has not first been obtained.

Article VIII

Standing Committees

Standing committees will be:

Membership CommitteeThe function of this committee will be to solicit and establish an active membership.

Activities Committee The function of this committee will be to organize and promote activities designed for the purpose of fulfilling the objectives and purposes of the Booster Club as stated in Article II.

Fund Raising Committee The function of this committee will be to raise funds necessary to accomplish the objectives and purpose as stated in Article II.

Publicity Committee The function of this committee will be to publicize in periodicals and other methods deemed appropriate the activities of the Booster Club, and to thereby assist in informing the membership and general public of the activities and promotions of the Booster Club.

Finance Committee The Past-President and present officers will form the Finance Committee. Any emergency expenditure up to $500.00 can be approved by majority vote of this committee.

Nothing within these by-laws should be construed to prevent any officer from serving as chairman or member of any committee, if so appointed.

Article IX

Amendments

These by-laws may be altered or amended at any regular or special meeting of the Booster Club by a two-thirds vote of the active members present provided such alteration or amendment shall have been submitted to the Booster Club at least one month prior to said meeting.

Article X

Dissolution

Section 1 The Booster Club may be dissolved at any time by a two-thirds vote of all members present at a special meeting called for that purpose by the officers, provided notice of such meeting is announced in the local newspaper at least ten days preceding such meeting.

Section 2In case of dissolution, the Booster Club shall, after payment and discharge of all debts, obligations, and liabilities, distribute the then-existing assets to Ottawa Township High School, or if non-existent, to such other organization as may succeed Ottawa Township High School.

Amendment I

Ottawa Township High School Boosters Club is organized exclusively for charitable, religious, educational and scientific purposes, including, for such purposes, the making of distributions to organizations that qualify as exempt organizations under section 501(c) (3) of the Internal Revenue Code, or corresponding section of any future federal tax code.

No part of the net earnings of the organization shall inure to the benefit of, or be distributable to its members, trustees, officers, or other private persons, except that the organization shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth in the purpose clause hereof. No substantial part of the purpose of the organization shall be the carrying on of propaganda, or otherwise attempting to influence legislation, and the organization shall not participate in, or intervene in (including the publishing or distribution of statements ) any political campaign on behalf of any candidate for public office. Notwithstanding any other provision of this document, the organization shall not carry on any other activities not permitted to be carried on (a) by an organization exempt from federal income tax under section 501(c) (3) of the Internal Revenue Code, or corresponding section of any future federal tax code, or (b) by an organization, contributions to which are deductible under section 170(c) (2) of the Internal Revenue Code, or corresponding section of any future federal tax code.

Upon the dissolution of the organization, assets shall be distributed for one or more exempt purposes within the meaning of section 501(c) (3) of the Internal Revenue Code, or corresponding section of any future federal tax code, or shall be distributed to the federal government, or to a state or local government, for a public purpose. Any such assets not disposed of shall be disposed of by the Court of Common Pleas of the county in which the principal office of the organization is then located, exclusively for such purposes or to such organization or organizations, as said Court shall determine, which are organized and operated exclusively for such purposes.
