RESOLUTIONS NO. 2/2017

BOARD MEETING

MILLENNIUM CHALLENGE ACCOUNT – NIGER

DATEDAvril 28, 2017, 09 AM

The following resolutions (hereafter "Resolutions") were adopted by the Board of Directors (the "Board") of the Millennium Challenge Account-Niger ("MCA-Niger") during the ordinary meeting held at the time and date indicated below.

CONSIDERING that the Government of the United States of America, represented by the Millennium Challenge Corporation ("MCC") and the Government of Niger (the "Government") have entered into a Millennium Challenge Compact, dated July 29, 2016 ( the "Compact");

CONSIDERING that the Government of the United States of America, represented by MCC and the Government, entered into a Program Implementation Agreement, (the dated July 29, 2016"Program Implementation Agreement");

CONSIDERING that the Government, by Decree No. 2016-706 / PRN, dated December 23, 2016, established MCA-Niger as the controlling and managing body for the implementation of the Compact ("Decree");

CONSIDERING that until the Director General of MCA-Niger is engaged, the Millennium Challenge Program Coordination Unit ("UC-PMC") will continue to be the transitional entity responsible for facilitating the implementation of the Compact;

CONSIDERING FINALLY that the Board meeting has been regularly convened and that a quorum has been duly reached in accordance with the provisions of Section 3.12 of the Bylaws of MCA-Niger;

CONSEQUENTLY, the Board after approving the agenda of the meetingand reviewing and discussing all available documents, and following the presentation of the National Coordinator of the UC-PMC,APPROVES AND ADOPTS THE FOLLOWING RESOLUTIONS:

RESOLUTION N° 1:

The Board approves and adopts the Procurement Plan for the Compact Development Fund (“CDF”) for the period starting December 2016 to March 31, 2017;

RESOLUTION N°2:

The Board approves and adopts the contract for the MCA-Niger Procurement Agent;

RESOLUTION N°3:

The Board approves and adopts the contract with UNOPS to serve as a project management consultant for MCA-Niger;

RESOLUTION N° 4:

The Board approves and ratifies all other previous actions, in accordance with Article 13 of the Decree, and assumes all rights and responsibilities pertaining to the contracts and other obligations previously approved and executed by the UC-PMC National Coordinator, including the Fiscal Agent Agreement;

RESOLUTION N°5:

The Boardacknowledges the Grantand Implementation Agreement (“609(g) Agreement”)and approves the expenditures made under the 609(g) Agreement;

RESOLUTIONS N° 6:

The Board acknowledges the initial disbursement requests for the 609 (g) funds and the Compact Development Funds (CDF) for MCA-Niger and authorizes the National Coordinator of UC-PMC to sign disbursement requests once the document(s)arepresented.

RESOLUTION N° 7:

The Board approves and authorizes the National Coordinator of the UC-PMC,and once engaged, the Director General of MCA-Niger, to approve and sign disbursement requests;

RESOLUTION N° 8:

The Board:

(a)Authorizes the Chairman of the Board to sign MCA-Niger contracts when the National Coordinator of the UC-PMC has any conflict of interest, prior to hiring the Director General of MCA-Niger ;

(b)Authorizes the National Coordinator of UC-PMC to sign all other contracts until the Director General of MCA-Niger is hired, providing that the Board is informed of these contracts after every signature;

RESOLUTION N° 9:

(a)Each member of the Board has received sufficient notice for the first Board meeting; and

(b)The members of the Board and the National Coordinator of MCA-Niger are fullyauthorized andinstructedto draw up documents,effect signatures, andtake appropriate actions with the sole purposeof achieving thegoals and objectives of the Resolutions within the term limits as designated in their respective competencies.

The agenda of the second day being exhausted, the meeting was closed by the chairman.
