About organizing a state non-profit organization
According to the 9th article of the RA law ‘’About State Non-Profit Organizations’’, the RA government resolves:
1) Central state archives attached to the RA Ministry of Culture, youth issuess and sports and service of state archives (henceforth: state institutions), according to appendix 1, reorganize by means of uniting, into National archive of Armenia non-profit organization (henceforth, state organization).
The state organization is the legal successor of state institutions, according to the assignment act.
11) To reorganize by means of uniting, state archives of Yerevan and of the RA regions and the state organization, uniting state archives of Yerevan and of the RA regions with the state organization, according to the 2nd appendix.

12) To reorganize branches of state organization, according to appendix N3 and to organize area representations of state organization, according to appendix N4.
13) To assign the legislation of state organization, according to appendix N5.
2) The objects and aims of state organization activity are the maintenance, registration, supplementation, usage, publication of historical-cultural heritage the RA archive document collections.
3) The state organization, according to the law or basic resolution, as defined implements the following kinds of entrepreneurial activity: publication of archive documents, provision of document copies, archival service provision to natural and legal persons, restoration and bookbinding of documents and literature, preparation of archive boxes and insurance copies of documents.
4) To define that property viewed as state property of administration of former archive keeping board attached to the RA government and that of state institutions are handed to
the state organization with the right of ownership (except buildings, constructions, property 10.000 times more than minimum wage and historical-cultural property) with the initial cost of 83559426 AMD.
To attach to state organization for its term less and gratuitous usage blocks and constructions in address-Yerevan, 5 H.Kochar str., with the surface of 8945 sq. m., the initial cost of which is 63365194 AMD, depreciation is 15578097 AMD, residual cost is 47787097 AMD, the block in address 59/3 Marshal Baghramyan str., with the surface of 3700 sq. m., the initial cost of which is 21332850 AMD, depreciation is 7039840 AMD, residual cost is 14293010 AMD, and the underground archive in address 25a Tbilisyan highway, with the surface of 7200 sq. m., the initial cost of which is 182558530 AMD, depreciation is 76538432 AMD, residual cost is 106020098 AMD, as well as historical- cultural property and property 10.000 times more the minimum wage with the condition of their usage adequate to their objectives, signing a consequent contract with the RA Ministry of State property government.
5) To preserve for the RA Ministry of Area Government points c, e, q of the 2nd part of the 13th paragraph of the RA law ‘’About non-profit organizations’’ and authorizations assigned by the 14th paragraph.
6) To finance the activity of state organization as defined by the RA legislation.
7) Profit, arisen during the entrepreneurial activity of state organization, is used as defined by its legislation for its objectives for the following aims:
a) Acquisition of property and materials providing the implementation of working process of state organization.
b) Introduction of information about archive collection of the RA and implementation of publishing process (advertisements, announcements, discussions etc.).
c) Acquisition of literature concerning archive keeping, organizing publication of booklets and reference books with the aim of making available the information about the RA archive collection.
d) Increase of living standard of state organization workers by means of rewards, additional payments and other ways of encouragement.
e) Improvement of technical means of state organizations, included acquisition of basic means.
f) Organizing courses with the objective qualification of state organization workers and their participation to those courses.
g) Other objectives as defined by the authorized body and by the state organization legislation.
8) To arrange payments as defined by the RA law of ‘’State Duty’’ of state organization state registration, permission for seals preparation, as well as for registration of property handed to the organization, from the RA state budget of 2003, according to the 12th part of 11th paragraph of the RA law of ‘’State budget of the RA of 2003’’.
9) To include allotments disposed by the state budget of the RA of 2002 to institutions before reorganization into the coming contract with state organization after reorganization as defined by the RA legislation.
10) To define that the state organization cooperates with archive services of CIC member states according to intergovernmental agreements signed on 4 June 1999 and 6 July 1992 among CIS member states.
11) To abolish the 1st point of resolution N501 of the RA government of 13 August, 1998 ‘’About assigning the state archive system implementing permanent maintenance of documents of the national archive fund of Armenia viewed as state property’’.
12) The present resolution comes into force on the following day of its official proclaiming.

of state non-profit organization
"NATIONAL ARCHIVES OF ARMENIA"
1. GENERAL PROVISIONS
1.The State Non-profit Organization "National Archives of Armenia"
(hereinafter -- State Organization) is a state non-profit organization that does not
follow the aim of obtaining profit and has a status of legal person, carries out
scientific and cultural activity, which is created with the aim of performing activity in
the fields of permanent preservation of collection of archive documents of the
Republic of Armenia, their registration, supplementation, use and publication.
The State Organization is the assignee of the central and regional (Yerevan city) state archives under the supervision of the Ministry of Culture, Youth and Sport of the Republic of Armenia.
The State Organization is the assignee of "National Film Library of Armenia" state non-profit organization, in accordance with the pass report.
The State Organization is considered founded from the moment of its registration in the procedure stipulated by law.
2.The State Organization acts in accordance with the Constitution of the
Republic of Armenia, Civil Code of the Republic of Armenia, the "State Non
governmental Organizations" and the "Archive Keeping" laws of the Republic of
Armenia, other laws and legal acts, Articles of the Ministry of Culture, Youth and
Sport of the Republic of Armenia and the present Articles.
3.The State Organization has a separated property as an ownership and is
responsible for its obligations by that property. The State Organization has the rightto acquire on its behalf and to carry out property and personal non-property rights, to bear responsibility, to act as a plaintiff and respondent in court.
4.The State Organization has a round seal with the national emblem of theRepublic of Armenia and its name in Armenian, blanks, symbol and other means of
identification.
5.The State Organization has an independent balance, profits and costs estimate
and bank accounts.
6.The State Organization doesn't bear responsibility for the obligations of its
Founder and the Founder - for the obligations of the State Organization.
7.The name of the State Organization is:

8.The State Organization is located at: 5 H.Kochar str., c. Yerevan, Republic of
Armenia.
2. SUBJECT AND AIMS OF ACTIVITY OF THE STATE ORGANIZATION
9.Subject and aims of activity of the State Organization are the preservation of
historic-cultural heritage, archive collection documents of the Republic of Armenia,
their registration, supplementation, use and publication.
10.The State Organization, in accordance with the subject and aims of its activity:
a)Carries out supplementation and preservation of archive collection
documents of the Republic of Armenia;
b)Keeps a centralized registration of archive collection documents of the
Republic of Armenia;
c)Uses the archive collection of the Republic of Armenia in the stipulated
procedure;
d)Takes a decision on acknowledging the archive collection documents of the
Republic of Armenia particularly valuable and rare, creates and preserves
their safety copies;
e)Carries out state programs in the field of archives keeping;
f)Introduces most effective systems and methods of maintenance,
conservation, copying, restoration and use of the documents;
g)In accordance with international agreements of the Republic of Armenia,
cooperates with foreign archives and archive services, participates in the
work of international non-governmental organizations in the field of archives
keeping;
h) Submits to the authorized state body offers concerning first-priority purchase on behalf of the state in case of alienation of the documents of the archive collection of the Republic of Armenia, being non-governmental property;
i) Participates in designing of automatic informational systems, their implementation and use, in the works on creation of information network and united central collection of electronic data;
j) Assists in preservation of archives being the property of juridical and natural persons;
ja) submits administrative statistics in the field of archive keeping to the authorized state body;
jb) prepares and publishes scientific works, monographs, scientific-informational and popular scientific literature referring to the archive collection documents of the Republic of Armenia, their composition and contents, bulletins, educational and practical manuals, propaganda and advertisement materials;
jc) organizes documents keeping of archive science and archeology, scientific sessions, congresses, scientific-practical seminars and consultations dedicated to the principal issues of other auxiliary historical sciences;
jd) studies the social needs of return information, the efficient end use of documents;
je) discusses letters of citizens (applications and claims), solves the occurred matters;
jf) carries out appraisal with expertise of the documents being the property of juridical and natural persons;
jg) makes its supplementation lists. 11. The State Organization carries out the following entrepreneurial activity:
a)publication of archive documents;
b)provision of copies of document;
c)provision of archive services to juridical and natural persons;
d)restoration and binding of documents and literature;
e)preparation of safe copies of archive boxes, cases and archive documents.
The State Organization my engage in the activity requiring licensing only on the
basis of license.
3. FINANCIAL MEANS OF THE STATE ORGANIZATION
12. The State Organization is financed:
a)from the state budget of the Republic of Armenia, in a form of subsidies;
b)from the funds of programs carried out by international organizations;
c)from the profit gained by entrepreneurial activity;
d)from other sources not contradicting to the Legislation of the Republic of
Armenia.
The attraction of additional financing sources cannot result in reduction of sizes of financing provided from the state budget of the Republic of Armenia.
13.The profit gained during the activity of the State Organization is used for the realization of its authorized aims:
a)acquisition of the property and materials insuring the working activity of
the State Organization;
b)provision of information regarding the archive collection of the Republic of
Armenia and performance of popularization measures (advertisements,
announcements, consultations and etc.);
c)acquisition of literature concerning the archive keeping, organization of
publication of booklets and bulletins with the aim to make popular the
information referring the archive collection of the Republic of Armenia;
d)life-support improvement of the State Organization employees: by
premiums, additional payments and other forms of encouragement;
e)improvement of equipment of the State Organization, including the
acquisition of fixed assets;
f)organization of trainings or participation in the organized trainings with the
aim of improvement of professional qualification of the State Organization
employees;
g)other aims, stipulated by an authorized state body and the Articles of the
State Organization.
The order of using the State Organization profit is stipulated by the Founder.
14. The State Organization financial activity is subject to revision (audit) by an independent auditing organization, chosen by the authorized state body or by the Financial Control department of the Ministry of Finances and Economy of the Republic of Armenia.
15. The State Organization pays taxes, duties and other compulsory payments in the procedure and sizes, stipulated for the organizations, which don't follow the aim of obtaining profit.
4. MANAGEMENT OF THE ORGANIZATION
16.The management of the State Organization is performed by the Founder, the body authorized by him, executive body of the organization - Director.
17. The State Organization Founder has the right of final decision on any matter concerning the activity and management of the organization, with the exclusion of cases provided by law.
The following refer to exclusive competence of the Founder:
a)foundation of the State Organization;
b)stipulation of the subject and aims of activity of the State Organization,
including types of entrepreneurial activity carried out by it;
c)approving of Articles of the State Organization and amendments in it;
d)reorganization and liquidation of the State Organization;
e)solving of other matters stipulated by the law and its Articles.
18. The authorized state body carries out the general management of the State Organization, ensures its regular work and is responsible for their non-performance or improper performance.
The authorized state body.
a)approves the composition of property passed and secured to the State
Organization by property right and belonging to state;
b)stipulates the management system of the State Organization;
c)appoints the liquidation commission of the State Organization and approves
the liquidation balance;
d)in the procedure stipulated by the present Articles forms managerial body
of the State Organization and prematurely withdraws its authorities;
e)carries out monitoring in respect of the State Organization activity;
f)suspends or acknowledges invalid the orders, instructions, and directions of
Director of the State Organization which contradict the Legislation of the
Republic of Armenia;
g)listens to the reports on the State Organization activity, examines the results
of revision of their activity;
h) controls the use and maintenance of state property secured to the State Organization;
1) controls the maintenance of property of the State Organization, gives consent to the State Organization for alienation of the property provided to it by property right;
j) approves the annual costs estimated of the State Organization;
ja) approves the annual reports and annual balance of the State Organization;
jb) carries out other operations, stipulated by the law, decision of the Founder and the present Articles.
19. The management of current activity of the State Organization is carried out by its Director that is appointed and dismissed (his authorities end) by the authorized state body:
The State Organization Director within the authorities laid on him law, decisions of the Founder and authorized state body, the present Articles manages the State Organization activity and bears responsibility for non-performance or improper performance of the requirements of law, other legal acts, decisions of the Founder and the authorized state body, the present Articles and the concluded agreements.
20. An agreement is concluded with the person performing the functions of Director of the State Organization, which is signed on the part of the Founder by the head of the authorized state body. The rights, duties, responsibility and interrelations with the authorized state body, his work remuneration conditions, all grounds for termination of the agreement in accordance with the "State Non-Profit Organizations" law of the Republic of Armenia and other provisions, which its parties will find necessary are stipulated by the agreement. The provisions of the agreement cannot contradict the requirements of the Work Code of the Republic of Armenia, with the exclusion of cases stipulated by law.
21. The person appointed to the position of Director of the State Organization is obliged not to carry out the decisions, instructions and directions of the state body authorized by the Founder which contradict the Legislation of the Republic of Armenia, and cannot be held liable for their non-performance.
