RENTAL AGREEMENT

This Agreement entered into by and between the Forest and District Agricultural Society, here in after referred to as "LESSOR"; and ______here in after referred to as "LESSEE".

WHERE AS, LESSEE desires to rent from LESSOR any of the following; The Main Hall (with or without Kitchen facilities) and Parking Area, Exhibition Hall, Commercial Building, Serviced Camp Sites, Horse stalls, Race Track and Cattle Barn etc. all located at 45 Jefferson Street, Forest, Ontario, commonly known as the Forest Fairgrounds, here in after referred to as the "Leased Premises".

WHERE AS, the LESSOR desires to lease to the LESSEE; any of the above mentioned areas and/or facilities, on terms and conditions here in after set forth.

Now, therefore, it is mutually agreed by and between the parties to this Agreement as follows:

1. Terms of Rental: The Rental of said Leased Premises shall commence on:

2. Time of Hall Rental: The LESSEE shall conclude the event no later than 1:00 a.m.

3. Basic Cleanup: LESSEE has until 1:00 a.m. to remove all decorations and personal items from the Hall and buildings. Campers must vacate site by 3:00 p.m. following the last night of paid camping.

4. Rental Fee: Full rental fee is due Thirty (30) days prior to rental date.

5. Damages: LESSEE is assuming all responsibility to repair and / or reconstruct all the damages incurred during the Rental Period. Such damages shall include all structural components, all fixtures and furnishings, and all parking areas and camp sites of the LESSOR. The LESSOR will not be held responsible for loss by fire, theft, vandalism or any other mishap of any nature or kind to the property of the LESSEE, whether caused by negligence or otherwise, and shall not bring such just cause to any 3rd parties or families associated with the LESSOR.

6. Property Safety: If a Liquor License will be in effect –the LESSEE shall arrange for all the law enforcement or security guards required during the Rental Period at the sole cost and expense of the LESSEE, if required by local, provincial, and/or federal laws and regulations.

7. Admission: LESSOR's members, managers, and employees shall have access to supervise the facilities at any and all times.

8. Insurance: LESSEE shall have all necessary liability insurance covering all participants, employees, volunteers, spectators, and any other individuals on the Leased Premises. LESSEE shall name LESSOR with proof of such coverage at least Thirty (30) days prior to the Rental Period. LESSEE shall provide not less than One Million Dollars ($1,000,000.00) of coverage.

9. Conditions of Catering on Premises: Any caterer hired by LESSEE must show proof of liability for the safety and health of individuals occupying the Leased Premises during the events secured by this Agreement.

10. Kitchen Facilities: The use of the kitchen facilities located on the Leased premises shall NOT be used by LESSEE without the prior payment too and consent of the LESSOR. No supplies belonging to LESSOR are to be used by LESSEE. However, use of the coffee maker and fridges shall be permitted and included in cost of Hall Rental.

11. Assignment: LESSEE under no circumstances shall assign the Rental Agreement to any parties, successors, individuals, partnership, corporations, trusts, estates, or any other form of entity.

12. Miscellaneous:

a) All doors into or out of the Leased Premises must remain closed during the Rental Period.
