for selection of a real estate agency to find a purchaser and secure a transaction involving the sale of the three real property items located in Casablanca, Morocco
Joint-Stock Company “Aeroflot – Russian Airlines” (hereinafter referred to as the Customer) hereby invites you to submit your bid (hereinafter referred to as the “Bid”) in order to select a real estate agency that will find a purchaser and secure a transaction involving the sale of the three real property items.

This ceiling price of the agreement shall include all the costs incurred by the contractor and all taxes payable according to applicable law.

INSTRUCTION FOR BIDDERS
- Requirements for bidding companies (Bidders):
1.1. Business profile: real estate agency activities in accordance with the laws of Morocco;
1.2. ability to place an advertisement for the sale of real property in the real estate turnover information system of Morocco (on the Internet);
1.3. the bidder must not be insolvent, be in the process of liquidation or reorganization, or be declared insolvent (bankrupt). Also, there must be no insolvency (bankruptcy) lawsuits filed against the Bidder. A firm that has had its assets seized for any reason and/or its business operations suspended may not act as a Bidder;
1.4. bidders are responsible for all costs related to their Bid, including, but not limited to, any costs incurred in considering this Procurement documentation and preparing their Bid.
2. Requirements for the services to be provided:
- within the framework of the instruction, the real estate agency shall provide the customer with services to find potential purchasers of the properties, negotiate the terms of the sale agreements and ensure the registration of the transfer of the title to the properties from the customer to the purchasers;
- search for potential purchasers of the properties shall include publishing an advertisement for the sale of real property in the real estate turnover information system of Morocco (on the Internet) by the real estate agency. The real estate agency shall provide the customer with written evidence of publication of this advertisement;
- in addition to posting the advertisement on the Internet, the real estate agency shall search for potential purchasers of the properties using the mass media advertising, direct mailing, etc. in accordance with standards of promotional activities in the property market in Morocco;
- a representative of the real estate agency shall take part in showing the properties to potential purchasers in person;
- potential purchasers of the properties shall be searched on the basis of a price not below the market value of the properties specified in the appraiser’s reports;
- the real estate agency shall, on a regular basis as provided for in the agreement, inform the customer in writing of the progress of the instruction execution;
- after finding potential purchasers of the properties and approval of the candidacy by the customer, the real estate agency shall provide a draft sale agreements of the properties, take into account the wishes of the customer as regards the agreement and negotiates, on behalf of the customer, the sales agreements of the properties with the purchasers;
- after the signing of sale agreements of the properties by and between the customer and the purchasers, the real estate agency shall perform all necessary actions for the state registration of the transfer of the title to the properties from the customer to the purchasers in accordance with the laws of Morocco.
Given the specific character of the real estate market and the legislative regulations of Morocco, the wordings of the obligations of the real estate agency in the agreement with the successful bidder may differ from the above subject to adequate protection of the rights of the customer.
3.Bids will be submitted and considered in one round.
Bidders should submit Bids containing the following:
3.1. Bidder’s qualification documentation:
- a copy of the document evidencing the company’s registration in accordance with the laws of the country of incorporation;
- copies of documents evidencing the conformity to the requirements set forth in paragraphs 1.1. and 1.2. hereof;
- a letter on whether or not the Bidder has any affiliation with JSC “Aeroflot” employees and their immediate family members (spouses, children, parents, brothers, sisters) signed by the Bidder’s CEO;
- the Bidder’s questionnaire substantially in the form attached hereto as Appendix No.1 in 2 copies;
- reference letters from partners (if any);
- confirmation of the powers and authority of the General Director under the laws of the country of incorporation;
- accounting (financial) statements for the last 2 years;
3.2. Commercial Offer containing:
- confirmation of intention to render to the customer all range of services provided for by thisProcurement documentation;
- the amount of agency fees for rendering services provided for by thisProcurement documentation;
- information on whether the Bidder has an offer of potential purchasers of the properties at a price not less than the specified market value, excluding taxes levied on the sale of the property (if any). In this case, the proposal shall be accompanied with a copy of such an offer and a brief overview with basic information about the company which made the offer;
- Bidder’s contacts.
4.The price of services to be provided by the real estate agency as quoted in the Bid shall include all applicable costs, taxes and other mandatory payments. The ceiling price for the set of services provided for herein with respect to the said property is 3 (three) percent of the sale price of the property as stipulated in the sale agreement concluded.
5. Deadline for submitting Bids: up to 12:00 noon (Moscow time) on the 11th of August 2014 at 10 Arbat Street, Moscow, Russia, 119002, JSC “Aeroflot – Russian Airlines”, Property Management Department. Bids will be examined at 03:00 p.m. (Moscow time) on the 14th of August 2014 at
31-1 Mezhdunarodnoe av., Moscow, 141441.
6. Wrap-up meeting: at 03:00 p.m. (Moscow time) on the 28th of August 2014 at
31-1 Mezhdunarodnoe av., Moscow, 141441.
7. The form, time and manner of payment for services provided by the real estate agency shall be as set forth in the terms and condition of the service agreement.
8. ThisProcurement documentation does not constitute an offer or invitation to participate in the tender and is intended to indicate to the Bidders the Customer’s interest in entering into an agreement and offer Bidders to formulate and submit to the Customer their offers (Bids) for the agreement.
9. The Customer reserves the right to reject, at its sole discretion, all Bids submitted in response to this Procurement documentation and to cancel the evaluation of the Bids. The Customer does not bind itself to accept any or all the Bids received.
10. The Customer will not accept any claims from Bidders and will have no liability, whether financial or otherwise, to Bidders by reason of rejection or acceptance of any or all Bids or termination of negotiations with the preferred Bidder and refusal to enter into the agreement. The Customer is not obliged to present any justification to support its decision.
11. An expression of interest, the submission of Bids and any documents or other information by a Bidder, their acceptance by the Customer, any correspondence, discussions, meetings or other communications between the Bidder and the Customer, the Customer's determination that the Bidder meets the qualification requirements of this Procurement documentation do not oblige the Customer to select a specific Bidder as the best one or entitle the Bidder to any reimbursement or compensation of any costs or expenses incurred by the Bidder for expressing its interest and submitting its Bid in response to this Procurement documentation.
12. All documents and information, including Bids, to be presented by Bidders shall be in any of the following languages: French, English or Russian.
13. Bids shall be submitted in sealed envelopes with details of the Bidder clearly indicated. Bids consideration will be kept confidential until the Customer makes a decision.
- Bid evaluation and comparison criteria:
- price of services;
- the fact that the Bidder has an offer of potential purchasers of the properties at a price not less than the specified market value, excluding taxes levied on the sale of the property (if any). In this case, the Bid shall be accompanied with a copy of such an offer and a brief overview with basic information about the company which made the offer. In case of submission of offers for the purchase of the property by several bidders, the terms of such offers that best suit the customer’s interests shall constitute an additional criterion of assessment and comparison of bids submitted by such bidders.
15. Results of Bids will be notified to the Bidders. Such notification does not constitute an acceptance that entails entering into the agreement or rejection of the Bid of the Bidder and is solely an invitation to enter into negotiations during which the final terms and conditions of the agreement between the Customer and the Bidder will be developed.
- After the Customer selects the Bidder that has submitted a Bid which, in the Customer’s opinion, meets the best interests of the Customer and conducts negotiations with such Bidder, the Parties will sign a relevant agreement. A sample form of the service agreement is provided in Appendix No.2 to this Procurement documentation. Given the specific character of the real estate market of Cyprus, any necessary amendments to the draft service agreement may be introduced as initiated by the Bidder.
- The Contract should be signed by the Contractor whose Bid will be decided the best not later than 10.10.2014.
18. All Appendixes to this Procurement documentation shall form its integral part and constitute a single document.
19. All information to be provided to you by the Customer in connection with this Procurement documentation or entering into the agreement referred to in this Procurement documentation and your Bid and information that negotiations or discussions on a possible agreement that can be concluded with the Customer in accordance with this Invitation or any conditions or other matters relevant to such possible agreement, including its status, must be treated as the Customer’s confidential and proprietary information.

DRAFT AGREEMENTREAL ESTATE SERVICES AGENCY AGREEMENT NO. ______

Joint-Stock Company “Aeroflot – Russian Airlines”, hereinafter referred to as the “Customer”, represented by Mr. Dmitry PetrovichSaprykin, Deputy General Director for Sales and Property Matters, acting under Power of Attorney No. D-860/13 dated December 30, 2013, on the one part,
and ______, hereinafter referred to as the “Contractor”, represented by ______, acting under______, on the other part, hereinafter also collectively referred to as the “Parties” and individually as a “Party”, have entered into this agreement as follows:
1. Subject Matter of the Agreement
1.1. The Contractor shall, in the manner and on the terms and conditions set forth in this Agreement, provide services to find potential purchasers for the Customer-owned three properties (hereinafter referred to as the “Real Property”), agree upon the terms and conditions of the sale agreement and procure for the registration of the transfer of the title to the real property from the Customer to the purchasers, and the Customer shall pay for the Contractor’s services.

1.3. This agreement constitutes a special agency agreement that does not preclude the Customer from finding potential purchasers of the Real Property independently.
2. Terms and Conditions for the Provision of Services by the Contractor.
2.1. Search for potential purchasers of the properties shall include publishing an advertisement for the sale of the Real Property in the real estate turnover information system of Morocco (on the Internet) by the Contractor. The Contractor shall provide the Customer with written evidence of publication of this advertisement;
2.2. In addition to the publication of the advertisement for the sale of the Real Property as per paragraph 2.1. hereof, the Contractor shall search for potential purchasers of the Real Property using the mass media advertising, direct mailing, etc. in accordance with standards of promotional activities in the property market in Morocco;
2.3. A representative of the Contractor shall take part in showing the property to potential purchasers in person;
2.4. A potential purchaser of the property shall be searched on the basis of a price not below than the specified market value, excluding taxes levied on the sale of the properties.
2.5. After finding a potential purchaser of the Real Property and approval of the candidacy by the Customer, the Contractor shall provide a draft sale agreements of the real property, take into account the observations of the Customer as regards the agreement and negotiate, on behalf of the Customer, the sales agreements of the Real Property with the purchasers;
2.6. After the signing of the sale agreement of the Real Property by and between the Customer and the purchaser, the Contractor shall perform all necessary actions for the state registration of the transfer of the title to the Real Property from the Customer to the purchaser in accordance with the laws of Morocco.
2.7. Services provided for by this Agreement shall be considered duly provided after completion of settlements under the sale agreement of the Real Property and signing of an Acceptance Certificate for Services Rendered by the Parties (Appendix No. 2).
3. Cost of Services and Payment Procedure.
3.1. The total cost of services of the Contractor under this Agreement is ______percent of the selling price of the Real Property, specified in the sale agreement of the Real Property entered into between the Customer and the purchasers.
3.2. The cost of services of the Contractor specified in paragraph 3.1. of this Agreement includes all the costs of the Contractor, taxes and other obligatory payments under the laws of Morocco.
