Constitution

The revised constitution shall be effective September 25, 2013 as voted upon by volunteer majority.

Section 1

1.Name

The name of the non-profit organization is: Beaver Creek Farm Sanctuary. (It shall also be known as "BCFS".)

2.Purpose

(a)To operate a non-profit organization dedicated solely to the rescue, foster and placement of abandoned, neglected or abused animals. BCFS will focus on difficult cases.

(b)To ensure the wellbeing of all foster dogs in the care of the BCFS by placing them in approved foster homes. These homes will be carefully inspected and foster home applications will be reviewed by the Board of Directors.

(c)To provide education on the care, training and wellbeing of all animals. Responsible animal companionship will be taught through various methods including information on our website, public forums at local animal events and routine correspondence with volunteers.

(d)To respond to all public inquiries about humane education and responsible animal companionship with details on the importance of spaying/neutering, proper training, respect and handling of animals in general.

(e)To provide all necessary medical care for foster dogs before they are placed in a permanent home. Medical care may include, but is not limited to, such things as spaying/neutering, dental work, surgeries and any and all other medical care required to render an animal to optimum health. All medical treatment will be given in accordance with veterinary recommendations.

(f)To carefully evaluate all animals in foster care and work on behavioral issues such as housebreaking, separation anxiety and fear biting.

3.Dissolution

(a)In the event of the winding-up or dissolution of the BCFS, all assets will be transferred to another registered charity with similar goals and objectives as chosen by a majority vote of all volunteers in good standing.

Section 2

1.Volunteer Approval

(a)Volunteer approval shall be granted by a majority vote of acceptance by Directors provided that said volunteer applicant is in complete compliance with the requirements of the BCFS’s Code of Ethics ("COE") and guidelines for approval.

(b)Upon receipt of a written BCFS "Code of Ethics" grievance regarding any volunteer, BCFS agrees to notify said volunteer and provide a forum for response to said grievance. Violation of the BCFS Code of Ethics (COE) for Volunteers is grounds for a hearing and/or action by CCRT. This action may include a verbal reprimand, a written reprimand or dismissal from the CCRT.

(c) Should a volunteer be removed from the BCFS due to non- compliance of COE, they will not be allowed to return as a volunteer at any time.

Section 3

1.Guidelines

(a)All BCFS volunteers will follow all guidelines as presently set out by the BCFS. Any changes to the present guidelines will be reviewed annually and accepted or declined by a majority vote of all volunteers in good standing at the Annual General Meeting ("AGM"). Any volunteer who has not signed the required Code of Ethics (COE)for the forthcoming year by the date of the AGM will be ineligible to vote at the AGM or on any other matter until the signed COE has been returned to a BCFS committee member.

Section 4

1.Committee

(a)The elected Committee shall consist of a minimum of 4 persons as follows:

Co-Chairperson

Secretary

Treasurer

(b)The elected Committee will be authorized to disburse funds as required for the purposes as defined in Section 1(2)(a) and (b) said expenditures being approved by a majority vote of the acting Committee. There will always be 2 (two) signatures for expenditure approval required on all disbursements. These two signing authorities shall be elected Committee members as selected and agreed upon by the Committee.

(c)Nominations and elections for Committee positions will be held in June of each year in order for the newly elected Committee to assume its duties effective July 1 of the same year.

(d)The elected Committee shall hold office for a term of one year. However, the volunteers shall have the right to change the term of the elected Committee members from one year to 6 months by a majority vote. Said change in length of term of the Committee must be noted prior to the date of the election.

(e)Should a Committee member resign during his or her elected term, the remaining Committee members shall hold within 2 (two) weeks a by-election to replace the resigning Committee member.

(f)No vote shall be recognized by any persons not approved as a BCFS volunteer in good standing. Any volunteer who has not signed and returned a COE to a BCFS Committee member by the date of the AGM will not be in good standing and therefore ineligible to vote at the AGM.

(g)All elected Committee members are required to provide written notice to the Committee upon resignation and to turn over any and all files and documents which pertain to CCRT business in their possession to the Committee.

(h)A quorum shall be accepted as a minimum of one-half of the eligible voting volunteers. Each volunteer is entitled to one vote and no proxy will be permitted or accepted.

(i)The elected Committee can designate sub-committees for particular job assignments.

Section 5

1.Obligations

(a)Committee

(i)The elected Committee's responsibilities shall include a quarterly report from the Chairperson or Co-Chairperson and a quarterly financial report from the Treasurer. Minutes of any and all meetings will be kept by the Secretary.

Section 6

1.Annual General Meetings ("AGM")

(a)Will be held every July of each year not later than 21 days after the start of each new term and all volunteers shall be notified of the date and time as determined by the outgoing Committee once votes have been tabulated and the new incoming Committee formed.

(b)At the AGM, using the internet as a means of an acceptable forum, the volunteers may accept revisions to this Constitution by a majority vote.

(c)Emergency meetings may be called at any time by the Committee and every effort to notify all CCRT volunteers in good standing shall be made; however, after a reasonable attempt has been made to contact all volunteers, a majority vote of those contacted and attending shall suffice, provided a quorum exists.

Section 7

1.Non-profit provision

(a) The organization shall be carried without the purpose of gain for its volunteers and any profits or other accretions to the organization shall be used in promoting its objects.
