Regulations for the use and reproduction of Still and Moving Image Visual-only and Audiovisual Material relating to the

FIFA Interactive World Cup 2009

Subject always to these Regulations, accredited members of the media (“Accredited Media”) are permitted to:

A. record and use still and/or moving image visual-only and/or audiovisual material of the relevant event of the FIFA Interactive World Cup 2009 (“Event Footage”);

B. subject to availability, use and reproduce a selection of pre-produced still image visual-only material (“FIFA Images”), pre-produced moving image audiovisual material (of approximately 90 seconds in duration) (“FIFA Footage”) and other pre-produced moving image raw footage (“FIFA Raw Footage”) of the relevant event of the FIFA Interactive World Cup 2009 (collectively referred to as the “FIFA Materials”); and

C. subject always to the Graphic Guidelines, use and reproduce the official mark of the FIFA Interactive World Cup 2009 (“Official Mark”),

In each case on a non-exclusive basis and for the purpose(s) set out below. The Official Mark and Graphic Guidelines are available upon request from FIFA by filling out the appropriate media request form on www.FIFAdigitalarchive.com.

1.  Event Footage

Event Footage may only be transmitted as part of regularly scheduled news and/or sports or current affairs programming and customary news programming. No stand-alone programming solely covering the FIFA Interactive World Cup may be produced. No commercial use whatsoever may be made of the Event Footage and no party may use Event Footage to create any association with FIFA, the FIFA Interactive World Cup or any other FIFA competition without the prior written consent of FIFA. Event Footage shall not be made available by Accredited Media to any third party without FIFA’s prior written consent.

No Event Footage may be transmitted after 30th June 2009 without the written permission of FIFA. There is no restriction as to the language which Event Footage may be transmitted in, the territories in which it may be transmitted or the number of transmissions which may be made. No licence fee is payable in respect of the permission granted by FIFA hereunder in relation to the recording and use of Event Footage.

Accredited Media are responsible, at their own cost, for obtaining all necessary clearances, authorisations, consents and releases in relation to each transmission (including, without limitation, the use of any individual player’s name, likeness and/or image) of Event Footage.

All intellectual property rights in the Event Footage are, upon creation thereof, unconditionally assigned by the relevant Accredited Media to FIFA for the full term of intellectual property including all renewals, reversions and extensions thereof and thereafter in perpetuity free from all charges, encumbrances and all other third party rights. In the case of copyright, such assignment includes assignment by way of a present assignment of future copyright. Accredited Media agree to execute, at the request of FIFA, all such documents, and to do all such things, as may be necessary to properly formally vest such intellectual property rights in FIFA.

2.  FIFA Materials and the Official Mark

FIFA Materials may be used within or alongside non-commercial articles about, or bona fide news coverage of, the FIFA Interactive World Cup only. Accredited Media shall not use the FIFA Materials or the Official Mark for any commercial purpose including, without limitation, in, or in relation to, the sale, advertisement or promotion of any goods or services. Accredited Media may use the FIFA Materials for editorial purposes, but shall not make available to any third party the FIFA Materials, whether free of charge or otherwise.

FIFA Images and the Official Mark may be used during the period of 12 months after the relevant event of the FIFA Interactive World Cup 2009. Care should be taken to use the appropriate photo credits for FIFA Images and the credit which is contained in the FIFA Images.

FIFA Footage and the FIFA Raw Footage may be used until 30th June 2009.

There is no restriction as to the language which the FIFA Materials may be transmitted in, the territories in which they may be transmitted or the number of transmissions which may be made. FIFA Materials may not be edited, altered or modified in any way other than for the purpose of adding voice overlays. In particular, the animated emblem of the FIFA Interactive World Cup which is contained in the FIFA Footage may not be edited, altered or modified in any way.

FIFA Materials shall always contain the following credit:

All right, title and interest whatsoever (including, without limitation, copyright) throughout the world in the FIFA Materials and the Official Mark shall vest in FIFA for the full term of copyright including all renewals and extensions thereof.

Accredited Media shall be responsible, at their own cost, for obtaining all necessary clearances, authorisations, consents and releases in relation to each transmission (including, without limitation, the use of any individual player’s name, likeness or image) of FIFA Materials (or any part thereof).

3.  Official Title

The following official title of the FIFA Interactive World Cup shall be used in English, even if the text is written in another language:

“FIFA Interactive World Cup 2009”

EXAMPLES OF UNAUTHORISED USE OF EVENT FOOTAGE, FIFA MATERIALS AND OFFICIAL MARK

Unauthorised use of Event Footage, FIFA Materials and Official Mark includes:

1.  Derogatory/Disreputable Use: Use in any manner that is considered by FIFA to be derogatory or which brings FIFA and/or the FIFA Interactive World Cup into disrepute.

2.  Non-Editorial Use: Use in any way so as to suggest an association with a trade name/logo, goods or services of any entities other than those of the commercial affiliates of FIFA, e.g., use on a printed page or webpage in close proximity to a third party’s trade name/logo and/or advertisement.

3.  FIFA Credit: Omitting, deleting, or failing to add the photo credit from a FIFA Image or the film credit from any section of the FIFA Footage or FIFA Raw Footage which is used.

4.  Contests/Promotions: Use on, or in relation to, any products, games, lotteries or any other type of contests or promotions related to the FIFA Interactive World Cup and/or FIFA, whether including tickets or FIFA Interactive World Cup merchandise or otherwise, other than those conducted by FIFA’s commercial affiliates.

5.  Resale and Distribution: Reselling or distribution of the FIFA Materials to any third parties is strictly forbidden (e.g., photo agencies or news agencies are not allowed to download any images on their database with the aim of reselling them to their clients). All FIFA Images have to be directly downloaded from http://mediachannel.extranets.fifa.com/regproc.aspx (Requires registration at http://mediachannel.extranets.fifa.com/RegProc.aspx) for editorial use (in accordance with these Regulations) by the end user.

Any person using the Event Footage, FIFA Materials and/or Official Mark (or adaptations thereof) for any commercial purpose whatsoever without FIFA’s explicit written authorisation will be deemed to be conducting “ambush marketing” activity and FIFA reserves the right to take any and all appropriate action to prevent such activity.

By producing and/or using any Event Footage and/or by using any FIFA Materials and/or the Official Mark, Accredited Media accept these Regulations and agree unconditionally to comply with them.
