CONTENTCONTRIBUTION AGREEMENT
ThisAgreementismadebetweenOverseas Best Buy Inc. DBA: 110220volts.com and ("Contributor").
RECITALS
A. 110220Volts.comedits,publishesandmaydistributecontentrelatedtoconsumercredit within a variety ofmedia, including the Internet.
B. 110220Volts.comintends toawardoneor morescholarships toencourage thecreationof such content for potential publicationand distribution.
C. Contributorhas submitted content(the “Contribution”) for 110220Volts.com to consider. Now, therefore, the parties agree as follows:
1. The Contributor warrants and guaranteesto 110220Volts.com that:
(a) Contributoris18 or olderand has a cumulative GPA of2.5 orbetter; and
(b) TheContributionisoriginaltoContributor,exceptformaterialfrom copyrighted sourcesthat isdesignatedassuchandreproducedwiththe writtenpermissionof thecopyright holder, anddoes not violate or infringe any copyright or other right belonging to any third party.
2. TheContributorshallindemnifyandhold110220Volts.comharmlessfromanyclaims regarding the Contribution.
3. TheContributionshallbecometheproperty of110220Volts.comuponsubmission. Contributor doeshereby sell,assign,andtransferto 110220Volts.com,itssuccessors and assigns, the entireright, titleandinterestinandtothecopyrightintheContribution andanyregistrationsand copyrightapplicationsincorporatingtheContribution,includinganyrenewalsandextensions, andinandtoallworksbasedupon,derivedfrom,orincorporatingtheContribution,andinand to all income, royalties,damages, claims and payments nowor later due or payable,and in and to all causes ofaction, either in law or in equity, for past, present, or future infringement, and in and to all rightscorresponding to the foregoing throughout the world.
4. 110220Volts.comshallhavetherighttouse,exhibit,anddistributetheContributor’s name, likeness, image, voice, video, and biographical information for any promotional or business purposes and inany mediumwhich 110220Volts.com deems appropriate.
5. 110220Volts.com,initssolediscretion,willdecidewhethertoregistercopyrightforthe
Contributionin its own name and at its own expense.
6. ContributorshallreceivenofinancialremunerationfortheContribution.The amount, timing, and number ofany scholarshipsawarded shall bein 110220Volts.com’s solediscretion.
7. Thisconstitutestheentireagreementbetween110220Volts.comandtheContributorand supersedes any other understandingsor agreements.
