Universidad del Valle de Guatemala, represented by ROBERTO MORENO GODOY, of XXXXX years of age, married, Guatemalan, with a degree in Education, of this domicile, I identify myself with Personal Identity Card –DPI- [for its acronym in Spanish], with Unique Identification Code – CUI-[for its acronym in Spanish] XXXXXXXXXX (XXXXXXXXXXXX), issued by the Registro Nacional de las Personas, RENAP, ; I act as President and Legal Representative of UNIVERSIDAD DEL VALLE DE GUATEMALA, hereinafter referred to as “UVG”, according to Notary Certificate of my appointing as Legal Representative, authorized in this capital city on the Twenty ninth (29) of May of the two thousand fourteen (2014) year by Public Notary Irma Yolanda Ruiz Tinti.

UVG is a non-profit, private, higher education entity whose mission is, to develop agents of change who can impact the society through educational and research experiences focused on Sciences and Technology.

Enter into this Specific Agreement of Collaboration, according to the following clauses:
FIRST. BACKGROUND
On the xxx (date), UVG and XXXX signed a Memorandum of Understanding to facilitate different activities , as well as to promote the development of join projects in areas considered of common interest, without any damage of the individual action and independent from both institutions.
SECOND. PURPOSE OF THE AGREEMENT
According to the above mentioned background, the purpose of this specific agreement is to extend the specific activities in the MOU previously signed, in order to continue with the join work between both entities.

FOURTH: FUNDING:
According to point No. 3.1 Clause 3rd of the MOU: “This agreement does not represent financial obligations or responsibilities to any of the undersigned parties. Once established a project of any nature, the corresponding parties shall agree the means to obtain human, material and financial resources for its implementation” the same regulation is applied to the specific activities within this specific agreement.
QUINTA: CONTACT
Each party shall assign a contact person between both institutions. Universidad del Valle de Guatemala XXXXname, email, position, deputycontact. And, XXXname, email, position, deputy contact.
SIXTH: TERM
This specific agreement of collaboration shall commence upon the last signature, and will have a term of five (5) years, which will be automatically renewed if none of the parties decide to conclude it.
SEVENTH: DISPUTES RESOLUTIONS
The present specific agreement of collaboration may be terminated by any of the parties through an exchange of letters stating the cause, 6 month prior to the desired termination. If there are activities in process, those activities shall be finished in order to keep good relationship between the parties.
The possible discrepancies regarding the understanding, development, modification, resolution and effects that may arise from the implementation of this Agreement, shall be solved in accordance with each party.
By mutual agreement, the parties subscribe the present Specific Agreement of Cooperation, in two copies, as an Addendum in the City of Guatemala.
