VEHICLE CONSIGNMENT AND SALES AGREEMENT
Exclusive listing with the exclusive right to sell
I or We, the undersigned, hereinafter called the Consignor and Extreme Motorsports, hereinafter called the Consignee agree as follows:
1. The Consignor consigns and delivers possession of the following vehicle to Consignee:

2. The delivery of this vehicle is on consignment and is not a sale of the vehicle to the consignee. Consignor hereby tenders $200.00, for the Consignment Package, which represents a nonrefundable 60 day fee. Complete detailing is available at extra cost and is not included in the 60 day fee. At the termination of this agreement, the consignee shall return the vehicle to the consignor, or, at the option of both the consignor and the consignee, enter in to a new agreement.

3. Professional layout and appealing ad details and story
4. Oversized colored font
5. Walk around video(s)
6. Your own web page, with personal URL; share this link with friends, etc...
7. Craigslist ad
8. Visible showroom floor space (RV's, Trailers, large vehicles are kept outside)
9. Dedicated and diligent salesman to show and sell vehicle
10. 1 year of hosting, regardless if sells or not
This package has been proven very effective for all unique cars, bikes, hot rods, boats and specialty vehicles.

$100 floor fee per month passed the 60 days. Must be paid at the beginning of each month.

Consignor understands, any sale amount over consignors net, is considered consignees commission.
4. Commission to consignee upon sale of vehicle, minimum 10% of sale price or flat fee of $______

5. Any necessary maintenance, extra advertising, repairs or detailing are negotiated and paid outside of this contract.
6. Consignor warrants that the vehicle is free of any physical or mechanical defects except as follows:

7. Consignor is required to maintain comprehensive and liability insurance in addition or in lieu thereof while the vehicle is in Consignee’s possession at the expense of the Consignor.
8. Consignor is solely responsible for compliance with all State Emission Control Laws.
9. Should Consignor wish to remove the vehicle from Consignee’s premises, we require at least 5 days notice. The vehicle can then be removed between 9 a.m. and 5 p.m. on weekdays or subject to appointment. No refunds given on consignment fees. All other agreed upon advertising fees and/or repairs must be pain in full.
10. On delivery of the vehicle to Consignee, Consignor shall produce evidence of ownership of the vehicle which may be held by Consignee while the vehicle is in Consignee’s possession. Consignor shall provide adequate documentation and proof of ownership so that the Consignee may complete a sale to the buyer. The consigned vehicle is delivered to the dealer in trust for the exact terms set forth in this agreement. The consignee agrees to receive this vehicle in trust and not to permit its use for any other purpose than what is contained in this agreement without the express written consent of the consignor.

12. The maintenance and repair of the vehicle shall be at the sole expense of the Consignor. If mechanical or maintenance work becomes necessary while the vehicle is on the Consignee’s premises, Consignee will seek permission from Consignor to complete the necessary repairs.
13. Consignor hereby promises to defend, indemnify and hold harmless Consignee, its employees, agents and affiliates from any and all demands, judgments, claims, including reasonable legal and all other expenses, actually incurred and paid, incident to any claim whether baseless or well founded by any third party in connection with any automobile taken by Consignee on consignment, including without limitation any claim for taxes by any State of the United States, territory or political subdivision thereof. The indemnification language contained in this agreement shall survive the termination of this agreement.
