Translation Services Hotel Level Agreement

This Hotel Level Agreement (this “Agreement”) is entered into this {Day} of {Month}{Year}.

Between:

{Hotel Legal Name}, a company registered in {Country} with registered number {XXX} and whose registered office is at {Address}, {Country} (“the Participating Hotel”); and

Rezidor Hotels ApS Danmark, a Danish company with registered number CVR 73337712 and whose registered office is at c/o Corporate Accounting, Amager Strandvej 60-64, 3rd floor, DK-2300 Copenhagen S, Denmark (“REZIDOR”).

REZIDOR and the Participating Hotel jointly referred to as the “Parties” and individually as a “Party”

1. Participation

The Participating Hotel agrees to utilize the translation services provided by Carlson Hotels via its preferred providerand the Parties agree to the terms and conditions of the Translations Services Hotel Level Agreement.

2. Duration

This Hotel Level Agreement is from the date first set-up here above and shall automatically expire after a period of twelve (12) months (“Initial Term”). Thereafter this Hotel Level Agreement shall automatically renew for successive one year terms (each a “Renewal Term”) unless either party provides 60 days written notice of non-renewal prior to the end of the Initial Term or Renewal term as applicable.

Notwithstanding the first paragraph this Hotel Level Agreement may be terminated unilaterally at any time by a Party upon three months prior written notice sent by the terminating Party to the other Party.

This Agreement shall automatically terminate in the event the Participating Hotel’s affiliation with The Rezidor Hotel Group terminates.

3. Fees

a)REZIDOR shall invoice the Participating Hotel for Translation Services on a monthly basis. Translation Services are defined the fees for translating Participating Hotel WebExtra and CRS content into the language selected by the Participating Hotel via the online opt-in process and any subsequent additions or changes made after the initial opt-in process.

b)Payment is due within thirty (30) days after receipt of the invoice from REZIDOR.

c)Back-up for the Translation Fee invoice will be available via the Rezidor RezPortal Report Repository.

d)The Translation Fees excludes VAT which shall be added thereto if applicable.

e)The Translation fees are subject to adjustment as mutually agreed between Carlson Hotels and REZIDOR.

4. Entire Agreement

This Agreement referred to herein constitute the entire agreement between the Parties with respect to the participation in the Programme and shall supersede all prior expressions of intent or undertakings, written or oral, between the Parties.

5.Applicable Law & Dispute Resolution

This Agreement shall be governed by the substantive laws of Denmark. Any dispute arising between the Participating Hotel and REZIDOR in connection with this Agreement shall in case of failure of an amicable settlement be brought to the competent courts of Denmark.

IN WITNESS WHEREOF, the Parties have executed or caused this Agreement to be executed by their duly authorized officers, all as of the day and year first above written.
