Clinical Track Employment Agreement

THIS AGREEMENT is made and entered into this ____ day of ______, 20__,by and between

The University of Kansas Medical Center, hereinafter referred to as “KUMC”

AND

______, hereinafter referred to as “FACULTY”

WITNESSETH:

WHEREAS, the Kansas Board of Regents authorized KUMC to employ and appoint clinical faculty to non-tenure “Clinical Track” positions in accordance with the Kansas Board of Regents Policy and Procedures Manual; and,

WHEREAS, KUMC desires to appoint FACULTY to a non-tenure Clinical Track position; and,

WHEREAS, FACULTY is willing to accept such non-tenure Clinical Track position.

NOW, THEREFORE, KUMC and FACULTY agree to the following terms and conditions which shall govern FACULTY’S appointment:

  1. Faculty Title

KUMC and FACULTY agree that faculty shall be appointed to the faculty title of [Insert title: title modified by “Clinical” on 1-2 year term contracts; unmodified title at Chair’s discretion for 3-year contracts;available titles: Professor, Associate Professor, Assistant Professor, and Instructor]. KUMC and FACULTY mutually agree that FACULTY, during the term of this Agreement, may utilize the applicable KUMC School’s procedure for promotion in faculty rank. Promotion is also possible at the time of contract renewal through the appropriate School of Medicine process. However, the parties agree that any promotion granted will not affect the term of this clinical term appointment.

  1. Term of Appointment

FACULTY’s appointment shall begin on the ___day of ______20__, and end at midnight on the ____ day of ______20__. This Agreement may be terminated by either party in accordance with the following:

  • Breach of Agreement. If FACULTY shall commit a material breach of this Agreement and shall not cure such breach within thirty (30) days after KUMC shall have given FACULTY written notice of such breach that specifies in reasonable detail the nature of such breach, KUMC may terminate this Agreement at the end of such 30-day period upon written notice to FACULTY.
  • Termination by FACULTY. FACULTY may terminate this Agreement at the termination date of FACULTY’s current appointment as a faculty member of KUMC or at such earlier date as shall be specified by FACULTY and agreed to by the Chair of FACULTY’s department.
  • Loss of License or Privileges. In the event FACULTY becomes legally disqualified to practice medicine in the state of Kansas, fails to obtain within a reasonable period all inpatient and/or outpatient clinical privileges to practice patient care required of this position, or fails to maintain such inpatient and/or outpatient clinical privileges,this Agreement may be immediately terminated by written notice to FACULTY at the sole discretion of KUMC.
  • Termination by Foundation. FACULTY physicians in the School of Medicine are required to be concurrently employed by a clinical practice foundation affiliated with the University of Kansas Medical Center (“Foundation”). FACULTY’s termination from a Foundation shall constitute sufficient cause to terminate this Agreement immediately without further notice or recourse.

Notwithstanding the foregoing, KUMC and FACULTY agreethat the continued employment and appointment of FACULTY during the term of this agreement is subject to the policies of the Kansas Board of Regents and, on an annual basis, to appropriations being provided by the Kansas Legislature.

  1. Other Conditions of Appointment

FACULTY agrees and understands that this clinical term appointment is a [part-time/full-time (___ FTE)], non-tenure track appointment. KUMC and FACULTY mutually agree that FACULTY has no expectation or right to any further or successive appointments at KUMC upon the expiration of this clinical term appointment, including but not limited to, tenure track, clinical, or any other type of appointment. Time and title in this non-tenure track does not count toward the probationary period to obtain tenure. Should a transfer occur to the tenure track, the guidelines for tenure apply. Any such appointments must be made in specific compliance with parameters approved by the Kansas Board of Regents. FACULTY agrees that any offers of clinical term appointments following the expiration of this appointment shall be within the sole discretion and determination of KUMC.

  1. Salary and Employment Responsibilities

Salary will be determined each year by the availability of funds and by merit, which includes, but is not limited to, productivity. Any portion of salary that is funded by restricted funds, grants, funds contingent on grants, or endowed funds from any source, is subject to availability of those funds and may be reduced in the event the funding source is decreased. Regardless of funding source, salary and/or appointment percentage may be reduced or FACULTY may be subject to furlough during budgetary reductions. FACULTY agrees to perform those services and responsibilities set forth in the written statement attached to this agreement as “Appendix A.” Appendix A is incorporated into this Agreement by reference and made a part hereof. KUMC and FACULTY agree that the services and duties described in Appendix A shall be periodically reviewed and revised, as appropriate.

To the extent that my University of Kansas Medical Center faculty appointment involves patient care, FACULTY recognizestheir duty to train and supervise students and/or medical residents. FACULTY is responsible for the actions of students and/or medical residents when they are involved in the care of FACULTY’s patients and acting under their direction and control.

Any supplemental compensation provided to faculty physicians shall be in accordance with, and subject to, the separate physician services agreement with the Foundation.

  1. Agreement Amendments

Any amendments to this agreement shall be in writing in order to be effective.

  1. Governing Law

This agreement shall at all times be construed and enforced in accordance with applicable KUMC policies, the Policies and Procedures of the Kansas Board of Regents, including but not limited to Chapter II, Section F.7, and the laws and regulations of the State of Kansas, as enacted and amended.
