CONSTITUTION of the SOUTHERN TIER BICYCLE CLUB, INC.

Article I: Organization Name

Southern Tier Bicycle Club, Inc. referred to hereafter as STBC

Organized April, 1969

Incorporated May 2, 1974, Not for Profit, under Section 402

Article II: Purpose (Per Certificate of Incorporation)

(a) To promote general interest in cycling activities, in particular to promote bicycle commuting, touring, and racing.

(b) To encourage public authorities to allocate facilities on public lands for the use of cyclists, in particular bikeways, and to secure bicycle parking.

(c) To improve the public's awareness of the cyclist's purpose, rights, and vulnerabilities.

(d) To provide social and athletic recreation for its members.

Article III: Dues

Dues shall be determined by the Executive Board and collected annually.

Memberships are on a calendar year basis and expire Dec 31st.

Any new memberships paid during the last quarter of the year shall be extended throughout the following year.

All STBC monies will be banked in an account held in the name of STBC.

Article IV: General Membership

The requirement for membership in STBC is limited to payment of annual dues.

General Membership benefits include participation in club rides and activities, listing on the club roster, regular notification of club rides and other activities, opportunities to lead rides, and potential sponsor discounts.

STBC Membership shall terminate upon:

1.  Non-payment of CLUB dues.

2.  Member's resignation.

3.  The Executive Board's determination of activities detrimental to STBC's interest.

Article V: Officers

The Officers shall consist of a President, Vice President, Treasurer, and Secretary.

The Officers shall be nominated by the Nominating Committee and elected annually by the

General Membership at the STBC annual meeting.

Nominations for Officers may also be made from the floor at the STBC annual meeting.

If an Officer can no longer fulfill his or her duties, they shall notify the Executive Board

in writing and the Executive Board may appoint an acting Officer until the next annual

meeting, when a replacement shall be nominated and approved by the General

Membership.

Article VI: Board of Directors

The Board of Directors shall consist of at least four, but no more than six, other STBC

members that are appointed by the Officers from the General Membership.

If a Board of Director member can no longer fulfill his or her duties, he/she shall notify the

Executive Board in writing.

Article VII: Executive Board

The Executive Board will be made up of the four elected Officers and the Board of Directors.

A quorum of the Executive Board shall consist of a majority of the Board of Directors

including a minimum of two Officers.

All members of the Executive Board will be notified of any meeting at least one week in

advance. This requirement may be waived for a specific meeting by a quorum as

described above.

Article VIII: Committees

All Committees shall be appointed by the Executive Board and shall report back to the

Executive Board for approval.

Committees will be designated as standing or temporary.

Article IX: Meetings

All meetings will be conducted in accordance with Robert’s Rules of Order.

At least one general membership meeting will be conducted each year.

Executive Board meetings will be held as necessary.

All Members shall be notified of any meeting, at least one week in advance.

Article X: Voting

A Member must be present at a meeting to vote.

A motion will be carried under the majority rules provision.

Article XI: Amendments

With the exception of items included in the STBC Certificate of Incorporation, amendments to this CONSTITUTION may be proposed by any STBC Member at any general membership meeting and may be incorporated into this CONSTITUTION if approved by two-thirds of the General Membership vote that are present at that meeting.

Article XII: Adoption

This CONSTITUTION shall be adopted upon acceptance by two thirds of the General Membership vote that are present at the annual STBC meeting.
