Alliance Soccer Club Beliefs

The Alliance Soccer Club was established in 2011 with the simple idea – that kids come first. We will always keep sight of that fundamental objective and believe families will be attracted to our club because of our focus on the kids and not the often self-serving “business of soccer.” Our partnership was established to create a working relationship between existing clubs that benefits soccer development through shared resources, allowing the opportunity to work with organizations with a similar mission and geography.

As we continue to grow, the management and improvement of the Club remains central to achieving our goals of providing the positive coaching, leadership skills, premier league play and opportunities for players to grow their passion and skills for the game.

Alliance Soccer Club Values

  • Integrity- We take responsibility for our actions. We demonstrate our integrity when we work through disagreements with honesty and respect for others, when we honor our commitments and when we accept responsibility for our actions. We are fair with our players, parents, opponents, referees and governing organizations.
  • Fair Play– We adhere to all aspects of the FIFA Fair Play Code. We treat others with dignity. We take the high road in all our dealings. We must consider what is right and just in all our decisions. Our players are taught that fairness is the basis for sport and that the rules exist for the benefit of all competitors.
  • Inclusion– We believe there is a place for every child who desires to play soccer in some facet of our Club. We strive to provide as many opportunities to play soccer as possible. We do not close the door on any chance that a child might interact with a soccer ball, teammates and fun.
  • Honesty- Honesty means being trustworthy and sincere in accordance with experience and facts. Lying, cheating, stealing, or the appearance of impropriety are unacceptable.
  • Self-Esteem- Our players are coached with positive reinforcement and progress through our soccer program as increasingly confident young adults.
  • Competitive Spirit- Our players are expected to give their best when in competition and to work hard, within their team concept, in order to improve themselves.
  • Balance- Our players learn that friendship, community and scholastics are important factors in team and personal success.

Alliance Soccer Club Philosophy

  • Our youth soccer program is dedicated to helping players reach their maximum potential both on and off the field.
  • We want our players to do the best they can in life as well as in soccer.
  • Our program will help prepare kids to be ready for High School and College soccer.
  • We offer Licensed & Professional training at all times to all our players.
  • From U4 to High School Age Players coaches adhere to a common curriculum, reinforcing proper ball handling skills, passing skills, specific plays for specific situations, and strategies for winning.
  • We believe that it is important that the coaches train with the teams andalso attend the games.
  • They make the game of soccer easy to learn, plus they make sure the kids are having fun as well.

Alliance Soccer Club Restated ASC Board Bylaws

The following amended and restated ASC Board Bylaws were approved by a vote of the general membership at the Annual General Meeting on April 1, 2016.

In additionthe Alliance Soccer Club'sGuiding Principles, Core Values and Operating Principles, the Club is governed by its ASC Board Bylaws and policies and procedures adopted by the Board of Directors (TBD) (the “Policies and Procedures”), with the ASC Board Bylaws having precedence over the Policies and Procedures. These ASC Board Bylaws supersede and amend and restate any and all prior ASC Board Bylaws in their entirety.

The Proposed Amendment to the By-laws reflected in Figure 1, is an evolution from a 6 person Board comprised of the leadership from the founding Organizations (Damascus Soccer Club, Frederick Soccer Club, and LOUYAA Soccer Club), and who were critical for the startup and early growth of the Club, to a 11 person Board (6 Members continue to be selected from the 3 founding organizations, and 5 At-Large Members) which cansupport the needs of the Club as it growsand develops for the next 10-15 years.

The two other significant changes in the Board ASC Board Bylaws reflect the addition of a voting Membership of the Parents and Coaches, as well as the addition of assignment of accountability of Board Member to key functions, such as finance, soccer operations, safety, sportsmanship, business development, etc. … However the expectation is that none of the Board members are regularly involved in the day to day operations as Board members. The day-to-day operations would fall to the Director of Coaching, Manager of Operations, and Manager of Finance, as well as number of other volunteer’s coordinators (equipment, boys and girls travel, recreation, tournaments, etc. …)

ARTICLE I. MEMBERSHIP

1.1 VOTING MEMBERSHIP:

(i.)All parents or guardians of boys and girls properly registered to either the Junior and Senior Soccer Academy, Recreational or Competitive Soccer team to participate in the Alliance Soccer Club hereinafter referred to as the “Club,” an Affiliate of the Linganore Oakdale Urbana Youth Athletic Association, Inc., hereinafter referred to as the ‘LOUYAA’ a non-profit corporation, and all adults who are registered with LOUYAA as Recreation and/or travel coaches and assistant coaches.

(ii.)Each parent or legal guardian of a member has one vote for a maximum of two per family regardless of the number of players in each family. Each member of the current Board of Directors shall be considered a voting member entitled to (1) vote at the Annual General Meeting (AGM), as long as they comply with the above maximum per family.

1.2 NON-VOTING (ASSOCIATE) MEMBERSHIP:

Sponsors, referees, skill trainers and committee members, who do not qualify under 1.1 (i), shall have associate membership status. All members (voting and non-voting) shall have the privilege to attend AGM and Board meetings and be allowed as guests to address the governing body. An Associate Member cannot vote.

1.3 TERM OF MEMBERSHIP:

The term of membership for all Members shall be one (1) seasonal year.

1.4 REMOVAL OF A MEMBER:

Any member who has not fulfilled his or her financial obligations to the Club or whose conduct is detrimental to the purpose of the Club shall be subject to disciplinary action by the Club. Disciplinary action could result in expulsion from the Club or suspension from the soccer program.

ARTICLE II. BOARD OF DIRECTORS

The duties, power and authorities of the Directors shall include, but not be limited to, the following:

2.01 GENERAL RESPONSIBILITIES

(i.)Strategic planning, vision and long-term direction of the Club.

(ii.)Monitoring the Business operations of the Club.

(iii.)Selection of the Director of Coaching (DoC).

(iv.)Selection of the Manager of Operations.

(v.)Selection of the Manager of Finance.

(vi.)Maintenance and implementation of the Club’s Policies and Procedures. (TBD)

(vii.)Fundraising

(viii.)Supervision over the operations of the Club as required by the LOUYAA.

2.02 BOARD PRESIDENT:

(i.)The President shall be the Official Liaison to the LOUYAA Board, acting in the Capacity of the Commissioner, as well as preside at all meetings of the members and directors. In all cases where (and to the extent that) the duties of the other directors of the Club are not specially prescribed by the ASC Board Bylaws or the Policies and Procedures of the Board of Directors, the President may prescribe such duties, subject to approval by the Board of Directors. The Board President shall perform the following duties:

(ii.)Work with the Executive Committee and the DoC, Manager of Operations, and the Manager of Finance set the Club’s mission statement and objectives for the current year. Meet at the end of each quarter to review the Club’s performance to date. Report out to board with recommended actions.

(iii.)Work with the Executive Committee and the DOC to develop and maintain a strategic 3-year plan for the club. Meet twice per year to review progress and make adjustments. Reports out to board.

(iv.)Preside over the annual general meeting and elections

(v.)Preside over all Board meetings and establish monthly Board agendas

(vi.)Address issues of customer service, that are unable to be resolved by the cognizant Board Members, and/or the Mangers, of Operations, Finance, or DoC

(vii.)President shall be a voting member of the Club for a minimum of two (2) consecutive years immediately preceding their selection.

2.03 Board Vice President:

(i.)The Board Vice President, in the absence of or disability of the President, shall perform all duties of the President and shall perform such other duties as may be prescribed by the Board of Directors. The Board Vice President-Operations shall attend all meetings of the Board and all meetings of the members and be accountable to the Board for all Operational and Soccer oriented functions of the Club as defined in the duties set forth below:

(ii.)Work with the Executive, Finance, and Operations Committee and the DOC to develop and maintain a 1year-operating plan for the club. Meet twice per year to review progress and make adjustments. Reports out to board, and presents the Operating plan to the Membership at the AGM.

(iii.)Responsible for developing the slate of at-Large Board Members, and presenting to the Board and presiding over the election at the AGM

(iv.)Vice Board Presidentshall be a voting member of the Club for a minimum of two (2) consecutive years immediately preceding their selection.

2.04Director of Operations:

(v.)The Director of Operationsworking with the Board Members, DoC, Manager of Operations, and the Operations Committee is responsible for insuring the development and execution of the Annual Operating Plan. The Director of Operations shall attend all meetings of the Board and all meetings of the members and be accountable to the Board for all Operational and Soccer oriented functions of the Club as defined in the duties set forth below:

  1. Work with the DOC to insure that the appropriate policies and procedures for Soccer Operations are Completed/Updated Annually
  2. Work with the DOC to identify, recruit and manage the Manager of Soccer Operations positions:
  1. Managerof Operations(Paid Position)
  2. Tournaments & Special Events Coordinator.(Voluntary or Appointed)
  3. Marketing & CommunicationsCoordinator (Voluntary or Appointed)
  4. Registration (LOUYAA Filled Function)
  5. EquipmentCoordinator (Voluntary or Appointed)
  6. Supervises the DOC.(Paid Position)

(vi.)Director of Operations shall be a voting member of the Club for a minimum of two (2) consecutive years immediately preceding their selection.

2.05Treasurer:

(i.)The Treasurer working with the Manager of Finance shall be accountable to the Board for all issues related to the finances of the Club.The Treasure is responsible for tracking financials both with the LOUYAA and with DSC as it relates to Tournament revenues and there uses. While funds for the Club are generally managed by the LOUYAA, there still needs to be specific monthly, quarterly, and annual financial reporting of the fiscal health and viability of the Club.

(ii.)The Treasurer is responsible for ensuring the annual financial report of the Club and the proposed Budget for the upcoming fiscal year, is prepared, reviewed then posted 30 days prior to the annual general membership meeting.

(iii.)The Treasurer shall have the following duties:

  1. Work with the Financial Manager to insure that the appropriate policies and procedures for Financial Operations Manager (FOM) are Completed/Updated Annually
  2. Work with the Manager of Finance to identify, develop and the necessary reports needed, including but not limited to:
  1. Annual Budget.
  2. Monthly, and Quarterly Financial Report
  3. Proposed Budget for Special initiatives
  4. Annual Report

(iv.)The Treasurershall be a voting member of the Club for a minimum of two (2) consecutive years immediately preceding their selection.

2.06Secretary:

(i.)Secretary shall attend all meetings of the Board and all meetings of the members and be responsible for all administrative functions of the Club as defined in the duties set forth below:

(ii.)Provide secretarial assistance for minutes at Board of Directors, Annual General Meeting and other meetings

(iii.)Sit as a member of the Discipline and Review Committee

(iv.)Supervise the Director of Human Resources & Discipline

(v.)Overall ownership of the Club’s Policies & Procedures document, insuring that the owners of each section keep them current and that the appropriate measures are in place to enforce compliance. The sections and owners of the Alliance Policies and Procedures document should include, but are not limited to the following:
- Soccer OperationVice Board President of Operations & DoC
- Team Management Vice Board President of Operations & DoC
- Registration LOUYAA Resources

- Financials Treasurer
- Human Resources Secretary
- Legal LOUYAA Resources
- SafetyDirector of Safety, Sportsmanship and Discipline

(vi.)Changes to the Policies and Procedures document must be ratified by a majority vote of the Board of Directors, and approved annually by the Membership.

(vii.)Within twenty-one (21) days of each meeting, the minutes of the meeting shall be distributed to the board and available to the membership. Notice shall be given of all meetings.

(viii.)The Secretaryshall be a voting member of the Club for a minimum of two (2) consecutive years immediately preceding their selection.

2.07Director of Special Projects:

(i.)The Director of SpecialProjects working with the Board Members, DoC, Manager of Operations, and the appropriate Committees is responsible for insuring the development and overseeing the deployment of those projects which are outside the scope of existing board responsibilities, or are within scope but have yet been developed (Policies and procedures documents, irrigation system for LOUYAA park soccer fields, etc …). The Director of Special Projects shall attend all meetings of the Board and all meetings of the members and be accountable to the Board for reporting on status of all special projects.

(ii.)Shall develop project plan, and budgets where necessary for all special projects, and as necessary present the plans at the AGM.

(iii.)Director of Operations shall be a voting member of the Club for a minimum of two (2) consecutive years immediately preceding their selection.

AT – LARGE BOARD MEMBERS

2.08 DIRECTOR OF FUND RAISING (Volunteer):

(iv.)The Director of Business Development shall attend all meetings of the Board and all meetings of the members and be responsible for all new business development functions of the Club as defined in the duties set forth below:

  1. Development of Club Sponsorships/Sponsor Packages
  2. Development and implementation of Club Fundraisers (other than tournaments)
  3. Grant writing
  4. Paid Advertising
  5. Merchandise Sales

(v.)Candidates for Director of Business Development at any election for that office shall be a voting member of the Club a minimum of one (1) year immediately preceding the election.

2.08 DIRECTOR OF MARKETING AND BUSINESS DEVELOPMENT (Volunteer):

(i.)The Director of Business Development shall attend all meetings of the Board and all meetings of the members and be responsible for all new business development functions of the Club as defined in the duties set forth below:

  1. Development of Club Sponsorships/Sponsor Packages
  2. Development and implementation of Club Fundraisers (other than tournaments)
  3. Grant writing
  4. Paid Advertising
  5. Merchandise Sales

(ii.)Candidates for Director of Business Development at any election for that office shall be a voting member of the Club a minimum of one (1) year immediately preceding the election.

2.08 DIRECTOR OF SPORTSMANSHIP, & DISCIPLINE

(i.)The Director of Safety, Sportsmanship & Discipline shall attend all meetings of the Board and all meetings of the members and be responsible for all employee and personnel related issues of the Club as defined in the duties set forth below:

  1. Oversight and implementation of the Safety Training and Recertification policies.
  2. Oversight and implementation of the Sportsmanship Training and Recertification.
  3. Oversight and implementation of the Coaching Agreement and coach policies.
  4. Oversight and implementation of the Player/Parent Agreement and coach policies.
  5. Establish policies for Discipline and Review Committee.

(ii.)Candidates for Director of Safety, Sportsmanship & Discipline at any election for that office shall be a voting member of the Club a minimum of one (1) year immediately preceding the election.

2.09 DIRECTORS AT LARGE: (To Be Added during FY 2016-2018)

(iii.)The Board of Directors may contain up to 5Directors at Large. Directors at Large shall be appointed to the Board of Directors through the affirmative vote of a majority of the Board of Directors.

(iv.)Directors at Large are not required to be members of the Club.

(v.)The Directors At Large shall attend all meetings of the Board of Directors.

2.10 DIRECTOR OF COACHING AND SOCCER OPERATIONS (DOC) – Non-Voting Member of the Board

(i.)The Director of Coaching and Soccer Operations shall attend all meetings of the Board and all meetings of the members and be responsible for all Alliance Coaching and Soccer Operations of the Club as defined below:

  1. Development of Alliance "style of play" and coaching curriculum
  2. Development of coaching manuals and coaching education program
  3. Recruiting and oversight of:
  4. Youth Academy Coordinator (U4 – U7)
  5. Youth Academy Coordinator (U8 – U9)
  6. Rec Soccer Coordinator (U10 – U18)
  7. Coaching Coordinator - Boys (U10 – U18)
  8. Coaching Coordinator - Girls (U10 – U18)
  9. Soccer Operations Coordinator (Future Hiring)

(ii.)Selection, training and supervision of coaches (pro and volunteer)
