Memorandum of Understanding (MOU) between Tennessee Independent Colleges and Universities Association and member institution regarding the Tennessee Longitudinal Data System

This Memorandum of Understanding is hereby made and entered into by the Tennessee Independent Colleges and Universities Association (TICUA) and ______for the purpose of supplying data to and using data in the Tennessee Longitudinal Data System (TLDS). This agreement extends the “Understandings Regarding the Use of Information Gathered For TICUA” agreement explicitly for the purpose of providing data to the TLDS.

  1. Purpose. The Tennessee Independent Colleges and Universities Association (TICUA) is authorized to collect from ______(“the Institution”)personally identifiable information that is confidential under Federal and Tennessee laws for the purpose of submitting the data to the TLDS.

Specific laws related to this system are referenced in the TLDS Data Access and Management Policy.

The purpose of this agreement is to establish the responsibilities of each party as they pertain to the administrative functions regarding Data Sharing as required by State and Federal law.

  1. Scope. TICUA is authorized to submit to the TLDS on the Institution’s behalf certain personally identifiable information about the Institution’s students. This information may include, but is not limited to: Name, Social Security Number, Achievement Data, Degree Information, etc.TICUA will represent the Institution in the governance of the TLDS, but the Institution will retain “ownership” of the data and control access and use of its data submitted to the TLDS.

TICUA and the Institution agree to allow all or portions of their data to be shared with users authorized by Partner Agencies as detailed in the TLDS Data Access and Management Policy. Data that may not be shared with other agencies will be specifically identified by the “owner” agency, and access to those data will be denied to unauthorized agency staff.

The TLDS is maintained by the University of Tennessee, Center for Business and Economic Research (CBER) in a secure data system. CBER complies fully with the requirements of State and Federal laws as referenced in the TLDS Data Access and Management Policy, by maintaining the confidentiality of all personally identifiable information and will use the information solely to fulfill its obligations as contracted by the State of Tennessee.

  1. Contracting period. This MOU is effective as of the date it is signed by all parties and shall continue until any party has terminated the agreement and notified the other parties as such with a 60-day notice. This agreement may be amended at any time upon express mutual consent of all parties, consistent with state and federal law. Given that this MOU is not terminated early by written notification, the MOU will terminate on 03/15/2014 unless otherwise extended by written agreement signed by all parties.
  1. Data Sharing Privacy and Security. Each party agrees to the data sharing privacy and security policies and procedures established in the Data Access and Management Policy.
  1. If the terms of the MOU are not being fulfilled, one or more parties may terminate the agreement upon notification of such to the other parties.
  1. Communications and Contacts. All instructions, notices, consents, demands, or other communications required or contemplated by this MOU shall be in writing and shall be made by certified, first class mail, return receipt requested and postage prepaid, by overnight courier service with an asset tracking system, or by EMAIL or facsimile transmission with recipient confirmation. Any such communications, regardless of method of transmission, shall be addressed to the respective party at the appropriate mailing address, facsimile number, or EMAIL address as set forth below or to that of such other party or address, as may be hereafter specified by written notice.
