Sealed and superscripted tenders are invited by the undersigned in the prescribed form from reputed & experienced Electrical Contractor/ security agencies / contractors who are registered under Shop and Establishment act 1948 for following work in persons to the undersigned subject to tender documents terms and conditions.

TERMS ANDCONDITIONS: - The blank tender forms are available at the Mahadiscom site at during the sale period. Same should be down loaded from the site. The EMD & cost of Tender will be accepted in cash up to 13.00 Hrs. on 21.01.08 or by Demand draft drawn in favor of the Superintending Engineer MSEDCL Dhule payable at Dhule. Tender submitted without EMD & Cost of Tender will not be considered. The cheque will not be accepted. Cost of blank tender form (non-refundable) should be paid in cash at Circle Office Dhule or by DD drawn in favor of the Superintending Engineer MSEDCL Dhule payable at Dhule. Before submission of Tender form Money Receipt of Cost of Tender & EMD should be obtained from cashier by depositing cash or DD. The photo stat copy of money receipt should be attached to the Tender form at the time of submission of Tender form. TERMS & CONDITIONS FOR WORK CONTRACT:-

  1. The schedule of work & estimated cost as mentioned is purely tentative & may vary as per the actual requirement on site.
  1. Tender must be submitted in original and without making any addition, alteration & as per details given in other clause mentioned in Tender document. The requisite details should be filled in by the Tenderer wherever specified in the Tender Document.
  1. The Tenderer should quote the rates of each items mentioned in the schedule attached with the Tender with inclusive of all taxes, VAT, Service tax , etc . The rates quoted for extra item other than schedule enclosed by any tenderer will not be considered
  1. The rates shall be valid for 180 days period.
  1. All entries in the Tender should be in ink. Erasing & over writings are not permissible. All corrections & insertions should be initiated by the Tenderers.
  1. The tender should accompany with a list of contracts already executed by the contractor at the time of submission of tenders.
  1. The rates shall be quoted in figures as well as in words & figures and shall be signed by the person or persons duly authorized to sign on behalf of the tenderer. The person or persons signing the bid shall initial all pages of bid. If any discrepancy is observed between the amount in figures & in words, the amount whichever is lower will govern.
  1. The contractor who fails to starts the works with in the schedule time and date will be liable to forfeit of the earnest money deposit or security deposit paid in addition to the compensation to the MSEDCL as per the terms & conditions of the contract.
  1. If it is found that quality of works as well as performance is unsatisfactory, the contract is liable for termination without giving any notice and at the entire risk of the contractor. The security deposit paid in cash shall be forfeited.
  1. The contractor should not entrust the work on subcontract or transfer on assign the contract or any part thereof to any third party in case if it is not followed it will be treated as break of contract and will be terminated at contractor’s risk & cost.
  1. The entire work under this contract would be subject to general conditions of contract for work and terms and condition of contract stipulated therein would be binding on contractor.
  1. The material if any, supplied by the MSEDCL are also specified in schedule attached herewith .The rest of the material shall be arranged by the contractor.
  1. The contractor should have his own man power, tools and tackles required to carryout the job. The workers employed for the job should be conversant with the work. In case of any accident to his worker the total responsibility lies with the contractor.
  1. In case of damage to the MSEDCL’s material/theft inappropriate cost of the same will be recovered from the contractor.
  1. The work shall be carried as and when allotted by the concerned division. The completion period of ascertained work will be decided by the concerned Exe. Engineer.
  1. All the works shall be carried out as per the specification and as General method of construction approved and adopted by the MSEDCL.
  1. The contractor has to submit the Xerox copy of the Govt.’s approved Electrical contractor’s license along with the tender in document Tender.
  1. The material to be utilized by the contractor should be got approved by the concern Executive Engineer, before utilization. If material utilized is found not as per MSEDCL specification, same will be required to be replaced by the contractor.
  1. The contractor will have to start the work as per instruction of S.E. concerned or his authorized representative after getting the order from this office and completion of formalities.
  1. If any defects observed during the inspection the same is required to be rectified by the contractor at his own cost.
  1. In case the work is not fully carried out by the contractor the MSEDCL will get done the work through some other parties at high rates also and difference of rates should be recovered from the contractor’s bills who fail to execute the order or the E.M.D. /S.D. etc will be forfeited.
  1. The bills should be submitted through the concerned Ex. Engineer in triplicate for the payment after completion of complete work to this office. The bill will be paid by cheque only as earlier as possible after receipt of bill alongwith M.B. to this office, subject to availability of funds.
  1. The contractor shall not be entitled to claim any interest, any arrears or upon and balance which may be found due to him at any time.
  1. The Income tax & work contract tax and Service Tax, if applicable as per prevailing rate will be deducted from the bills.
  1. Period of Contract: Initially the period of contract will be for one year or completion of order value whichever is earlier and subject to further extension on mutual consent.
  1. You are also deemed to be fully aware of Company’s General terms & conditions of works contract, and any ignorance of these terms and conditions will be not be accepted since sub-station area is declared as prohibited area by the Company it is necessary to take the prior permission from the work In charge for entry etc. The safety of your personnel executing the work shall be fully confirm prior to undertaking the work and responsibility of safety for your staff /persons shall lay with you.
  1. You will be totally responsible for the safety of your persons while at work either at Sub-station or on HT/LT lines or on road and Company will not be responsible for any damage to your vehicle, material/ manpower etc. during the contractual period of this order due to any type of accident/mishap.
  1. No accommodation will be provided to you or to your persons by Company.
  1. No T&P/labour, crane any other relevant equipment will be provided by the Company. Therefore, the same will be arranged by you.
  1. Amount/Amounts due on account of damage or transportation delay or default or breach of contract, the right to recover-retain or withheld the same is reserved by the Company. Any type of compensation/damage etc. to your labour or persons due to any accident etc. will have to be paid by you and Company will not be responsible for the same.
  1. Guarantee Period :- Each 33 KV CT,PT, unit shall be guaranteed for trouble free service for the period of Twenty four months from the date of commissioning . Any failure and further repairs required during the guarantee period shall be attended by the contractor free of charge including transport and other charges within stipulated time to be given by the Superintending Engineer O&M Circle Dhule which will be mutually agreed and recorded,failing which penalty as per MSEDCL rule will be charged. The concern Executive Engineer shall intimate to the contractor regarding failure within guarantee period in 48 hours form the date of declaration as failed.
  1. The contractor shall have to complete the work in full within 45days from the date of receipt of firm & clear work order. If in case the contractor fails to carryout the work in stipulated time. Penalty @ ½ % per week forthe delayed period will be charged subject to maximum upto 10% of the order value.
  1. The 33KV CT , PT units shall be tested as per routine test in presence of Executive Engineer (T) at your works or at testing Division lab/S/Stn as decided by Executive Engineer (T), before providing at site which you have to intimate the same well in advance.
  1. CTs & PTs should be supplied of approved make by MSEDCL, Head Office. A list of which is enclosed herewith. If any contractor supplies CTs & PTs of make not included in the list, should procure/provide a copy of H.O order / approval along with the tender.
  1. The contractor shall have to give account of the material issued to him from time to time. If any material found short utilized than issued it is required to be returned otherwise recovery will be made from his bills as per the MSEDCL’s rules.
  1. The contract or any parts thereof shall not subject to change without the permission of accepting authority or his authorized representative.
  1. Earnest Money Deposit: -The contractor will have to pay E.M.D.Rs.50,000/- to this office in the form of D.D. drawn of any schedule/ Nationalized bank in favour of Superintending Engineer O&M Circle MSEDCL, Dhule payable at Dhule. If paid by DD, same should be deposited in office & receipt should obtained before submitting Tender. Xerox copy of Receipt should be attached with the Tender. Tenders without payment of EMD will not be considered.
  1. The Tenderer shall have to pay be security deposit amounting @10% of the value of the order within seven days from the date of receipt of the order or before starting the work in from of DD. Otherwise it will be deducted from your first bill & will be refunded after 6 month from date of completion of contract period and Security Deposit will be interest free.
  1. The material to be supplied against this order must be of good quality and strictly in accordance with the specification given. If the material is found defective the same shall be replaced free of cost within fifteen days of receipt of intimation. If the defective material is not replaced within the specified period above, the Company shall recover an equivalent amount plus 15% supervision charges from any of the bill of the contractor.
  1. The material to be provided against this order must be got approved from Exe.Engr. (T) before providing at site. The same should be enclosed with the bill for documentary proof. The manufacturers test results / certificates for 33KV CT & PT should be provided at the time of inspection of the material. & it should be confirmed from Executive Engineer (Testing) regarding the test results are satisfactory.
  1. Tender must be submitted in two envelopes which must be properly sealed by the Tenderer with their office seal. In envelop no-1 attested Xerox copies of following documents should be submitted.
  2. Income tax returns filed during last three years.
  3. Sale tax registration under VAT tax / up to date paid certificate.
  4. Bank solvency amounting to tender value from any Nationalized/schedule bank.
  5. Professional tax registration/ up to date paid certificate.
  6. Certificate from respective office/Organization for satisfactory completion of such type of works for showing experience of executing orders and amount limited to tender value during last two years.
  7. Registration under PF and labour laws.
  8. Service taxregistration certificate.
  9. Valid Electrical contractor license
  10. EMD paid details.
  11. Duly Filled proformas attached in Schedule B enclosed in tender document.
  12. Document showing the material i.e. 33 KV CT, PT to be provided i.e. make, product approved by H.O.

The price Tender should be submitted in envelop No-2. If the documents submitted in envelope No-1 are not found as per MSEDCL’s requirement the price bid of such Tenderer will not be opened and will be rejected . However the decision of Superintending Engineer for accepting the document bid i.e. envelope No. 1 in respect of any tenderer will be final at his discretion & binding to all tenderers.

  1. If any discrepancy/objection found in the Tender documents regarding specifications etc, should be brought to the notice of this office before submission of Tender in writing. No objection will be allowed/entertained once the bids are opened. The decision of undersigned will be final & binding on all tenderers.
  1. In case of any conflicting instructions or in difference of opinion on any point or in case of dispute about the contract/work order, the decision of the undersigned will be final & binding on you.
  1. The contractor will have to execute and sign an agreement as per rules of MSEDCL on the stamp paper of Rs.-100/- and will have to bear the stamp duty for the purpose if required.
  1. The details of works to be carried out will be given by Executive Engineer of concerned Divisions.
  1. The terms and conditions mentioned in the tender notice published in News papers is applicable to this Tender.
  1. The undersigned reserved the right to accept or reject any parts or all tenders without assigning any reason & to make any alteration / modification if necessary. Further the undersigned reserves the right to bifurcate the tender order & work to more than one contractor.
  1. Arbitration.

All disputes & difference of any kind whatsoever arising out of or in connection with the contract, whether during the progress of the work or after its completion & whether before or after the determination of the contract, shall be referred by the contractor to the S.E. & S.E. shall (within 120 days) after receipt of the contractor’s representation make & notify decisions of all matters referred to by the contractor in writing.

i.Demand for Arbitration :

In the event of any dispute or difference between the parties hereto as to the construction or operation of this contract, or the respective rights & liabilities of the parties on any matter in question, the dispute or difference on any account or as to the withholding by MAHARASHTRA STATE ELECTRICITY DISTRIBUTION COMPANY of any certificate to which the contractor may claim to be entitled to, or if the S.E. fails to make a decision (within 120 days) then an in any such case, the contractor (within 120 days) but within (180 days) of his presenting his final claim on disputed matters, shall demand in writing that the dispute or difference to be referred to arbitration.

ii.The demand for arbitration shall specify the matters, which are in question, or subject of the dispute or difference as also the amount of claim item wise. Only such dispute(s) or difference (s) in respect of which the demand has been made, together with counter claims or set off, shall be referred to arbitration & other matters shall not be included in the reference.

  1. The arbitration proceedings shall be assumed to have commenced from the day, a written & valid demand for arbitration is received by the Board / company.
  2. The claimant shall submit his claim stating the facts supporting the claims along with all relevant documents & the relief or remedy sought against each claim within a period of 30 days from the date of appointment of the Arbitral Tribunal.
  3. The Board / Company shall submit its defence statement & counter claims, if any within a period of 60 days of receipt of copy of claims from the Tribunal thereafter unless otherwise extension has been granted by the Tribunal.
  4. No new claim shall be added during the proceedings by either party. However, a party may amend or supplement the original claim or defence thereof during the course of arbitration proceedings subject to acceptance by Tribunal having due regard to the delay in making it.
  5. If the contractor(s) does/ do not prefer his / their specific and final claims in writing, within period of 90 days of receiving the intimation from the Board / Company, that the final bill is ready for payment, he / they will be deemed to have waived his / their claims(s) & the Board / Company shall be discharged & released of all liabilities under the contract in respect of these claims.
  1. Obligation during pendency of Arbitration :

Work under the contract shall unless otherwise directed by the Engineer, continue during the arbitration proceeding, & no payment due or payable by the M.S.D.C.Ltd. / Company shall be with held on account of such proceedings, provided, however it shall be open for Arbitral Tribunal to consider & decide whether or not such work should be continued during arbitration proceedings.

  1. In case where the total value of all claims in question added together does not exceed Rs. 1.00 crore (Rs.
