MACD Bylaw changes require 2/3 approval by the full voting membership.

WHEREAS, Article IV (A) of the current bylaws states:

Each conservation district organized under the provisions of the Montana Conservation District Law is a member of the Association; and

WHEREAS, Article XII (B) of the current bylaws states:

A conservation district that pays dues to the Association, has been excused from payment of dues to the Association for the current year, or has been allowed to pay partial dues for the current year may attend all special and regular meetings and exercise the right to vote under the By-Laws of the Association, Article XII(B); and

WHEREAS, Article III (A) of the current bylaws states:

The purpose of the Association is to plan, promote and consummate a comprehensive system of natural resource conservation for the state of Montana through local conservation districts and to promote social welfare and operated to further the common good and general welfare of the conservation districts and the people they serve. The Association will exchange information relating to the administration and operation of conservation districts and otherwise promote their welfare; and

WHEREAS, conservation districts under the provision of Montana State Law are the driving force behind the purpose and necessity of the Association; and

WHEREAS, the Association is guided and directed by local conservation districts; and

WHEREAS, it is important to generate diverse leadership and engage all supervisors while developing and retaining participation by the local conservation district membership; and

WHEREAS, Article IX (B) of the bylaws of Association currently states:

It is the duty of the board of directors to effectuate all policies and programs. The board of directors may adopt amendments to the By-Laws as it deems necessary or desirable for the governance of the Association; and

WHEREAS, the bylaws of Association were adopted on November 9, 2015 by the board of directors; and Article XIV(B) currently states:

The bylaws may be adopted, amended or repealed by a majority vote of the board of directors or by two-thirds majority vote of all qualified districts at the annual or special meeting of the Association;

NOW, THEREFORE BE IT RESOLVED, that the Montana Association of Conservation Districts hereby amend Article XIV (B) of the Bylaws of Association to state:

By-Laws of the Association will be adopted, amended or repealed by a majority vote of the board of directors or two-thirds majority vote of all qualified districts at the annual or special meeting of the Association.

NOW, THEREFORE BE IT FURTHER RESOLVED, to amend Article IX (B) of the Bylaws of Association to state:

It is the duty of the board of directors to effectuate all policies and programs. The board of directors may adopt amendments will propose to the membership changes or amendments to the By-Laws as it deems necessary or desirable for the governance of the Association. Such proposed changes and amendments to the Articles of Association and/or By-Laws of Association must follow the Resolution process as outlined in policy and will be presented at the annual meeting of the Association for adoption by a two-thirds vote of qualified districts present.

MOREOVER, BE IT FURTHER RESOLVED that the amendments be published and submitted to the member districts for their approval in accordance with Article XIV(B) of the Bylaws of Association.
