1. The undersigned has been advised that Boxers Realty has been retained with respect to the offering for sale or lease of the above names Property.

2. The undersigned hereby acknowledges it is a principal or an investment advisor in connection with the acquisition of the Property and that Boxers Realty is the originator of this (these) Property inquire(s).

3. The undersigned hereby to indemnify the Owner and Boxers Realty against any compensation, liability or expense arising from claims by any other broker or other party the undersigned had dealings with excluding Boxers Realty in connection with the sale or lease of the Property.

4. The Owner has requested that all initial inquiries and communications with respect to the sale or lease of said Property be directed to Boxers Realty.

Boxers Realty has available for view certain information (“Confidential Information”) concerning the Property. Boxers Realty may make such Confidential Information available to the undersigned upon execution of this Confidentiality Statement. The Confidential information is intended solely for your own limited use in considering whether to pursue negotiations to acquire the Property. This is not an agreement to sell or lease the Property or an offer of sale or lease. No agreement binding upon the Owner of the Property or any of it’s associated or affiliated companies shall be deemed to exist, at law or equity, until the Owner of the Property enters into a formal binding agreement of sale.

By executing this Confidentiality Statement, you agree:

1. That you will treat information supplied to you in the strictest confidence and that you will not disclose the information to any person, firm or entity without prior authorization of the Owner and Boxers Realty in writing, except that the information may be disclosed to your partners, legal counsel, lenders and consultants in which event you will be liable to Broker and Owner if such persons fail to maintain such confidence or discloses such information to any other person without prior authorization of Owner and Boxers Realty or pursuant to court order.

Owner expressly reserves the right in it’s sole discretion to reject any or all proposals or expressions of interest in the Property and to terminate discussions with any party at any time with or without notice. If you do not wish to pursue acquisition negotiations you hereby agree to return the confidential information to Boxers Realty and Owner. Owner is an intended beneficiary of the terms of this Confidentiality Statement.
