KELLY’S FEES AND SCHEDULE OF PAYMENT

Please find below Kelly’s Preferential Fees detailed below as per UCT’s new rate schedule for 2009. Annual increases for staff would be due every 12 months as per standard operating procedures.

1.1 Overtime

In terms of the Basic Conditions of Employment Act, Kelly Flexi Staff working in excess of nine (9) hours in any day in a five day week, eight (8) hours in any day in a six (6) day week or forty five (45) hours in one week, will be remunerated at one and a half times the hourly wage rate (applicable for weekdays and Saturdays). Hours worked on gazetted Public Holidays are payable at double the applicable hourly rate. These overtime rates will be for the account of UCT.

1.2 Night Shift Allowance

Should UCTrequire Kelly Flexi Staff who do not ordinarily work in the evening or on a shift basis, to work between 18h00 and 06h00, a 10% shift allowance or overtime- whichever amount is the greater, is payable to the Kelly Flexi Staff on assignment. Should a night shift allowance be due to the Kelly Flexi Staff, this will be for the account of UCT and paid to the Kelly Flexi Staff over and above the basic hourly rate.

1.3 Sunday Pay

Hours worked on a Sunday are payable at double the applicable hourly rate. However, if Sunday is deemed to be part of UCT’s normal working week, the hours worked on a Sunday will then be payable at time and a half the applicable hourly rate. These overtime charges would be for the account of UCT.

1.4 Termination of Assignment

In respect of the termination of individual assignments, UCT will give Kelly one (1) week’s notice if the Kelly Flexi Staff has been employed for six (6) months or less, two (2) weeks’ notice if employed between seven (7) and twelve (12) months, and four (4) weeks thereafter. Should severance pay become due, this will be for the account of UCT.

1.5 Two Day Guarantee

In the unlikely event that a Kelly Flexi Staff is unsatisfactory for any fair reason in the first two (2) days of the assignment, there will be no charge for that time. We will replace as soon as possible.

The fees and guarantees offered to UCT by Kelly for the placement of permanent staff follow hereunder.

2.COVERSION FEE – FLEXI TO PERM

Kelly’s Preferential Conversion Fee will apply if the Kelly Flexi Staff, whilst on current assignment to UCT, is appointed onto UCT’s Permanent Staff. Kelly’s Preferential Conversion Fee will not apply in the instance where a Flexi assigned to UCT is referred to another Staffing Service and reassigned to UCT. In this instance UCT agrees that they will be liable for the full conversion fee as per Kelly‘s Standard Terms of Service attached hereafter.

3.permanent pricing

Kelly understands that the current scope of service is for the placement of flexi staff, however detailed below Kelly offers UCT the following Preferential Placement Fee in the event that the scope of service might include Permanent Placements.

All placement fees detailed above are subject to VAT, but as this may be claimed by UCT as an Input Tax Credit, it is an effective nil cost

THE KELLY GUARANTEE

Kelly offers a Three-Month Guarantee. It is validated by the full fee being paid within fourteen (14) days of the candidate commencing employment with UCT.

Should a candidate who has been referred by Kelly leave for any reason within the Three-Month Guarantee period, subject to the terms and conditions of the Guarantee below, Kelly will provide a free replacement.

Terms of Guarantee

Free Replacement

If the Guarantee is validated and if the first person engaged leaves within the Three-Month Guarantee period, UCT is entitled to receive a free replacement candidate to fill the same vacancy.

(Please note: To take into account possible differences in salary, i.e. between the first person engaged and a replacement, the original charge will be credited in full and the new fee calculated and invoiced on the replacement's salary).

Rebates

In the event that no replacement candidate is accepted by UCT as suitable for engagement, or should UCT decide not to find a replacement - providing the original candidate has left – UCT with quality for a rebate as follows:

  • If the candidate leaves within the first month of employment, an 80% rebate of the placement fee will be credited. A 50% rebate will apply if the candidate leaves within the second month, and a 50% rebate if in the third month. If UCT does not qualify for the Guarantee, full payment of the fee will be required
  • If UCT does not validate the Guarantee, even if the candidate leaves UCT employ within the Guarantee period, UCT will not be entitled to receive replacement candidates or a rebate. UCT will be liable for the amount due on the original invoice
  • A request for a replacement or a rebate must be made to Kelly within 48 hours of the last day of engagement of the first person employed. It will be necessary to specify the date the original person placed left, or will leave, UCT’s employment

4.SETTLEMENT OF ACCOUNTS

Kelly invoices are due and payable within thirty days (30) days from date of invoice. Invoices will be processed and hand delivered to UCT as Kelly Flexi Staff wages are paid each week, invoices are rendered weekly.

5.NEW LEGISLATION

Kelly undertakes at all times to adhere to any statues governing employment and fair labour practice. UCT agrees that Kelly reserves the right to re-negotiate this Pricing Schedule should new legislation have bearing on same. UCT will at all times allow Kelly to operate within the parameters of the law.

Any additional statutory benefits and payments which Kelly is lawfully required to pay to or on behalf of the Kelly Associate/Flexi-Worker will be reflected in a rate adjustment to UCT provided UCT is given prior written notice of such an adjustment.

Kelly will as a matter of urgency and in writing to UCT inform UCT of any such changes in legislation that will affect rates of pay or benefits or levies.

6. USE OF SERVICE /OFFERING OF EMPLOYMENT TO FLEXI STAFF

UCT undertakes that neither they nor any person, associated company, subsidiary, division or other related entity or any other legal or other person with whom UCT is associated with, whether directly or indirectly, or any person or legal entity to whom the Flexi Staff so assigned was introduced, shall use the services of, offer employment to or accept an application for employment from such Flexi Staff (whether as an individual or other legal entity, and whether on a permanent or Flexi Worker basis) within a period of six months from the last day of assignment, unless subject to the terms and conditions reflected herein for the Conversion charges agreed upon between Kelly and UCT. UCT acknowledges that if any of the above undertakings are breached in any respect, then UCT shall be liable to pay Kelly immediately an amount based on the current permanent fee structure of Kelly, then prevailing and calculated on the annual rate of remuneration upon engagement or the equivalent thereof payable to such, whether such Flexi Worker is employed by UCT or other party for the whole or part of the year, which charge UCT acknowledges to be fair and reasonable, as a result of the said breach.

This excludes staff temporarily assigned to UCT that have been referred by UCT to Kelly. No fee will apply in the event that these staff are appointed permanently.

7.KELLY FLEXI WORKER DEDUCTIONS

For all Kelly Flexi Workers, as registered employees of Kelly, Kelly deducts PAYE and UIF contributions, and contributes on behalf of the Kelly Flexi Workers directly to the Compensation Fund.
