Image and Testimonial Consent and Release
As of the date hereof and at all timesthereafter, I hereby grant permission to IHS Inc., and any of its affiliates, licensees, subsidiaries, successors and assigns (“IHS or Company"), for the possible use of my current and all future appearance(s), interview(s), performance(s), visual depiction(s), oral statements and/or any other information and materials supplied by me (all together referred to hereinafter as the “Material”) for or in connection with all IHS programs, projects or productions, made for any form of media, and any authorized versions thereof, an unlimited number of times, including but not limited to radio, films, videotapes, videocassettes, videodiscs, audio cassettes, CDs, DVDs, the print media, web, content, the Internet, or any other method or device now known or hereafter devised in which my appearance(s), interview(s), performance(s) and/or other Material may be incorporated, exhibited, and/or otherwise used (collectively referred to hereinafter as the” Program”).
I acknowledge that no promise or representation has been made to me that IHS shall be obligated to use the Material, and I acknowledge that IHSshall have sole and absolute discretion andcreative control in determining whether or not my appearance, interview, performance and/or other Material shall beused in any way, or in editing the Material and Program, or in rescheduling or canceling my appearance,interview or performance.
IHS shall have total ownership of the Material and the Program in perpetuity and throughout the world, andshall have without limitation the following rights: to edit and translate the Material and the Program in whole or in part, at any point in time without obtaining further consent, to printany or all of the Material, to exhibit, distribute, broadcast, display and/or otherwise use the Material and/or theProgram, in whole or in part, to copyright the Material and the Program, to sell, assign or transfer any or all of these rights toothers, and to license others to use any or all of these rights.
IHS may use my name, likeness, voice,biographical information and/or other Material supplied by me for purposes of training, advertising, publicity, promotion and any form of commercial or business purpose.I agree and consent to IHS holding and processing personal data relating to me in any form (whether obtained or held in writing, electronically or otherwise).
I understand that neither I nor my employer will have any right to compensation in connection with the above granted rights. I warrant that the use of my appearance(s), interview(s), performance(s) and/or other Material supplied by me will be free of any defamatory or libellous material, will not infringe the copyright or infringe or violateany other rights of any person or organization,any contract, law, or any duty of confidentiality or privacyand will not incur any liability for payment to any person or organization; and, I further agree to indemnify and hold IHS harmless from any and all claims or liability relating to any breach or violation of such warranties..
This consent and release and any dispute or claim arising out of or in connection with it or its subject matter shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflicts of laws principles, and the New Yorkcourts shall have exclusive jurisdiction.
I have the right to enter into this consent and release,which shall be binding upon me and my heirs, legal representatives and assigns.

If the releaser is not yet 18 years of age, I, the undersigned, hereby warrant that I am the parent or guardian of the minor specified below and have full authority to accept and agree to this consent and release, which I have read and fully understand; I hereby release IHS from and against any and all liability arising out of the exercise of the rights granted to IHS by the above consent and release.
