Notice of Disposition of Surplus Computer & Phone Equipment No. 2013-GA-04

1.  Introduction

Pursuant to the Massachusetts General Laws (M.G.L.) 40J, §4(e), the Massachusetts Technology Collaborative (“MassTech”) is issuing this Notice of Disposition of (2) Generators and Trailers (“Notice”) to request bids from vendors interested in purchasing certain surplus Equipment (“Equipment”) currently in MassTech’s possession at a secure location in West Springfield, Massachusetts. The Equipment is comprised of two Wacker Neuson G25 (20KW) Generators, each mounted on a Triton W-25EB Trailer with electric brakes. The Equipment is separated into two separate lots consisting of one generator and one trailer each. Bids will be accepted on either a single lot or both lots.

2.  About the Massachusetts Technology Collaborative

3.  Surplus Equipment

MassTech is accepting bids on two lots of Equipment: Lot A – (1) Wacker Neuson G25 (20KW) Generator and (1) Triton W-25EB Trailer; and Lot B – (1) Wacker Neuson G25 (20KW) Generator and (1) Triton W-25EB Trailer. MassTech will only accept bids on full lots, not on individual pieces of Equipment. Bidders may bid on either a single lot or both lots. Each lot will be sold to the highest bidder willing to comply with the terms of and execute the Sale of Surplus Asset Agreement and Bill of Sale (collectively, the “Agreement”) (see Attachment C for a copy of the Agreement), subject to the terms and conditions of paragraph 9-3 below. Additional Equipment information and manufacturer’s product literature is included in Attachment D.

Lot A – Generator and Trailer

Lot A is comprised of the following Equipment:

·  Wacker Neuson G25 (20KW) Generator (including installed engine block heater, containment system and cam lock system) (S/N 20112843); and

·  Triton W-25EB Trailer (VIN 4TCSU0251CHG23872).

Lot B – Generator and Trailer

Lot B is comprised of the following Equipment:

·  Wacker Neuson G25 (20KW) Generator (including installed engine block heater, containment system and cam lock system) (S/N 20112844); and

·  Triton W-25EB Trailer (VIN 4TCSU0253CHG3873).

4.  Equipment Condition

The Equipment was purchased in June 2012. Lot A Wacker Neuson G25 Generator (S/N 20112843) has 3.1 hours of total use and is in good condition. Lot B Wacker Neuson G25 Generator (S/N 20112844) has 4.2 hours of total use and is in good condition. The Equipment is being sold “AS IS – WHERE IS.” There are no service or support options associated with this sale. Nothing in this Request for Bids or any related documentation shall create any express or implied warranties or guarantees of performance. MassTech specifically disclaims all implied warranties, including but not limited to, the implied warranties of merchantability and fitness for a particular purpose.

5.  Buyer Requirements

·  The buyer must provide a bank check or money order at the time of the sale. The Equipment will not be relinquished to the buyer before payment.

·  The buyer must pay any and all taxes due. MassTech is a tax-exempt organization and does not collect taxes.

·  The buyer is responsible for transferring and/or obtaining any registration and insurance required for the Equipment.

·  The buyer must be able to accept responsibility for the Equipment upon purchase.

·  The buyer must execute and abide by the terms of the Agreement, including agreeing to properly dispose of the Equipment at the end of its useful life.

·  The buyer must remove the Equipment from MassTech’s possession at a secure location in West Springfield, Massachusetts, within seven (7) days of notice of bid acceptance.

6.  Pre-Bid Equipment Inspection

The Equipment will be made available for pre-bid inspection, upon request, at its present location and at mutually agreeable time. Requests for a pre-bid inspection should be submitted by email to no later than 12:00 p.m. EST on January 14, 2014. .

7.  Bid Submission Schedule

The Bid process will proceed according to the following anticipated schedule:

8.  Instructions for Submission of Bids

Bidders are cautioned to read carefully and conform to the requirements of this specific Notice. Failure to comply with the provisions of this Notice may serve as grounds for rejection of a bid. Bids received later than the date and time specified below will be rejected or deemed non-conforming and returned to the Bidder unopened. MassTech assumes no responsibility or liability for late delivery or receipt of bids.

(a)  An electronic copy of the Authorized Applicant Signature and Acceptance Form (see Attachment A), application and attachments with signatures shall be submitted by 3:00 p.m. EST on January 20, 2014, to . Please include the Notice number in the subject heading.

(b)  One bound double sided copy of the bid must be submitted by 3:00 p.m. EST on January 20, 2014. This document must be an exact copy of the electronic submission. Any deviation in a material term shall disqualify your submission, unless such deviation is to incorporate information Bidder has identified as “sensitive information”.

In order to comply with the above submission requirements, both the electronic and hardcopy documents must be submitted on time and with the appropriate attachments.

Bidders are cautioned to review Attachment A, prior to submitting an electronic copy of their Bid. In accordance with the procedures set forth in Attachment A, any information that Bidder has identified as “sensitive information” in the hard copy of their Bid should be deleted from the electronic copy prior to submission to MassTech.

(d) Any and all data, materials and documentation submitted to MassTech in bid to this Notice shall become MassTech’s property and shall be subject to public disclosure under the Massachusetts Public Records Act. In this regard, Bidders are required to sign the Authorized Bidder’s Signature and Acceptance Form, set forth as Attachment B hereto.

Bidders please note : by executing the Authorized Bidder’s Signature and Acceptance Form and submitting a bid to this Notice, Bidder certifies that it (1) acknowledges and understands the procedures for handling materials submitted to MassTech, as set forth in Attachment A hereto, (2) agrees to be bound by those procedures, and (3) agrees that MassTech shall not be liable under any circumstances for the disclosure of any materials submitted to it pursuant to this Bid or upon Bidder’s selection.

9.  Other Provisions

9.1.  General Information

(a)  All bids, proposals, related documentation and information submitted in bid to this Notice are subject to the Massachusetts Freedom of Information Law, M.G. L. c. 66, §10, and to M.G.L. c. 4, §7(26), regarding public access to such documents. Any statements reserving any confidentiality or privacy rights in submitted bids or otherwise inconsistent with these statutes will be void and disregarded. The foregoing notwithstanding, MassTech has developed a set of procedures to deal with all documents submitted to it in bid to this Notice, and those procedures are set forth in AttachmentA hereto. By executing the Authorized Bidder’s Signature and Acceptance Form, appended hereto as Attachment B, Bidder acknowledges, understands and agrees to be bound by the procedures set forth in Attachment A, and agrees that MassTech shall not be liable under any circumstances for the subsequent disclosure of any materials submitted to it by Bidder pursuant to this Notice and/or in connection with any contract entered into between Bidder and MassTech as a result of this Notice process.

(b)  Unless otherwise specified in this Notice, all communications, bids, and documentation must be in English, and all bid proposals or figures in U.S. currency. All bids must be submitted in accordance with the specific terms of this Notice. Bidders should note that the procedures for handling information deemed sensitive by Bidder and submitted to MassTech set forth in AttachmentA apply only to hard copy documents, and are not applicable to information submitted by, among other methods, electronic mail, facsimile or verbally.

(c)  Bidders are prohibited from communicating directly with any employee of MassTech except as specified in this Notice, and no other individual Commonwealth employee or representative is authorized to provide any information or respond to any questions or inquiries concerning this Notice. Bidders may contact the individual identified in this Notice in the event this Notice is incomplete. The foregoing notwithstanding, Bidders who have questions concerning issues of confidentiality, the submission of materials to MassTech, application of the procedures set forth in Attachment A or any other questions related to these matters, may contact Michael Baldino, Esq., at MassTech.

(d)  The Procurement Team Leader may provide reasonable accommodations, including the provision of material in an alternative format, for qualified Bidders with disabilities or other hardships. Bidders requiring accommodations shall submit requests in writing, with supporting documentation justifying the accommodations, to the Procurement Team Leader. The Procurement Team Leader reserves the right to grant or reject any request for accommodations.

(e)  MassTech shall not be responsible for any costs or expenses incurred by Bidders in responding to this Notice.

(f)  The Bidder may not alter the Notice or its components except for those portions intended to collect the Bidder’s bid (Cost pages, etc.). Modifications to the body of this Notice, specifications, terms and conditions, or which change the intent of this Notice are prohibited. Any modifications other than where the Bidder is prompted for a bid will disqualify the bid.

(g)  If MassTech determines that it is necessary to revise any part of this Notice, or if additional data is necessary to clarify any of its provisions, a supplement will be posted to MassTech’s and the Comm-PASS website(s). The MassTech reserves the right to amend the Notice at any time prior to the deadline for submission of bids.

(h)  Submitted Bids must be valid in all respects for a minimum period of sixty (60) days after the deadline for submission.

9.2  Waiver Authority

MassTech reserves the right, at its sole discretion, to waive minor irregularities in submittal requirements, to request modifications of the bid, to accept or reject any or all bids received, and/or to cancel all or part of this Notice at any time prior to awards.

9.3  Disclaimer

This Notice does not commit MassTech to accept any bids or pay any costs incurred in preparing a bid. MassTech reserves the right to accept or reject any or all bids received, negotiate with all qualified Bidders, cancel or modify the Notice in part or in its entirety, or change the bid guidelines, when it is in its best interests.

9.4  Changes/Amendments to Notice

This Notice has been distributed electronically using MassTech’s and the Comm-PASS websites. It is the responsibility of Bidders to check the MassTech and the Comm-PASS websites for any addenda or modifications to a Notice or RFP to which they intend to respond. MassTech, the Commonwealth of Massachusetts, and its subdivisions accept no liability and will provide no accommodation to Bidders who submit a bid based on an out-of-date document.


Attachment A

The Massachusetts Technology Collaborative

Policy And Procedures Regarding Submission Of “Sensitive Information”

The Massachusetts Technology Collaborative, the Massachusetts Broadband Institute, the Massachusetts e-Health Institute, the John Adams Innovation Institute (collectively referred to herein as “MassTech”) is subject to the requirements concerning disclosure of public records under the Massachusetts Public Records Act, M.G.L. c. 66 (the “Public Records Act”), which governs the retention, disposition and archiving of public records. For purposes of the Public Records Act, “public records” include all books, papers, maps, photographs, recorded tapes, financial statements, statistical tabulations, or other documentary materials or data, regardless of physical form or characteristics, made or received by MassTech. As a result, any information submitted to MassTech by a grant applicant, recipient grantee, Bidder to a request for bid (including, but not limited to an RFQ, Notice and RFI), contractor, or any other party (collectively the “Submitting Party”) is subject to public disclosure as set forth in the Public Records Act.

The foregoing notwithstanding, "public records" do not include certain materials or data which fall within one of the specifically enumerated exemptions set forth in the Public Records Act or in other statutes, including MassTech's enabling act, M.G.L. Chapter 40J. One such exemption that may be applicable to documents submitted by a Submitting Party is for any documentary materials or data made or received by MassTech that consists of trade secrets or commercial or financial information regarding the operation of any business conducted by the Submitting Party, or regarding the competitive position of such Submitting Party in a particular field of endeavor (the "Trade Secrets Exemption").

It is MassTech’s expectation and belief that the overwhelming percentage of documents it receives from a Submitting Party does not contain any information that would warrant an assertion by MassTech of an exemption from the Public Records Act. Submitting Parties should therefore take care in determining which documents they submit to MassTech, and should assume that all documents submitted to MassTech are subject to public disclosure without any prior Notice to the Submitting Party and without resort to any formal public records request.
