DEBITACCOUNTAGREEMENT

The followingtermsandconditions,alongwithyourapplication,accountinformation,supportingdocumentation,andsubsequentamendments,constitute thisdebitaccountagreement, madeandenteredintobyandbetweenyouandtheBlue Water Bridge, Michigan Department of

Transportation,acomponentunitoftheStateof Michigan. Pursuanttothetermsofthisagreement,theBlue WaterBridge, toll booths on the Eastbound span of Blue Water Bridge, within Michiganhereaftertermed “BWB”,agrees toprovideyou,theaccount holder,withadebitcardorcardstoallowfortheelectronic paymentoftolls,feesandotherchargesfromyourprepaiddebitaccountin considerationfor the use ofthe Blue WaterBridgeand its services.Thisagreementwill becomebindinguponbothpartieswhen submittedby you totheBWBandwillremainineffectuntilterminatedbyeitherparty.

ACCOUNTINFORMATION- YouagreethatallinformationprovidedtotheBWBiscorrectandmaybeverifiedandinvestigatedbythe BWB. Youagreetoinform theBWBinwritingofanychangetotheaccountinformationpreviouslyprovidedbyyouoronyourbehalf. The BWBwillassignanaccountidentificationnumberuniqueto youraccount.

DEBITCARDS-TheBWBwillissuethenumberofcardsrequested onyourapplication. EachdebitcardwilluseyourBWBDebitAccount identificationnumberandbeassignedanindividualcardnumber. Debitcardsareassignedtoonlyoneaccountandarenottransferable. Additionalcardswill be issueduponyour writtenrequest. Custody,care,security,andassignmentof individualdebitcardsare your responsibilityandnot the responsibilityofthe BWB.Uponyourwrittenrequest,BWBwill invalidateany orall ofthe cardsassignedtoyour account. From timetotimetheBWBmayupdatecardsbyissuingnewcardsorbysomeothermeans. Youareresponsibleforensuring thatall cardsissuedareupdatedasinstructedbytheBWB.TheBWBreservestherighttorefusetohonoranycardnotupdated.

LOSTORSTOLEN CARDS–Youareresponsibleforallchargesmadewiththedebitcardsissuedforyouraccount. Lostorstolencardsmust bereported immediatelytotheBWB. Assoonaspossible,theBWBwillinvalidateallcardsreported aslostorstolenandwillattempt torefuse tohonorlostorstolencards. However,theBWBmayholdyouresponsibleforauthorizedandunauthorizeduseofcardspriortorecovery. The BWBwillre-validatethesecardsuponyourwrittenrequest.TheBWBdoesnotchargeafeefortheinvalidationandre-validationofcards.

WEB BASED ACCOUNT MANAGEMENT–Youagreetobefinanciallyresponsibleforalltolls,fees,andchargesassessedtoyoubytheBWB. Youagreeto estimatethecostofyourBlue WaterBridgecrossingsoverasixweekperiodandtoinitiallydeposittheamountofthatestimatetoyourBWB DebitAccount. Youfurtheragreetomaketheadditionaldeposits necessarytomaintainanaverage balance inyouraccount equaltoyouractual costoftollsovera fourweekperiod.Itis yourresponsibilitytoensurethatadequatefundsremainondeposit.Accountbalanceswillbe available at the web based account management web site. Atnotime,willyouallowyouraccountbalancetofallbelowfifty($50.00)dollars. Shouldthishappen,your accountwillbecome“flat”andyourDebitCardswillbecomeinactive,prohibitinganyfurtherchargestoyouraccountuntilsubsequentdeposit oftherequiredfunds. All logon names, email address, passwords, and other methods of accessing the web based account are the responsibility of the owner, the control of access must be established and maintained by the owner. Any unauthorized use will require the owner to document this to BWB and for the owner to take steps to change username,logons, passwords, and other methods for securing the web based account. BWB is not responsible for costs or damages of a breach of the account via the web.

DEPOSITS –Depositsmaybemadewithcash,creditcard, electronic fund transferorbycheckinUnitedStatesfunds only. Ifdepositingbycheck,youagreetowriteyour BWBDebitAccountidentificationnumberonyour check. Checksaretobemadepayableto“Michigan Department of Transportation”. Receipts forfundsdepositedwillbeissueduponrequest.An initial$200.00minimumdepositisrequired.

Youacknowledgethata“returnedcheck”feeoftwenty-five($25.00)dollarswillbecharged toyouforallreturned checks. Should anoverdraft occur,youagreethatanyoverdraftamountand“returnedcheck”feemaybedeductedfromyourBWBDebitCardAccount.

DEBITCARD USE–Youagreethatyou,youremployees,agents, andcarduserswillabidebytherules,policies andproceduresestablishedby theBWBfordebitcarduse. Tousethedebitcardaspaymentforvehicle tolls,thedriverofthevehiclemustcometoacomplete stopatthetoll boothandgivethedebitcardtothetollcollector. TheBWBwillnotverifythatthepatronpresenting yourBWBDebitAccount cardhasyour authorizationtousethecard. Thecollectorwillclassifythevehicleaccordingtoestablished BWBvehicleclassificationstandards. Thevehicle classificationwillbedisplayedonthepatrondisplayalongwiththetollcharge.Thecollectorwillrecordthecardinformationandreturnthecard tothedriver. Tollreceiptswill beissued atthetime oftransactionupon request. You agree thatthecollector may retain your debitcardifithas beenreportedasbeinglostorstolen,orifthecardisdeterminedbythecollectortobedefective.

ACCOUNTADJUSTMENTS–YouagreethattheBWBmaymakeadjustmentstoyourBWBDebitAccountbasedupondepositoruse discrepanciesdeterminedbytheBWBduringthetollrevenueaudit ofdaily transactionsorbydiscrepanciesdeterminedbytheaccount manager. Adjustmentswillbeidentifiedonyour monthlystatement.

MONTHLYSTATEMENTS – All statements can be selected for automatic emailing by month or quarterly. You will also have the option of using the online account program for getting your statement for any date range you wish. At your option statements can be produced in an Excel spreadsheet. YouagreetosubmittotheBWBDebitAccountManagerinwriting,at 1410 Elmwood St, Port Huron, MI 48060, anydisputeofthe informationreportedon yourstatementorwith youraccountbalancewithinsixty(60)days of the end of the month in which the dispute occurred in. Failure to file a dispute within the 60-day timeframe will result in a waiver of the dispute.YouagreetoallowtheBWB’sDebit Account Manager tosettlealldisputes. Accountinformationrequestsaretobe directedtotheBWBDebitAccountManagerbycalling810-984-3131.

ACCOUNTCLOSURE–You agreethatthe BWBwill close your BWBDebit Accountupontheterminationofthisagreement.You furtheragree thattheBWBmaycloseor“freeze”youraccountif youhavenotransactionswithyourBWBDebitAccountwithinatwo yearperiod.“Freezing” yourBWBDebitAccounttemporarilyinvalidatesyourcardsandrequiresyoutorequestthere-validationofyourcardsinwriting. Youmay requestthat youraccountbe“frozen”at anytime.YouwillbenotifiedinwritingbytheBWBif theBWBclosesor “freezes”youraccount.You may close your accountatanytimebynotifyingtheBWBinwritingviafaxormail. Upon accountclosure,your debit cards will beinvalidated. Uponnoticeofaccountclosure,youagreetoreturnallBWBDebitAccountcardsissuedto you.

TERMINATION–YouagreethattheBWBmayterminatethisagreementatanytimeandforanyreason. Youshallbeentitledtoarefundof anyremainingamountsondepositwiththeBWBafterallcosts,tolls,andfeeshavebeenpaidunderthisagreement.Refundofamounts remainingondeposit willbepaidbycheckandmailed totheaccountholder’s address. Youwillremainliableforanyoutstandingcharges, tolls orfeeschargedto youraccount.

APPLICABLELAWS–This agreementshall begovernedbyandconstruedinaccordancewith thelaws oftheState ofMichigan. You agreeto obeyallapplicablestatelawsandstateandBWBtrafficrulesandregulationsandapplicableFCCregulations.

SYSTEMWARRANTY –Exceptasotherwiseprovidedherein,youagreeandacknowledgethattheBWBhasnoobligationorliabilitytoyou withrespecttoyouruse,ortheperformanceof,theBWBDebitAccountsystem. TheBWBexpresslydisclaimsanyrepresentationorwarranty, expressedorimplied,includingwithoutlimitations,anyimpliedorexpressedwarrantyofmerchantability,and fitnessforaparticularpurposeof conformitywith models,samples,or industrystandards.

VENUE–Youagreetowaiveany and all privilegesand rightsrelatingtovenueinregardstoany legal actionrelatedtothis agreementinstituted byeitherpartyhereto.VenueshallbechosenbytheBWB.

INDEMNITY- Youagreetoindemnify,defend,andholdharmlesstheBWB,itsagents,officers,employees,theMichiganDepartmentof TransportationandtheStateofMichiganfromanyandallclaims, charges,damages,loss,cost,expenseorliabilityrelating to,arisingfrom, orasaresultoryouruseortheperformanceoftheBWBDebitAccountsystem. Youagreetopayanycost,including reasonableattorney fees, incurredbytheBWBtoenforcethetermsofthisagreement.

SEVERABILITY–Youagreethatifanypart, termorprovisionoftheagreementisheld bythecourts tobeillegalorinconflictwith anylawof theStateofMichigan,thevalidityoftheremainingportions orprovisionsshallnotbeaffected,andtherightsandobligationsofthepartiesshall beconstruedandenforcedasiftheagreementdidnot containtheparticularpart,termorprovisionheldinvalid.

WHOLEAGREEEMENT –Youagreethatthisagreementembodiesthewholeagreementoftheparties. Therearenopromises,terms, conditions,orobligations otherthanthosecontained herein,andthisagreement shallsupersedeallpreviouscommunications,representations,or agreements,eitherverbalorwritten,betweenthe partieshereto.Youagreethat the BWBreservesthe righttochangethe termsofthis agreement atanytimeuponwrittennoticeto you.

ASSIGNMENT–Youagreenottoassignortransfertheobligations orthebenefitsofthisagreement withouttheexpresswrittenconsentofthe BWB.

Theundersignedconfirmsthathe/sheis dulyauthorizedtosignonbehalfoftheaccountholderandthatthe informationprovidedontheBWB DebitAccountapplicationisaccurate,andagreesto allthetermsandconditionsstipulatedwithinthisagreement.
