EXAMPLE AGREEMENT FOR INDEPENDENT CONTRACTOR SERVICES
THIS AGREEMENT is between YOUR CLUB(hereinafter "YOUR CLUB"), using an address of ______, CITY, CA, ZIP, and ______(hereinafter "Contractor”), an individual and independent contractor, having an address at ______, CITY, CA, ZIP, both entities referred to collectively herein as "Parties."
1. Term of Contract. This Agreement is effective fromFebruary __, 20__ through theseason end tournaments in mid-May 20__unless terminated by either Party based on the other's Party’s failure to perform in a reasonable manner the obligations required under this contract.
2. Contractor's Services. Contractor agrees to serve as the Head Coach/Assistant Coach for YOUR CLUB’sboys’/girls’ Varsity/JV/Senior (U-15)/Junior (U-13)/Lightning (U-11)/Bantam (U-9) team.
3. Method of Performing Services. Contractor shall determine the method, details and means of serving as a coach for his/herYOUR CLUB team. Notwithstanding the foregoing, it is contemplated that Contractor will hold ___ (____) practice sessions per week, each session lasting a minimum of ___(_____) hours with a target of _____ (_____) hours of practice per week; and be responsible for coaching at substantially all YOUR CLUB games and tournaments for his/her team. In the event Contractor is unable to attend any YOUR CLUB practices or games, Contractor will provide a suitable, qualified replacement, who first must be approved by the YOUR CLUB. The Contractor and any replacement must be a current member of US Lacrosse.Contractor and replacement agree to become familiar with and comply with the rules of YOUR CLUB, Northern California Lacrosse Association and US Lacrosse from time to time in effect.
4. Player roster and medical information. The YOUR CLUB will provide player roster and medical information which includes private information. The Contractor will keep copies of this information confidential, secure and available at all practices, scrimmages and games. Should a player become injured to the extent simple first aid is not sufficient; the Contractor will make best efforts to immediately contact the players’ doctor and parents/guardians and if deemed necessary contact a medical emergency company for the safe transport of the injured player.
5. Equipment. It is not contemplated that Contractor will be required to provideany equipment to perform Contractor's duties hereunder. YOUR CLUB will supply balls, nets,cones and similar items to be used by team members. In the event of a desire for further equipment, Contractor will advise YOUR CLUB of the nature of the equipment, and YOUR CLUB will at the discretion of YOUR CLUB make a determination as to whether to acquire such equipment.
6. Employment of Assistants. Contractor may, at Contractor's own expense,employ such assistants as Contractor deems necessary to assist in performing the services required of Contractor by this Agreement. Because the Contractor and any assistants will be working with children, YOUR CLUB must be notified in advance of the use of any such assistants, and must approve the particular assistant. However, once any assistant is approved, YOUR CLUB will not control, direct or supervise Contractor's assistants in the performance of those services. Each assistant must sign a release in favor of YOUR CLUB from any liability prior to assisting Contractor and become familiar with and comply with the rules of YOUR CLUB, Northern California Lacrosse Association and US Lacrosse from time to time in effect.
7. Independent Contractor. No relationship of employer and employee is created by this Agreement, it being understood that Contractor will act hereunder as an independent contractorand shall control the manner and means by which Contractor will achieve the objectives and satisfy the terms of this agreement, and Contractor shall have no claim under this Agreement or otherwise against YOUR CLUB for Social Security, Workers' Compensation, Disability or Unemployment Insurance benefits, or employee benefits of any kind. Contractor acknowledges that YOUR CLUB will file an IRS Form 1099 for amounts paid Contractor.
8. Indemnity. Contractor agrees to defend, hold harmless and indemnify YOUR CLUB from any and all claims arising from any actual or alleged negligent acts committed by Contractor or Contractor's assistants during the performance of services under this Agreement. Contractor agrees to provide any required Workers' Compensation insurance for Contractor's employees or agents.
9. Compensation. In consideration for the services to be performed by Contractor,
YOUR CLUB agrees to pay Contractor as follows: $ ______(______dollars) per month for coaching services. Compensation is payable on the last day of each month subsequent to services performed. The YOUR CLUB will also pay or reimburse Contractor for pre-approved travel/food/lodging expenses incurred in attending tournaments and expenses related to pre-approved training, provided a request for reimbursement is submitted in a timely fashion.
10. Assignment. Neither this Agreement nor any duties or obligations under this
Agreement may be assigned by either party without the prior written consent of the other party.
11. Entire Agreement. This Agreement constitutes the entire agreement of the parties. It may not be modified except by a writing signed by the parties.
12. Partial Invalidity. The unenforceability, invalidity or illegality of any provision ofthis Agreement shall not render any other provision unenforceable, invalid or illegal.
13. Attorney's Fees. In any legal or equitable action brought by either party to this Agreement to enforce its terms, the prevailing party shall be entitled to all costs incurred in connection with such action, including court costs and reasonable attorney's fees.
14. Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of California. Venue for any action related hereto shall be in an appropriate court in YOUR County, California.
