NEWS UPDATE December 2016
Just to let you know what happened at the AGM on 27thNovember
17 members were present and unanimously supported the Trustees on the Special Resolution recommending that the Office of the Scottish Charities Regulator (OSCR) be asked to agree to the dissolution of the Charity
Following on from that decision, four further proposals were agreed unanimously:
a) that subscriptions for 2016-17 will not be requested
b) that any subscriptions that do get paid will be treated as donations
c) that the committee elected to wind up the Charity will continue to make grants to projects in sub-Saharan Africa
d)that any monies remaining prior to final closure of the accounts will be allocated to the charitable
trust set up by the Twinning Committee between the St Francis Hospital, Katete, Zambia and the
Borders General Hospital
The Committee elected to oversee the winding up are Dr Chris Jary (Convener); Robert Turnbull (Treasurer) Isabel Gordon (Secretary) with Committee members, Marlene Davies, Dr Moreen Gordon, Rev. Denise Herbert, Nancy McNicol.
The winding up process will take several months. I shall keep you informed as to its progress.
The first action is to send to OSCR the 2015-16 Statement of Income and Expenditure prepared by Bookkeeper
Tim Usher (who retired at the AGM). This hadalready been independently scrutinised before being presented to the AGM. We are in the process of changing bank details etc from Tim to Robert.
Once OSCR has approved lastyear’s accounts (up to 30th September 2016), I shall send to OSCR (online at their request) the appropriate forms requesting wind up of the Charity. OSCR have 28 days to reply with their agreement, but we can do nothing for 42 days.
We can then remind members and supporters to cancel direct debits, alter their wills if they have left a legacy to SBAAG and contact Borders Health Board to wind up the Pay Roll giving scheme which they administer on our behalf.
It is only when we have paid all grants and are pretty sure no more money is coming in, that we shall distribute the final money (as in [d] above) and close the account.. Again I shall inform you when this happens.
