Contract: Content Producer/Writer /

The contractor must:

1Do the Contracted Work personally and it must not be either assigned or sub-contracted by the Contractor to any other party without obtaining the prior written consent of CTE, which consent may be withheld in CTEs absolute discretion;

2The Contractor expressly represents and warrants to CTE that the Contracted Work shall be original work which has not previously been published and that the Contracted Work, all parts of it and the use by CTE of the Contracted Work as supplied by the Contractor MUST and will not cause CTE to infringe any copyright, intellectual property rights or moral rights of any person.

3Ownership of copyright of all materials produced by the Contractor or its employees pursuant to this Agreement must vest solely in CTE (including, where necessary the assignment to CTE of any third-party rights). Where such copyright is held by the Contractor, it is hereby assigned to CTE and such assignment is not limited in any of the ways referred to in section 196 (2) of the Copyright Act 1968.

4The Contractor must grant or procure the grant to CTE of an irrevocable world wide and unrestricted and royalty free licence to use all those rights from the date of their creation for any purpose CTE sees fit, including the right to change, copy,update, exhibit, sell, license and reproduce relevant material;

5CTE may terminate this Agreement without prior notice should the Service Provider be guilty of any breach of this Agreement, or should the Service Provider refuse to comply with any reasonable instructions or directions given by the Designated Liaison Officer. Where CTE terminates this Agreement, the Service Provider is to supply CTE with all materials produced to that date and a written report on the details of the Work conducted within six weeks from the date of termination

6Any payment for Contracted Work done shall be made only after CTE a) is satisfied that the Contracted Work complies with this Agreement, b) receives a valid invoice, and c) authorises such payment.

7The Contractor must ensure that CTE is entitled to deal with the materials comprising the Contracted Work in any way and that, in doing so, CTE will not infringe any rights including moral rights under the Copyright Act 1968

8The Contractor consents (or where required, must obtain the consent of any persons having rights such as Moral Rights in any part of the Contracted Work) for the benefit of CTE, its licensees, successors in title and anyone authorised by any of them to do all acts or omissions (including acts or omissions which would otherwise infringe Moral Rights) in respect of material produced in carrying out and completing the Contracted Work.
