/Consultant Service Contract
The Providence School District, hereinafter referred to as “District,” and independent contractor,
n2y, hereinafter referred to as “Consultant,” enter into a contract on this the 1st day of July, 2014 for the provision of consultant services.
PROGRAM DESCRIPTION:
The consultant will provide an online, dynamic, standards-based curriculum specifically designed for special learners. The consultant will enable subscribers to download monthly instructional thematic units of study. Each unit should contain lesson plans and downloadable materials that teachers can readily implement into classroom learning activities. All materials are to be created using SymbolStix graphics. The unit lesson plans define three levels of differentiated tasks to accommodate the diversity of learners with significant disabilities. This program will be aligned with the Common Core Standards and enable teachers to progress monitor students.
The program will provide 45 licenses for a one (1) year period beginning July 1, 2014 and ending June 30, 2015. Twenty-five (25) of the licenses will be for all Symbol Stix and “News to You” and twenty (20) licenses will be for Symbol Stix online. The program will provide instructional targets to bridge between standards and the curriculum content for students with disabilities. Instructional Targets will be aligned to the Common Core Standards in English Language Arts and Mathematics.
The program shall be designed so that all students can participate in the same activity. Differentiated tasks are supported with multiple means of representation: including text, symbolized text and picture formats. Additionally, all leveled books and chapter books need to be provided in a text-reading format to support the text versions. All materials will provide for multiple means of expression, including writing, selecting picture representations and verbal responses. In addition, supports for augmentative communication will be included. Many of the skill applications are presented with real-world scenarios to increase the means for student engagement. All lessons and materials are carefully designed to address a universal format of learning for students with these special needs.
The program will provide a site licenses to be utilized with 45 special education teachers and classrooms for students taking the alternate assessment and working on the Alternate common core expectations.
Unique Learning System (n2y) is the sole vendor.
This is a license renewal.
The Consultant must adhere to accountability requirements that include providing District staff with a full report of service delivery, listing:
- District agrees to pay consultant a fee not to exceed $21,215.00, as compensation for services rendered. This amount is inclusive of expenses for materials, supplies, transportation, lodging, and meals for all on-site and off-sit planning and preparation.
2. Consultant shall not be paid in advance, but only upon completion of the contract
3.This agreement shall be in effect from the date signed by both Consultant and the District until June 30, 2015, unless terminated by either party at any time, with or without cause. In the event of termination by District or Consultant prior to completion of the contract, compensation shall be prorated and the Consultant shall only be entitled to receive just and equitable compensation for any satisfactory work completed and expenses incurred up to the date of termination.
- Consultant may not assign this contract to a third party without the written consent of the District. Consultant must conduct a criminal background check, at the Consultant’s expense, of all employees employed under this contract, except District employees.
- Consultant is not an employee of District and is not entitled to fringe benefits, pension, workers’ compensation, retirement, etc. Consultant understands that the District is not the “employer”and will not deduct Federal income taxes, FICA (social Security), or any other taxes from payments issued to persons or entities performing services under this contract, except for District employees. This responsibility remains with the Consultant.
- Consultant understands that any and all products produced as a result of this contract are the sole property of the District and may not be used by Consultant without the express written permission of the District.
- Consultant agrees to indemnify and hold District harmless from any and all damages arising from Consultant’s breach of contract, negligence, willful or intentional acts, or any other cause of action arising from Consultant’s performance under this agreement, including without limitation, damages of every kind and nature, out-of-pocket costs, and legal expenses..
- This Agreement may be executed in two (2) or more counterparts, each of which shall be deemed an original but all of which together shall constitute one (1) and the same instrument.
