Agreement for Technical Services

This Agreement is made and entered into this [DATE] by and between the [SBDCCENTER] (hereafter referred to as the "SBDC") and [INSTRUCTOR NAME] (hereafter referred to as the "Contractor").

Whereas, funds have been budgeted and the SBDC desires that the contractor make available services as specified in this document, in support of the Colorado Small Business Development Center Network; LEADING EDGE™ Strategic Planning Series; and

Whereas, the contractor is willing and able to provide said services under the terms and conditions set forth in this document;

The parties do mutually agree as follows:

  1. The period of this agreement shall be from [DATE RANGE] inclusive, and shall be extended beyond that date only by mutual agreement of the parties in writing.
  2. For satisfactory performance of the services described in the attached Schedule A (Scope of Work), the SBDC shall pay the contractor the compensation provided for in the attached Schedule B (Compensation). Payments shall be made with two equal installments in [DATES].
  3. In performing services under this agreement, the contractor shall be deemed an independent contractor and shall not act as nor be an agent or employee of the Office of Economic Development and International Trade (OEDIT) or the SBDCregardless of the nature and extent of the acts performed by the contractor. Since the contractor is not an employee ofOEDIT or SBDC neither entity assumes liability under the law for any act of the contractor performing or traveling pursuant to this agreement.
  4. The contractor shall be deemed for all purposes to be an independent contractor and not an employee and shall not participate in any employee benefit program of the SBDC by reason of this agreement or the relationship between the parties created by this agreement. Except as otherwise required by law, the SBDC shall not withhold any sums from the payments to be made for Social Security or other federal, state, or local tax liabilities or contributions, and all withholdings, liabilities, and contributions shall be solely the responsibility of the contractor.
  5. The services performed by the contractor under this agreement shall be performed according to standards which are acceptable to the SBDC.
  6. The services specified in Schedule A shall be performed by the contractor.
  7. This agreement, is not assignable without prior written consent of the SBDC; any attempt to assign any rights, duties, or obligations which arise under this agreement without such consent shall be void.
  8. Either the SBDC or the contractor may terminate performance under this agreement at any time by notifying the other party in writing. On such termination, contractor shall be paid for all services satisfactorily rendered to the date of said termination in accordance with Schedule B hereto.

Schedule A

Colorado Small Business Development Center Network

Scope of Work

This schedule sets forth the objective to be reached by this effort and the planned work content in accordance with the terms and provisions of the agreement.

Description of Services:

  1. The purpose of the LEADING EDGE™ training program is to provide a comprehensive training and educational program for start-up and existing small business owners. The project will take place in [CITY].
  2. The project consists of providing [NUMBER OF PROGRAMS] training programs each of not less than 36 and no more than 50 hours. The Contractor will provide instruction utilizing the [NAME OF CURRICULUM]. The curriculum will accommodate specific training needs of existing businesses.
  3. The Contractor will be available as needed to provide technical assistance to the class members as needed. The project will include a minimum of 5 hours of one-on-one consulting per business.
  4. The Contractor will provide training services to entrepreneurs participating in the LEADING EDGE program. Small business owners who have registered for the class will be eligible for services.
  5. Training rooms will be available at the [CLASS LOCATION].
  6. The Contractor shall be available for [NUMBER OF WEEKS] weeks of training on any of the following dates as determined by the class syllabus.
  1. The Contractor will make arrangements for all guest speakers.
  2. Contractor will attend special LEADING EDGE events and meetings (e.g., kick off reception, graduation, planning meetings, training, etc.).
  3. The Contractor will provide to the SBDC completed 641 consulting forms, which must be completed for any one-on-one consulting with any of the LEADING EDGE students throughout the program dates, on or before the program’s graduation date.
  4. The SBDC reserves the right to observe and evaluate the training sessions over the course of the program.
  5. The Contractor will be responsible for providing a final evaluation form for the participants at the end of the last class, which must be administered in addition to weekly evaluations collected from all participants.
  6. The Contractor will be responsible for evaluating, in writing, the LEADING EDGE program (e.g., what worked for the class, what needs to be changed and/or improved, etc.).
  7. The Contractor will assume all responsibilities for taxes and will provide a letter, on personal letterhead, to the SBDC indicating that is the case.

Schedule B

Compensation

This schedule sets forth the bonus compensation payable by the SBDC to the Contractor in accordance with the terms set forth in the agreement.

Compensation Schedule:

  1. The contractor shall be paid in [NUMBER] equal installments in accordance with the terms set forth in item two of this agreement.
  2. The contractor's compensation shall be [TOTAL AMOUNT] for providing services from [DATE RANGE]. The contractor is not considered an employee of the Office of Economic Development and International Trade or the SBDC and is therefore not eligible for benefits.
  3. No compensation will be provided for canceled classes where there are not enough participants for the program.
  4. In accordance with item two above the Contractor shall be responsible for all appropriate taxes.
