Witnesseth: THAT TRUSTOR IRREVOCABLY GRANTS, TRANSFERS AND ASSIGNS TO TRUSTEE IN

TRUST, WITHPOWEROFSALE, thatpropertyin County,California,describedas:

TOGETHERWITHthe rents, issues andprofitsthereof,SUBJECTHOWEVER,totheright, powerand authoritygiven to andconferredupon Beneficiarybyparagraph(11) of the provisions set forth below tocollect and apply such rents, issues and profits.

ForthePurposeofSecuring:1.Performance of each agreementof Trustorincorporatedbyreference orcontainedherein.2. Paymentof the indebtednessevidence byone promissorynote of evendateherewith,and anyextensionof renewalthereof,in the principal sum of $ executedbyTrustorin favor of Beneficiaryororder. 3.Paymentofsuchfurther sums as the thenrecordownerof such propertyhereafter mayborrowfromBeneficiary,whenevidenced byanothernote(or notes) reciting it is so secured.

ToProtect the Security of ThisDeed of Trust, Trustor Agrees:

(1)ThatTrustorwillobserveandperformsaidprovisions;andthatthe referenced to property,obligations, and parties in saidprovisions shall be construed to refer to the property, obligations and parties set forth in this Deed of Trust.

(2)Tokeepsaidpropertyingoodconditionandrepair;nottoremoveor demolish anybuilding thereon; to complete orrestorepromptlyand in good and workmanlikemanner anybuilding whichmaybeconstructed,damaged or destroyedthereon and to paywhendueallclaimsforlabor performed and materialsfurnished therefore; to complywithalllawsaffecting said propertyor requiringanyalterationsor improvements to be made thereon, not to commitorpermit wastethereof; not tocommit,suffer or permit anyactuponsaidpropertyinviolationsof law;to cultivate,irrigate, fertilize, fumigate,prune and do all other actswhichfrom the characteroruseofsaidpropertymaybereasonablynecessary, thespecificenumeration'shereinnotexcluding thegeneral.

(3)To provide, maintain and deliver toBeneficiaryfire insurance satisfactoryto and with loss payable to Beneficiary.Theamountcollectedunder anyfire or otherinsurancepolicymaybeappliedbyBeneficiaryupon anyindebtedness secured herein and in suchorderasbeneficiarymaydeterminedoratoptionofBeneficiarythe entire amount socollectedor anypart hereof maybe released toTrustor.Such application or release shallnot cure or waive anydefault or notice of default hereinunder or invalidate anyact done pursuant to suchnotice.

(4)Toappear in and defend anyactionorproceedingpurportingtoaffectthe securityhereof ortherights or powersof theBeneficiaryor Trustee;and to payall costs and expenses,includingcostofevidenceoftitleandattorney'sfeesin a reasonablesum, inanysuchactionorproceedinginwhich BeneficiaryorTrusteemayappear, and in anysuit brought byBeneficiaryto record thisDeed.

(5)Topay;atleasttendaysbeforedelinquencyalltaxesandassessmentsaffectingsaidproperty,includingassessmentsonappurtenant water stock; when due, all encumbrances, charges and liens, with interest, on said propertyor a part thereof, which appear tobe prior to superior hereto; all costs, fees and expenses of this Trust.

ShouldTrustorfailtomakeanypaymentor todoanyactashereinprovided, then Beneficiaryor Trustee, butwithoutobligation todoand withoutnoticetoordemandupon Trustorand withoutreleasingTrustorfrom anyobligation hereof, may:make or dothesameinsuchmannerandtosuchextentaseithermaybedeemednecessarytoprotectthesecurityherein. Beneficiaryor Trusteebeingauthorizedto enter upon said propertyfor such purposes; appearinanddefendanyactionorprecedingpurportingtoaffectthesecurityhereofor the rights or powersofBeneficiaryor Trustee;pay,purchase, contestorcompromiseanyencumbrance,chargeorlienwhichinthejudgmentofeitherappearstobepriororsuperior hereto; and,inexercisinganysuchpowers,paynecessaryexpenses,employcounseland payhis reasonable fees.

(6)Topayimmediatelyand withoutdemand all sums so ex pendedbyBeneficiaryorTrustee,withinterest from date ofexpenditureattheamountallowedbylawineffect at the date hereon, and to pay foranystatement provided for by lawin effectat thedatehereof regardingtheobligationsecured herebyanyamount demanded bythe Beneficiarynottoexceedthemaximumallowedbylawat the time when said statement is demanded.

(7)Thatanyawardofdamagesinconnectionwithanycondemnationforpublic use of orinjuryto said propertyor anypartthereofisherebyassignedandshallbe paid to Beneficiary,whomayapplyor release such monies received byhim in the same mannerand with the same effect as above provided for disposition of proceeds of fire or other insurance.

(8)That byaccepting payment of anysum secured herebyafterits due date, Beneficiarydoes not waive his right either torequireprompt payment when due of all other sums so secured or to declare default for failure so to pay.

(9)Thatat anytime or fromtimetotime, withoutliabilitytherefore and withoutnotice, upon writtenrequest of Beneficiaryandpresentationof this deed and said Note for endorsement,andwithoutaffecting the personal liabilityofanypersonforpaymentof theindebtednesssecuredhereby,Trusteemay;reconveyanypartofsaidproperty;consent to the makingofanymap or plat thereof;join ingranting anyeasement therein; or joinin anyextension agreement or anyagreementsubordinatingthelienorchargehereof.

(10)Thatupon writtenrequestofBeneficiarystating that all sums secured her ebyhavebeenpaid, and upon surrender of thisDeedand said Note to Trusteefor cancellation and retention anduponpaymentof its fees, Trusteeshallreconvey,withoutwarranty,theproperty heldhereunder. Therecitals in such RECONVEYANCEof anymattersorfactsshallbeconclusiveproof of the truthfulnessthereof. Thegranteeinsuch reconveyancemaydescribedas"Thepersonor persons legallyentitledthereto". Five yearsafterissuanceofsuch full RECONVEYANCE, Trusteemaydestroysaid Note andthis Deed (unless directed in such request to retain them).

(11)Thatasadditionalsecurity,Trustorherebygives to and confers upon Beneficiarythe right, powerand authorityduring thecontinuanceof these Trusts,to collect therents, issues and profitsofsaidproperty,reservinguntilTrustortheright,priortoany defaultbyTrustorinpaymentofanyindebtednesssecuredherebyorinperformanceofanyagreementhereunder,to collected and retain suchrents,issuesandprofitsastheybecomedueand payable.Upon anysuch default, Beneficiarymayat anytime withoutnotice, eitherinperson,byagent, or bya receivertobeappointedbyacourt,andwithoutregard to the adequacyof anysecurityfor the indebdtnessherebysecuredenteruponandtakepossessionofsaidpropertyoranypart thereof, in his ownname sue for or otherwisecollectsuchrentsissues and profits, including thosepast due and unpaid, and applythe same, less costs and expenseof operation andcollection,includingreasonably attorney'sfees, upon indebtedness secured hereby,andin such order as Beneficiary maydetermined. The enteringuponand taking possession of said property,the collection of suchrents,issues and profits andthe application thereof as aforesaid, shallnot cure or waive anydefault or notice of default hereunderor invalidate anyact done pursuant to such notice.

(12)ThatupondefaultbyTrustorinpaymentofany indebtednesssecuredherebyorinperformanceofanyagreementhereunder,Beneficiarymaydeclare all sums secured herebyimmediatelydueandpayablebydeliveryto Trusteeof written declaration of defaultanddemandforsaleandof writtennoticeofdefaultandofelectiontocausetobe sold said property,whichnotice Trusteeshallcauseto befiledforrecord.beneficiaryalsoshallpostit withTrusteethis Deed said Note and all documents evidencing expendituressecuredhereby.

Afterthe lapse of such time as maythen be required bylawfollowingtherecordation of saidnoticeofdefault,andnoticeofsalehavingbeen given as then required ylaw,TrusteewithoutdemandonTrustor,shall sell said propertyat the time and place fixedbyit insaidnotice of sale, either as a wholeorinseparate parcels, and in such order asit maydetermined, a public auction to thehighest bidderfor cash in lawful moneyof the United States,payable a the time of sale.Trusteemaypostpone sale of all or aportionof said propertybypublicannouncementofsuchtimeandplaceofsale,andfromtimetotimethereaftermaypostponesalebypublicannouncementat thetimefixedbythe preceding postponement. T rusteeshall delivertosuchpurchaseritsdeedconveyingthepropertysosold,butwithoutanyconvenant or warranty,expressorimplied.Therecitalsinsuchdeedofanymattersorfactsshallbeconclusiveproofofthetruthfulness thereof. Anyperson, includingTrustor, Trustee, or Beneficiaryas hereinafter defined, maypurchase at such sale.

(13)Beneficiary,or anysuccessor in ow nershipof anyindebtednesssecuredhereby,mayfrom time to time, byinstrument inwiring,substitute a successor or successors to anyTrusteenamedherein or acting hereunder, whichinstrument, executedbytheBeneficiaryand dulyacknowledgedand recorded in the office oftherecorderoftheCountyor Countieswheresaid propertyis situated,shallbe conclusive proof of proper substitution of such successorTrusteeorTrustees,whoshall,withoutconveyancefrom theTrusteepredecessor,succeedtoallits title, estate, rights, powersand duties.Said instrument mustcontainthe name of the originalTrustor,Trustee andBeneficiaryhereunder,thebookandpagewhere this Deed isrecordedandthenameandaddressofthenewTrustee.

(14)ThatthisDeedappliesto,insurestothebenefitof,and binds all parties hereto, their heirs, legatees, devisees, administrators,executors, successors and assigns.The term Beneficiary shall mean the owner and holder, including pledges of the note securedherebywhetherornotnamedasBeneficiaryherein.In this Deed, wheneverthecontestsorequires, the masculine gender includes thefeminineand/or neuter, and the singular number includestheplural.

(15)ThatTrusteeacceptsthis TrustwhenthisDeed,dulyexecutedandacknowledged,is made a public record as provided bylaw. Trusteeis not obligated to notifyanypartyheretoofpendingsaleunderany otherDeedof Trustorofanyactionor proceedinginwhich Trustor, Beneficiaryor Trustee shall be a partyunlessbroughtbyTrustee.

Theundersigned Trustor request that a copy of any NoticeofDefaultandofanyNotice of Sale hereunder be mailed tohim at his address hereinbefore set forth.
