In making this application for credit, I/we hereby agree that all amounts are payable on or before the net due date as shown on each invoice, and if not paid on or before said date, are then delinquent. If credit is granted, I/we agree to the above terms and the undersigned is/are responsible for payment of the account. In consideration of your extending credit to the above firm at my/our request, I/we hereby personally guarantee the payment of all amounts now due and owing or which may hereafter become due and to you said debtor. Each of the undersigned shall not be affected or prejudiced by the additional acceptance of a note or evidence of indebtedness, the extension of time, payment arrangement or other indulgence granted to debtor, or by agreement affecting said indebtedness, and the undersigned hereby waives notice of all the aforesaid. The filing of the suit or exhausting of collection or legal remedies against said debtor shall not be a condition precedent to the enforcement of this guarantee and the undersigned hereby expressly waive(s) demand, presentment for payment, protest, notice of protest or diligence. The guarantee shall continue until you have received notice of termination executed by the undersigned. Should the undersigned elect to terminate this guarantee, such termination shall not affect the liability of the undersigned as to accounts and amounts then owing from said debtor. In the event that a suit is instituted, the undersigned agrees to pay court costs and reasonable attorney’s fees.
The undersigned hereby request(s) DeSoto Sales, Inc, herein called “Seller” to give
, herein called “Purchaser” credit, as the PURCHASER may desire and SELLER may grant, from time to time, and in consideration of any credit given, the undersigned hereby absolutely and unconditionally guarantees prompt payment when due and at all times thereafter of any and all existing and future indebtedness and liability of every kind, nature and character (including all renewals, extensions and modifications thereof) from the PURCHASER and SELLER; and the undersigned waives notice of the acceptance of the Guaranty and of any and all such indebtedness and liability. The undersigned waives presentment, protest, notice, demand, or action on delinquency in respect of any such indebtedness or liability, including any right to require SELLER to sue or otherwise enforce payment thereof against PURCHASER before proceeding against the undersigned.
This Guaranty is made and shall continue as to any and all indebtedness and liability of PURCHASER to SELLER, guaranteed hereunder, incurred or arising prior to receipt by SELLER, at its principal place of business in the County of Los Angeles, California, of written notice of termination hereof from the undersigned. This Guaranty may be enforced without regard to collateral, security, or guarantees, or other obligor, if any, or to the validity or effectiveness of any guaranties. SELLER may, from time to time, without notice to or consent of the undersigned, sell, release, surrender or exchange any collateral or security and may settle, compromise, waive, subordinate or modify any indebtedness or liability which is guaranteed or any guaranty of any other obligor, with or without consideration, on such terms or conditions as may be acceptable to SELLER, without in any manner affecting or impairing the liability hereunder is several and is independent of any other guaranties at any time in effect with respect to all or any part of the PURCHASER’s indebtedness to SELLER. In the event that SELLER shall institute suit on this Guaranty, the undersigned agrees to pay SELLER reasonable attorney’s fees and cost of collection.
Jurisdiction for the enforcement of this Guaranty shall be the County of Los Angeles, State of California. The provisions of this Guaranty shall be formed in Los Angles County, State of California. This Guaranty shall be effective only when accepted by SELLER at its principal place of business in the County of Los Angeles, State of California.
