RESOLUTION NO. 2013-195

A RESOLUTION SIGNIFYING THE INTENTION OF THE CITY COUNCIL OF THE CITY OF BETHLEHEM, PENNSYLVANIA TO INCORPORATE A MUNICIPAL AUTHORITY UNDER THE PROVISIONS OF THE MUNICIPALITY AUTHORITIES ACT OF 1945 (ACT OF MAY 2, 1945, P.L. 382, AS AMENDED AND SUPPLEMENTED), TO BE KNOWN AS “BETHLEHEM REVITALIZATION AND IMPROVEMENT AUTHORITY;” SETTING FORTH THE FORM OF THE ARTICLES OF INCORPORATION; APPOINTING THE FIRST MEMBERS OF THE BOARD OF THE AUTHORITY; AUTHORIZING AND DIRECTING THE EXECUTION OF THE ARTICLES OF INCORPORATION, THE FILING THEREOF; AND THE DOING OF ALL THINGS NECESSARY AND APPROPRIATE TO EFFECT AND ESTABLISH SAID AUTHORITY; AND REPEALING OR RESCINDING ALL ORDINANCES AND RESOLUTIONS OR PARTS THEREOF WHICH ARE INCONSISTENT.

BE IT RESOLVED by the City Council (the “Council”) of the City of Bethlehem (the “City”), Pennsylvania:

Section 1. The Council of the City hereby signifies its intention to organize and incorporate an Authority under the provisions of the Act as defined in the Act of Assembly known as the “Municipality Authorities Act of 1945” (the Act of May 2, 1945, P.L. 382, as amended and supplemented) (the “Act”) .

Section 2. The name of the proposed Authority shall be “BETHLEHEM REVITALIZATION AND IMPROVEMENT AUTHORITY (the “Authority”).”

Section 3. Cynthia H. Biedenkopf, City Clerk, is hereby authorized and directed on behalf of the City to execute Articles of Incorporation for the Authority in the form attached hereto, the form and content of which are hereby approved.

Section 4. The persons listed below are hereby specifically appointed as members of the Board of the Authority for the terms of office set forth after their names.

Section 5. Cynthia H. Biedenkopf, City Clerk, is hereby authorized and directed to cause notice of the substance of this resolution and of the proposed filing of such Articles of Incorporation to be published as required by the Act.

Section 6. Cynthia H. Biedenkopf, City Clerk, is hereby authorized and directed to file the Articles of Incorporation together with a certified copy of this resolution and required proofs of publication, with the Secretary of the Commonwealth, and to do, execute and perform any and all acts and things, and to cause to have paid all fees and costs, necessary or appropriate to effect the incorporation of the Authority.

Section 7. All ordinances or resolutions and parts thereof inconsistent herewith are hereby repealed and rescinded.

Section 8. This resolution shall take effect immediately upon its enactment.
