*The primary and secondary administrators are authorized individuals at your company responsible for submitting names ofapproved employees who require access to the AMG WebPortal. A primary and a secondary security administrator are required.The security administrator is expected to notify AM General of any changes to access rights (e.g.employee with access rights leave the company, request for additional access rights, etc.)

Legal Terms and Conditions Of Use
Welcome to AM General LLC's ("Company") AM General Web Portal(the "Site"). By using the Site, you agree to be bound by this Agreement, and to indemnify Company against any and all claims arising out of your use of the Site in violation of this Agreement. If you wish not to be bound by this Agreement, then you are not permitted to use the Site.
I.Limited License
You should assume that everything that on the Site is copyrighted or otherwise protected and owned by Company or some third party who licensed to Company the right to use such material. Unless otherwise expressly noted, nothing on the Site may be copied or used except as provided in this Agreement or with the prior written approval of Company.
Company hereby grants you permission to download and use content from the Site solely for the purpose of conducting business for or with Company for the benefit of Company. No other permission is granted to you to print, copy, reproduce, distribute, license, transfer, sale, transmit, upload, download, store, display in public, alter, modify or create derivative works of these materials. This grant of permission is not a transfer of title, and under this permission you may not remove any copyright, trademark or other proprietary notations from the materials.
Company makes no warranties or representations that your use of any content on the Site will not infringe the rights of third parties.
II.Compliance with Laws and Regulations
In addition to the terms and conditions of this Agreement, by accessing the Site you agree to comply with and assume responsibility for non-compliance with all laws, regulations, and rules applicable to the access or use of any of the content of the Site.
For example, and without limitation, certain content on the Site may be governed by the International Traffic in Arms Regulations ("ITAR"), which are regulations that implement the Arms Export Control Act, interpreted and enforced by the Department of State to control the import and export of defense related information and materials. See The Code of Federal Regulations, Title 22, Chapter I, Subchapter M. Among other things, ITAR provides that military related technologies may only be shared with U.S. Persons, absent approval by the Department of State or use of an exemption. The list of technologies controlled by ITAR often changes. By accessing the Site, you agree to comply with and assume responsibility for non-compliance with any obligations imposed by ITAR as to the content of the Site.
Additionally, and without limitation, certain content on the Site may fall into one of the categories of the Commerce Control List ("CCL"), for example category 9A018. The CCL is a list of commercial or dual-use items and technologies under the export control jurisdiction of the Bureau of Industry and Security, U.S. Department of Commerce, and is found in Supplement 1 to part 774 of the Export Administration Regulations ("EAR"). See The Code of Federal Regulations, Title 15, Sections 730-774. Among other things, the EAR may require an export license for certain uses of items and technologies listed in the CCL. By accessing the Site, you agree to comply with and assume responsibility for non-compliance with any obligations imposed by the EAR as to content of the Site.
III.Confidentiality of Materials on the Site
All content on the Site, including all files, images, text, software, and data ("Company Confidential Information"), is to be maintained in confidence by you in accordance with the Proprietary Information Agreement ("PIA") into which you have previously entered with Company. Upon accessing the Site, you acknowledge that you have read and understand the PIA and affirm your agreement to be bound by its terms. Except as expressly set forth in the PIA, you agree to protect, not to disclose, and not to use Company Confidential Information. The terms of the PIA shall govern and control in the event of conflict with any terms of this Agreement.
IV.Third Party Web Sites
Company may provide links and pointers to Internet sites maintained by others ("Third Party Sites"). Company has not reviewed all of the Third Party Sites linked to the Site and is not responsible for the content of or any products or services offered in such Third Party Sites.
V.Submitted Information
Except to the extent it is inconsistent with any prior agreement you have entered into with Company, if you submit or upload any information to the Site, including any comments, remarks, suggestions, ideas, notes, drawings, graphics, concepts, or other information, then you are granting to Company the right to use that information, for the purpose of conducting business with you or otherwise operating the Site.
This is true whether you submit such information to the Site by e-mail, through a form on the Site, on a bulletin board, or in any other manner. Company may from time to time monitor, review and, in its sole discretion, modify or delete any content you provide to the Site. Company is not, however, obligated to do so.
You agree not to submit or transmit any material that is unlawful, threatening, libelous, defamatory, obscene, pornographic, profane, or might in any other way violate any law, regulation, or rule. You are solely responsible for any material you submit to the Site. You further agree not to upload, email, post or transmit to, or distribute or otherwise publish through the Site any material which disrupts the normal operation of the Site, including posting or otherwise transmitting material that is not related to the subject at issue or otherwise restricts or inhibits any other user from using the Site.
Through your usage of the Site, you may submit and/or Company may gather certain limited information about you and your usage of the Site. Company is free to use such information for any non-profit purpose, including for reporting your access to the Site to government entities.
VI.Account Information
To obtain access to the Site, you have been required to complete a registration process to create an account. You are responsible for maintaining the confidentiality of your account information and password and for restricting access to your computer. You accept responsibility for all activities that occur under your account or password and such use shall be deemed to be use by you. You will ensure that all use of your account fully complies with this Agreement. Transfer of your account information or password by you to any other person or entity is strictly prohibited.
VII.Disclaimer and Limitation of Liability
ALL MATERIAL ON THIS SITE IS PROVIDED “AS IS” AND WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
COMPANY MAKES NO REPRESENTATIONS OR WARRANTIES ABOUT THE ACCURACY, COMPLETENESS, OR SUITABILITY OF ANY OF THE MATERIAL ON THIS SITE, OR ON ANY SITE OR SITES "LINKED" TO THIS SITE. COMPANY MAKES NO WARRANTY THAT THE SITE WILL BE AVAILABLE, UNINTERRUPTED, ERROR FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, UNDER NO CIRCUMSTANCES WILL COMPANY OR ITS AFFILIATES, CONTRACTORS OR THEIR RESPECTIVE EMPLOYEES HAVE ANY LIABILITY TO YOU FOR DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES) (WHETHER IN CONTRACT, NEGLIGENCE, TORT OR OTHERWISE) ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE OR INABILITY TO USE THE SITE, SITE CONTENT OR ANY PRODUCTS OR SERVICES, OR ANY FAILURE OF PERFORMANCE, ERROR, OMISSION, INTERRUPTION, EFFECT, DELAY IN OPERATION OR TRANSMISSION, COMPUTER VIRUS, LINE SYSTEM FAILURE, LOSS OF DATA, OR LOSS OF USE RELATED TO THE SITE OR ANY WEB SITE OPERATED BY ANY THIRD PARTY. If despite these conditions, you use the Site from outside the U.S., you are solely responsible for compliance with any applicable laws.
IX.Trademarks, Trade Names, and Service Marks
Unless otherwise indicated, all logos, names, package designs, and marks on the Site are trademarks or service marks owned or used under license by Company. The use or misuse of any of these marks or other information is strictly prohibited.
X.Modification and Termination of This Agreement
Company may modify this Agreement, terminate this Agreement,terminate your access to all or part of the Site, or suspend any user's access to all or part of the Site, at any time, without notice to you, with or without cause. You may terminate this Agreement at any time by (1) reporting to Company your desire to discontinue use of the Site, (2) destroying all materials received from the Site or reflecting your account information, and (3) discontinuing use of the Site. Notwithstanding the foregoing, this Agreement and your ability to access the Site shall terminate automatically upon expiration or termination of the PIA you previously entered into with Company. This Agreement is not assignable, transferable or sub-licensable by you without prior written consent by Company. Company may assign this agreement in whole or part without notice to you.
XI.Miscellaneous
This Agreement shall be governed by the laws of the State of Indiana ("the Chosen State") without giving effect to any choice or conflict of law or rule (whether of the Chosen State or any other jurisdiction) that would cause the application of the laws of any jurisdiction other than the Chosen State, provided, however, that disputes concerning patent, federal trademark, or federal copyright matters shall be governed by federal law. You consent to jurisdiction in the Chosen State. Company's failure to strictly enforce any right against you shall not constitute a waiver thereof. If any provision of this Agreement is deemed invalid, illegal, or unenforceable, then such provision will be deemed amended to conform to the applicable laws and the remainder of the provisions of this Agreement shall remain in full force and effect. This represents the full understanding of the parties with respect to this subject matter.
