1. Subject of the agreement

Subject of this agreement is the organisation of a partnership in order to implement the Business Plan.

2. Duration of the agreement

3. Obligations

The PATC, VSI and the partners commit themselves in doing everything in their power to foster the implementation of the operation as defined in § 1.

The PATC, VSI shall fulfil all obligations arising from the subsidy contract and the approved application. In particular, the PATC, VSI shall fulfil the following obligations:

- appoint a project manager who shall accept the operational responsibility for the implementation of the overall operation and a financial manager

- start and implement the operation according to the descriptions of individual components approved by the Steering Committee

- draw up and present progress reports comprising activity reports and audited financial reports to the ………… on a regular basis, as well as the final report as defined in the ………. contract

- request payments from the ……. customers

- receive payments from the …….. transfer the agreed portions of it to the partners

- manage and verify appropriate spending of the subsidy awarded

- carry out the operation's overall accounting

1. Sutarties dalykas

1. Šios sutarties dalykas yra bendradarbiavimo siekiant įgyvendinti Verslo planą įtvirtinimas.

2. Priedai – įskaitant visas nuostatas jie yra pagrįsti ir suvokiami kaip – laikomi neatskiriama šios sutarties dalimi.

2. Sutarties trukmė

Ši sutartis įsigalioja atgaline data nuo...... {data}. Ji nustoja galioti …… {pasibaigimo data}

Datą nustato abu partneriai.

3. Įsipareigojimai

1. PATC, VSI ir partneriai įsipareigoja galioja viską, kas jų galioja, kad užtikrintų § 1 apibrėžtos veiklos vykdymą.

2. PATC, VSI vykdo visus įsipareigojimus, atsirandančius pagal sutartį dėl dotacijų ir patvirtinto jų taikymo. Ypatingą dėmesį PATC, VSI skiria šiems įsipareigojimams:

- paskirti projekto vadybininką, kuris prisiims atsakomybę už veiklą įgyvendinant visą veiklą ir finansų vadybininką

- pradėti ir įgyvendinti veiklą pagal individualių dalių aprašymus, patvirtintus Organizacinio komiteto

- sudaryti ir reguliariai pristatyti eigos ataskaitas, apimančias veiklos ataskaitas ir audito patikrintas finansines ataskaitas …………ir finansinę ataskaitą kaip numatyta ………. sutartyje

- reikalauti mokėjimų iš ……. vartotojų

- gauti mokėjimus iš …….. pervesti sutartus jų dalis partneriams

- tvarkyti ir tikslinti tinkamą suteiktų dotacijų išleidimą

- vykdyti bendrą veiklos apskaitą

- bendrauti su

- greitai reaguoti į bet kokį partnerių prašymą

- notify its partners immediately of any event that could lead to a temporary or final discontinuation or any other deviation of the operation

- produce all documents required for the audit, provide necessary information and give access to its business premises

- retain at all times for audit purposes all files, documents and data about the part of the operation for which it is responsible on customary data storage media in a safe and orderly manner for a minimum of five years; other possibly longer statutory retention

- periods, as might be stated by Lithuanian law, shall remain unaffected

- provide the independent assessors…… evaluation any document or information necessary to assist with the evaluation

- comply with national and EU legislation.

Every partner shall accept the following duties and obligations:

- appoint a project leader for the parts of the operation for which it is responsible and give the project leader the authority to represent the partner in the operation

- implement the part of the operation for which it is responsible in due time according to the descriptions of individual

- support the PATC, VSI in drawing up progress reports and the final report by providing the required data on time

- produce and deliver to the PATC, VSI all information necessary for payment requests

- notify the PATC, VSI immediately of any event that could lead to a temporary or final discontinuation or any other deviation of the operation

- produce all documents required for the audit, provide necessary information and, for audit purposes, give access to its business premises

- provide the independent assessors …. any document or information necessary to assist with the evaluation

- respect all rules and obligations laid down in the subsidy contract and the co-financing statement each partner has signed for the application

- comply with national and EU legislation.

4. Liability

Each partner, including the lead partner, shall be liable to the other partners and shall indemnify and hold harmless such other partners for and against any liabilities, damages and costs resulting from the non-compliance of its duties and obligations as set forth in this agreement and its annexes.

No party shall be held liable for not complying with obligations ensuing from this agreement in case of force majeure. In such a case, the partner involved must announce this immediately in writing to the other partners of the operation.

5. Budgetary and financial management, accounting principles

The PATC, VSI is the sole responsible party to the managing authority and the Steering Committee ………….for the budgetary and financial management of the operation. The PATC, VSI shall be responsible for the realisation and the transfer of payment claims to its partners as well as for an application for reallocation between budget lines as defined in the subsidy contract. For each financial claim, following payment of funds to the lead partner, the PATC, VSI shall pay, as soon as possible, the sums assigned to each partner by

- nedelsiant pranešti savo partneriams apie bet kokį įvykį, kuris galėtų sąlygoti laikiną ar visišką veiklos nutraukimą ar bet kokį kitą nukrypimą nuo jos

- pateikti visus auditui būtinus dokumentus, pateikti būtiną informaciją ir leisti audito metu naudotis savo verslo patalpomis

- visada auditui saugoti visas bylas, dokumentus ir duomenis apie tą veiklos dalį, už kurią yra atsakingas ir paprastai saugo duomenis saugiau ir tinkamai mažiausiai penkis metus; kitą, galbūt ilgesnį, įstatymo nustatytą saugojimo laikotarpį, kuris gali būti numatytas Lietuvos įstatymuose, visiškai nepakeistus

- gerbti visas pareigas ir įsipareigojimus, nurodytus sutartyje dėl dotacijų ir bendro finansavimo pareiškime, kurią pateikdami prašymą pasirašė visi partneriai

- laikytis nacionalinių ir ES įstatymų.

3. Kiekvienas partneris prisiima šias pareigas ir įsipareigojimus:

- paskirti projekto lyderį veiklai, už kurią jis yra atsakingas ir suteikti projekto lyderiui įgaliojimą atstovauti partneriui veiklos metu

- vykdyti tą veiklos dalį, už kurią jis yra atsakingas, laiku, laikantis individualių aprašymų

- padėti PATC, VSI ruošiant eigos ataskaitas ir galutinę ataskaitą laiku pateikiant būtinus duomenis

- paruošti ir pristatyti PATC, VSI visą apmokėjimų prašymams būtiną informaciją

- nedelsiant pranešti PATC, VSI apie bet kokį įvykį, kuris galėtų sąlygoti laikiną ar visišką veiklos nutraukimą ar bet kokį kitą nukrypimą nuo jos

- pateikti visus auditui būtinus dokumentus, pateikti būtiną informaciją ir leisti audito metu naudotis savo verslo patalpomis

- surasti nepriklausomus vertintojus …. bet kokį dokumentą ar informaciją, būtiną vertinimo palengvinimui

- gerbti visas pareigas ir įsipareigojimus, nurodytus sutartyje dėl dotacijų ir bendro finansavimo pareiškime, kurią pateikdami prašymą pasirašė visi partneriai

- laikytis nacionalinių ir ES įstatymų.

4. Atsakomybė

1. Kiekvienas partneris, įskaitant pagrindinį partnerį, yra atsakingas prieš kitus partnerius ir apdraudžia kitus tokius partnerius nuo ir dėl bet kokios atsakomybės, žalos ir išlaidų, atsiradusių dėl šioje sutartyje ir jos prieduose nurodytų pareigų ir įsipareigojimų nevykdymo.

2. Force majeure (nenugalimos jėgos) atveju nė viena šalis nėra laikoma atsakinga už sutartyje numatytų įsipareigojimų nesilaikymą. Tokiu atveju susijęs partneris turi apie tai nedelsiant raštu pranešti kitiems veiklos partneriams.

5. Biudžeto ir finansų tvarkymas, apskaitos principai

1. PATC, VSI yra vienintelė vykdomajai valdžiai ir Organizaciniam Komitetui …………. atsakinga už veiklos biudžeto ir finansų tvarkymą šalis. PATC, VSI yra atsakingi už prašymų apmokėti realizavimą ir perdavimą savo partneriams ir už biudžeto linijų perskirstymo prašymus kaip numatyta sutartyje dėl subsidijų. Kiekvienam finansiniam prašymui, po lėšų sumokėjimo pagrindiniam partneriui, PATC, VSI kaip įmanoma banko pervedimu greičiau sumoka sumas, kurios priklauso kiekvienam iš partnerių. Neatliekami jokie atskaitymai, užlaikymai ir netaikomi kiti specifiniai mokesčiai.

The PATC, VSI must ensure the correctness of the accounting and financial reports and documents drawn up by the partners. The PATC, VSI may request further information, documentation and evidence from the partners to that effect.

Every partner will be held responsible for its budget up to the amount as to which the partner participates in the operation and pledges to release its part of the co-funding.

Every partner commits to keeping separate accounts solely used for the operation as defined in § 1. The accounts shall provide for registration in Euros (EUR; €) of total expenses (expenditure) and of the return (income) related to the operation.

Accounting reports or other documents, including copies of all pieces of evidence (invoices, documents related to tender, bank statements, etc.) shall be submitted to the PATC, VSI or to the body appointed to that effect, in accordance with the schedule and requirements stipulated by the lead partner. The partners are obliged to have their accounting certified by an auditor independent of the operations' activities.

In default of evidence or in the event of non-fulfilment of the rules concerning eligibility of expenditure, the PATC, VSI shall ask the partners to redraft the submitted financial documents. In case of repeated non-fulfilment, the PATC, VSI shall be entitled to deny the expenditure declared by a partner. In that case, the PATC, VSI is obliged to inform the partner concerned on the denial of the expenditure declared and the motivation thereto.

6. Modification of the work plan and budget reallocation

Before applying for reallocation of total costs as stated in the approved application from one budget line to another in accordance with the subsidy contract, the PATC, VSI shall obtain the approval of its partners.

Any request for amendment of the subsidy contract presented by the lead ……….shall be authorised by the partners of the operation beforehand.

7. Reports

Every partner commits to providing the PATC, VSI with the information needed to draw up progress reports and other specific documents required by the managing authority. The reporting periods as laid down in the subsidy contract as well as instructions in the reporting forms shall be observed.

The PATC, VSI shall systematically send every partner copies of the progress reports submitted to the managing authority ………and keep the partners informed on a regular basis of all relevant communication.

8. Information and publicity measures

The PATC, VSI and the partners will implement jointly a communication plan that ensures adequate promotion of the operation both towards potential beneficiaries and towards the general public.

The partners agree that the managing authority shall be authorised to publish, in whatever form and on or by whatever medium, including the Internet, the following information:

- the name of the Co. and its partners,

- the purpose of the subsidy,

- the portions of the financial information (?)

2. PATC, VSI turi užtikrinti apskaitos ir finansinių ataskaitų bei partnerių sudarytų dokumentų tikslumą. PATC, VSI gali reikalauti iš partnerių su tuo susijusios papildomos informacijos, dokumentų ir įrodymų.

3. Kiekvienas partneris yra atsakingas už savo biudžetą, už tokia sumą, kokia įvertinamas partnerio dalyvavimas veikloje ir jo užstatai, kurie gali jam leisti atsiimti savo dalį iš bendro finansavimo.

4. Kiekvienas partneris įsipareigoja išsaugoti atskiras sąskaitas, naudojamas tik kaip numatyta § 1. Sąskaitos leis eurais (EUR; €) registruoti visas su veikla susijusias išlaidas (sąnaudas) ir įplaukas (pajamas).

Apskaitos ataskaitos ir kiti dokumentai, įskaitant visų įrodymų kopijas (sąskaitas - faktūras, dokumentus, susijusius su pasiūlymais, banko pranešimus ir kt.), pateikiami PATC, VSI arba tampa skirtai institucijai, laikantis grafiko ir reikalavimų, pateiktų pagrindinio partnerio. Partneriai įsipareigoję, kad jų apskaitą tvirtintų nepriklausomas auditorius, nesusijęs su jų veikla.

5. Jeigu nėra įrodymų arba jeigu nesilaikoma taisyklių, susijusių su išlaidų tinkamumu, PATC, VSI paprašo partnerių perrašyti pateiktus finansinius dokumentus. Jeigu taisyklių nesilaikymas pasikartoja, PATC, VSI turi teisę paneigti partnerio deklaruotas išlaidas. Tada PATC, VSI privalo informuoti atitinkamą partnerį apie deklaruotų išlaidų paneigimą ir paneigimo priežastis.

6. Darbo plano pritaikymas ir biudžeto perskirstymas

6. Prieš pateikiant visų išlaidų perskirstymo iš vienos biudžeto linijos į kitą, laikantis sutarties dėl dotacijų, prašymą, sudarytą pagal patvirtintą prašymo formą, PATC, VSI turi gauti savo partnerių pritarimą.

Bet koks prašymas dėl dotacijų sutarties pakeitimo, pateiktas pagrindinio ………. turi būti iš anksto patvirtintas veiklos partnerių.

7. Ataskaitos

1.Kiekvienas partneris įsipareigoja PATC, VSI teikti informaciją, būtiną sudarant eigos ataskaitas ir kitus specifinius dokumentus, kurių reikalauja vykdomoji valdžia. Yra laikomasi sutartyje dėl dotacijų ir ataskaitų formų instrukcijose pateikiamų ataskaitinių laikotarpių.

2. PATC, VSI reguliariai kiekvienam partneriui siunčia eigos ataskaitų kopijas, pateikiamas vykdomajai valdžiai ……… ir reguliariai informuoja partnerius apie aktualų bendravimą.

8. Informavimas ir viešumo priemonės

1. PATC, VSI ir partneriai bendrai įgyvendina komunikavimo planą, kuris užtikrina tinkamą veiklos reklamą ir potencialiems pelno gavėjams, ir plačiajai visuomenei.

2. Partneriai sutinka, kad vykdomajai valdžiai yra suteikiama teisė bet kokia forma ir naudojant bet kokias priemones, įskaitant internetą, skelbti šią informaciją:

- įmonės ir jos partnerių pavadinimus,

- dotacijos tikslus,

- tam tikrą finansinės informacijos kiekį,

- the geographical location of the operation,

- progress reports including the final report,

- whether and how the operation has previously been publicised.

9.Confidentiality

Although the nature of the implementation of the operation is public, part of the information exchanged in the context of its implementation between the PATC, VSI and the partners, or the partners themselves can be confidential. Only documents and other elements explicitly provided with the statement “confidential” shall be regarded as such.

The PATC, VSI and the partners commit to taking measures to ensure that all staff members carrying out the work respect the confidential nature of this information, and do not disseminate it, pass it on to third parties or use it without prior written consent of the PATC, VSI and the partner institution that provided the information.

This confidentiality clause shall remain in force for two years following the termination of this agreement.

10. Cooperation with third parties, delegation and outsourcing

In the event of cooperation with third parties, of the delegation of part of the activities or of outsourcing, the partners shall remain the sole responsible parties to the PATC, VSI and through the latter to the bodies implementing the concerning compliance with their obligations by virtue of the conditions set forth in this agreement including its annexes.

The PATC, VSI shall be informed by the partners about the subject and party of any contract concluded with a third party.

11. Assignment, legal succession

Neither the PATC, VSI nor the partners are allowed to assign their duties and rights under this agreement without the prior consent of the other parties to this agreement.

The parties to this agreement are aware of the provisions of the subsidy contract whereupon the PATC, VSI is allowed to assign its duties and rights as laid down in the subsidy contract only after prior written consent of the…….

In the case of legal succession, the PATC, VSI or the partner concerned is obliged to transfer all duties under this agreement to the legal successor.

12. Non-fulfilment of obligations or delay

Every partner is obliged to promptly inform the PATC, VSI and to provide the latter with all necessary details should there be events that could jeopardise the implementation of the operation.

Should one of the partners be in default, the PATC, VSI shall admonish the respective partner to comply within a reasonable period of time, a maximum of one month. The PATC, VSI shall make any effort to contact the partners in resolving the difficulties including seeking the assistance of the …...

Should the non-fulfilment of obligations continue, the PATC, VSI may decide to exclude the partner concerned from the operation, with approval of the Steering Committee. ………. shall be informed immediately if the PATC, VSI intends to exclude a partner from the operation.

9. Konfidencialumas

1. Nors veiklos įgyvendinimas yra viešas, dalis informacijos, kuria pasikeičiama šiame kontekste tarp PATC, VSI ir partnerių arba tik partnerių, gali būti konfidenciali. Tik dokumentai ir kitos duomenys, aiškiai pateikiami su užrašu „konfidencialu“, yra tokiais laikomi.

2. PATC, VSI ir partneriai įsipareigoja imtis priemonių, kad užtikrintų, jog visas darbą atliekantis personalas gerbia šios informacijos konfidencialumą ir jos neplatina, neperduoda jos trečioms šalims ar nenaudoja jos be išankstinio rašytinio PATC, VSI ir partnerių institucijos, kuri pateikė šią informaciją, pritarimo.

3. Punktas dėl konfidencialumo galioja du metus pasibaigus šios sutarties pasibaigimo.

10. Bendradarbiavimas su trečiosiomis šalimis, įgaliojimai ir paslaugų nuoma

1. Bendradarbiaujant su trečiosiomis šalimis, dalies veiklos pavedimą arba paslaugų nuomą, partneriai lieka vienintelėmis PATC, VSI atsakingomis šalimis ir per pastaruosius jie yra atsakingi institucijoms, kontroliuojančioms įsipareigojimų dėl šioje sutartyje ir jos prieduose numatytų sąlygų vykdymą.

2. Partneriai informuoja PATC, VSI apie bet kokios sutarties, pasirašytos su trečiąja šalimi, dalyką ir trečiąją šalį.

11. Pajamų perleidimas, teisėtas paveldėjimas

1. Nei PATC, VSI, nei partneriai šioje sutartyje numatytų pareigų ir teisių negali perduoti be išankstinio kitų šios sutarties šalių pritarimo.

Šios sutarties šalys žino apie sutarties dėl dotacijų nuostatas, pagal kurias PATC, VSI leidžiama perleisti savo pareigas ir teises kaip nurodyta sutartyje dėl dotacijų tik po išankstinio rašytinio ……. Pritarimo.

2. Teisėto perdavimo atveju, PATC, VSI ar susijęs partneris yra įsipareigojęs pervesti visas šioje sutartyje numatytas pareigas teisėtam paveldėtojui.

12. Įsipareigojimų nevykdymas ar vilkinimas

1. Kiekvienas partneris yra įsipareigojęs nedelsiant pranešti PATC, VSI ir pateikti joms visus būtinus duomenis, jeigu pasitaiko įvykių, kurie gali kelti grėsmę visos veiklos įgyvendinimui.

2. Jeigu vienas iš partnerių nevykdo įsipareigojimų, PATC, VSI įspėja atitinkamą partnerį imti jų laikytis per pagrįstos trukmės laikotarpį, daugiausiai per vieną mėnesį. PATC, VSI visais galimais būdais mėgina susisiekti su partneriais sprendžiant problemas, įskaitant …... pagalbos ieškojimą.

3. Jeigu įsipareigojimų nevykdymas tęsiasi, PATC, VSI gali nuspręsti nušalintį atitinkamą partnerį nuo veiklos, pritariant Organizaciniam komitetui. ………. yra nedelsiant informuojamas, jeigu PATC, VSI ketina nušalinti partnerį nuo veiklos.

4. The excluded partner is obliged to refund to the PATC, VSI any programme funds received which it cannot prove on the day of exclusion that they were used for the implementation of the operation according to the rules of eligibility of expenditure.

In case of non-fulfilment of a partner's obligation having financial consequences for the funding of the operation as a whole, the PATC, VSI may demand compensation to cover the sum involved.

13. Demand for repayment by the …..

Should the ….. in accordance with the provisions of the contract demand repayment of the funds already transferred, every partner is obliged to transfer its portion of the repayment amount to the PATC. The PATC, VSI shall, without delay, submit the letter by which the ……managing authority has asserted the repayment claim and notify every partner of the amount repayable. The repayment amount is due within two weeks following the notification by the lead partner. The amount repayable shall be subject to interest; the provisions of the subsidy contract shall apply by analogy.
