Academic Pricing Eligibility for Hospitals and Health Care Systems
Due to the massive changes in Healthcare organizations, including the large number of mergers and acquisitions of both not-for-profit organizations and for-profit entities, and the transient nature of caregivers within an organization it is difficult to distinguish between academic and non academic users within hospitals and health care systems. As a result, Hospitals and Health Care Systems are not eligible to acquire Microsoft Academic Edition (AE) products unless they are wholly owned and operated by a "Qualified Educational Institution" as that term is defined in Section A of the “Microsoft Qualified Educational User Definition & Distribution Guidelines for the U.S”, "Wholly owned and operated" means that the Educational Institution is the sole owner of said hospital or health care system (including all of the organization’s assets) and the only entity exercising control over the hospital's day-to-day operations. Academic Pricing Eligibility for National Laboratories and Research Laboratories
All National Laboratories affiliated with organizations such as the Department of Defense or the Department of Energy are NOT eligible to acquire Microsoft Academic Edition (AE) products unless the Laboratory is “Wholly Owned and Operated” by a Qualified Educational Institution. All Research Laboratories (including those affiliated with an academic institution in name) are NOT eligible to acquire Microsoft Academic Edition (AE) products unless the Laboratory is “Wholly Owned and Operated” by a Qualified Educational Institution.
How to determine if an entity is “wholly owned and operated” by a qualified Educational Institution.
To determine if an entity "wholly owned and operated" by an Educational Institution, the entity needs to be able to demonstrate and document evidence that they can answer "yes" to all four of the following questions:
1. Does a Qualified Educational Institution, as defined in Schedule A, have complete financial responsibility for the entity in question?
2. Is the entity solely governed by the same Board of Regents as a Qualified Educational Institution?
- Does a Qualified Educational Institution have the sole authority to hire and fire all employees of the entity?
- Does a Qualified Educational Institution have sole and final approval over policies and procedures of the entity?
If the answer is "yes" to all of the above questions and the entity can provide documentation supporting each “yes” answer, Microsoft will evaluate the information provided and grant in its sole discretion eligibility for the following Microsoft Academic Edition (AE) Programs.

Note: Hospitals, healthcare systems, and research laboratories are NOT eligible to purchase School Agreement and are NOT eligible to be included as part of an Educational Institution’s School Agreement even if they are wholly owned and operated by an Educational Institution.
