The scope of work under the present tender covers the following:
- Supply of various Pharmaceuticals, Home products and Chemical products
to Government, Semi-Government and other trade stockiest .
- To follow the guideline given in the credit policy.
- To follow up outstanding and collection.
- To work as a liaison agent for collection from supplies made to government, semi governmentDHS, NRHM or any other agencies.

BACKGROUND NOTE
1. Company Background
Bengal Chemicals & Pharmaceuticals Ltd (BCPL) is the oldest Pharmaceutical Company in the country .It was established by Acharya P C Ray in 1901.From humble beginningwith one factory in Manicktola (Kolkata) in 1905. Three more factories were Established – One at Panihaty (North 24 Paraganas, West Bengal) in 1920, one at Mumbai in 1938 and one at Kanpur in 1949 with its registered office at 6 Ganesh Chunder Avenue, Kolkata. Besides, the company is having 12 sales depots and 4 C&F agencies spread all over India .The company expanded and diversified into a multi product conglomerate, having three divisions viz Division –I (Chemicals ) , Division –II (Drugs &Pharmaceuticals) and Division-III (Cosmetics and Home products). Stringent Standards of quality control, infallible commitment to the consumers have enabled BCPL to receive schedule M-GMP certificate, DGQA & ISO 9001 certificate. The company is in the process of commissioning the new pharmaceutical production blocks for Ointments, Beta lactum and Cephalosporin products.

General Terms & Condition:
1. The selected parties have to submit a security deposit of Rs10.00lakh(Rupees Ten lakh )infavour of“BENGAL CHEMICALS & PHARMACEUTICALS LTD “ payable at Kolkata by DD. The amount may be paid through RTGS modealso within 1 month.
2. The selected C&F should be ready with the facilities along with the terms and condition within one month.
3. CommissionPayable:
3.1 For Goods sold to Distributors: / Up to 2 Cr / 2 to 5 Cr@ 2.5 % / @ 3%
3.2 For goods Sold to Government or Semi Government agencies on PPP items only (DIV II Products).

If the payment is made after 365 days, no commission/service charges shall be payable.
No extra commission is payable on Home Products & Pharmaceutical trade products.
3.3 The calculation on commission shall be as under against Institutional Supply/Government Parties .
1. Amount of commission shall be calculated excluding Excise duty and Local Taxes.
2. Date of dispatch (Lorry receipt) will be considered as the date for calculating commission amount.
3. Date of D/D will be considered as last day for calculating actual payment period if the payment is received within 15 days from the date of D/D, which would be considered as transit period on account of postal delay or any other reason and no deduction from the commission payable would be made.The delay beyond 15 days from the date of DD shall be considered for deduction of commission payable as per slabs mentioned above.

Annexure - II
C& F AGREEMENT
This agreement is made at Kolkata on this ------, 2015 between:
Bengal Chemicals and Pharmaceuticals Limited (A Government of India Enterprise)(in brief BCPL), a Company incorporated under the Companies Act, 1956 bearing ------having its Regd. Office situated at ------(hereinafter referred to as “PRINCIPAL” which expression unless otherwise so expressed shall mean and include its heirs, executors, administrators and assigns of FIRST PART).
AND
------(hereinafter referred as “C&F AGENT” which expression unless otherwise so expressed shall mean and include its heirs, executors, administrators and assigns of SECOND PART).
WHEREAS PARTY of the first part “BCPL” is a Public Sector Undertaking engaged in manufacture of Chemicals, pharmaceuticals and Home products and items (hereinafter called as the GOODS) and is desirous of appointing Clearing & Forwarding Agent in various States ------for proper sales and distribution of its products.
AND WHEREAS PARTY OF SECOND PART is desirous of being appointed as the C&F Agent of the party of the first part to sell all its products, present and future for the State/s of ------
AND NOW WHEREAS in the mutual interest, the party of the first part has agreed to appoint the party of the second part as its C&F Agent on the mutually agreed terms and conditions set-forth hereunder:

NOW THIS AGREEMENT WITNESSETH AS UNDER:
i).That the party of the first part “BCPL” hereby appoints ------
ii).Thatthis agreement is effective from the------, 2015 and shall be valid for the period of 5(five) years i.e., up-to ------, 2020 which can be renewed thereafter with mutual consent and interest.
iii).This agreement shall be at WILL and can be terminated by giving three months notice from either side.
iv).That the Principals will transfer the goods to the C&F Agent by trucks, rail, air or such other mode of transport as may be deemed fit.
v).That the C&F Agent will receive and store such goods and keep the same in accordance with the directions issued by ‘BCPL’ from time to time and also under proper storage conditions which are required under the provisions of Drugs & Cosmetics Act, 1940, and the rules framed there-under, having due regard to the specific nature of the products. The C&F Agent shall also maintain proper records, bills, vouchers, challans, etc. regarding the goods received and dispatched by them on behalf of ‘BCPL’.
vi).The inventory of receipts of these goods by C&F Agent should be kept recorded in a separate stock book, which would be kept solely for the Principals. Month-wise statement of receipts of stock from Principals and sale thereof (including monthly statement of realization and monthly statement of account) must be submitted to the Principals by the Clearing & Forwarding Agent by the 15th day of the succeeding month.
vii).That the Agent shall also maintain a proper warehouse and office for the purpose of business of ‘BCPL’ and shall have adequate staff for the same with modern amenities.
viii).That all the transactions, receipts, deposits, payments, reimbursement, etc. shall be made by the C&F Agent on behalf of ‘BCPL’ and in the name of ‘BCPL’ and the C&F Agent shall not assume ownership of the goods in any case.
ix).The staff employed by the C&F Agent will remain in exclusive employment of the C&F Agent only and BCPL will not be held responsible for the same in any manner.
x).That the ownership of the goods lying with the Agent shall always remain vested with the ‘BCPL’ and the C&F Agent shall not create any right or interest on the same and shall not hypothecate, pledge, mortgage or sell the same, except as per instructions of ‘BCPL’ and in the name of ‘BCPL’.
xi).That the stocks of ‘BCPL’ should be kept separately and should not be mixed with the stocks of Agent or anybody else, if any.
xii).That the C&F Agent shall receive the goods and properly store and then further dispatch the goods to the person/parties whom they are sold under the guidance or ‘BCPL’s representatives.

xiii).That it shall maintain the warehouse in a fit and proper condition for the storage of the products.
xiv).That it shall take all necessary measures to safeguard the premises against destruction by fire explosion or weather conditions.
xv).That it shall conspicuously exhibit a board outside and within the warehouse in letters easily legible in English and in the regional language to indicate thereon that the product stored in the warehouse is the property and belong to ……………...
xvi).That it shall bring to the notice of ……….. Authorized representative any breakage/shortage/damage to the products within 24 hours of receipt of the consignment in the warehouse to enable …………….. to take appropriate remedial action.
xvii).That it shall be liable for all losses, misdelivery, non-delivery, damage or shortage of or to the products by reason of any act or omission of the Agent or its servant/employees whilst the products are in the custody or under the control of the Agent unless it is proved to the satisfaction of …………. or its insurers that such loss, misdelivery, non delivery, damage, shortage etc were not caused or contributed to by any negligence or any willful act or default on the part of the Agent, its servant or employees.
xviii)That it shall receive and segregate any unsold stock from ……………. authorized dealers as per …………… direction and to prepare necessary documents in respect of the same as required or directed by …... and to keep such unsalable stock separately for inspection by ……………. authorized representative.
xix).After the sales are effected, the C&F Agent will collect cheques payable locally in favour of ‘BCPL’ for Government/semi government/NRHM/ Institutions/PSUs’ and Distributors sales, deposit in bank and obtain draft or transfer money understanding instruction, made in favour of ‘BCPL’, payable at Kolkata and arrange to send same to BCPL, Kolkata at the earliest, for payments from other parties, D/D in favour of BCPL, Kolkata shall be obtained and sent to Kolkata Office.
