Please forward this notice to beneficial holders.

U.S. Bank National Association (the “Trustee”) is the Trustee under the Pooling and Servicing Agreements or Indentures for the cusips listed on Schedule A, attached hereto (the “Agreements”), pursuant to which the above-referenced certificates (the “Certificates”) were issued. Conseco Finance Corp., formerly known as Green Tree Financial Corporation, acts as Servicer under the Agreements (the “Servicer”) and in certain other capacities. Except as otherwise expressly provided, all terms used in this Notice which are defined in the Agreements shall have the meanings assigned to them in the Agreements.

Reference is made to the Notice To Holders dated as of December 18, 2002 (“Trustee’s First Notice”), in which the Trustee advised the Certificateholders that on December 17, 2002, the Servicer and certain of its affiliates filed Chapter 11 petitions in the United States Bankruptcy Court for the Northern District of Illinois, Eastern Division (the “Chapter 11 Case”). Enclosed please find an important Court ordered notice concerning developments in the Chapter 11 Case (“Court Notice”).

Please note that the Court Notice contains information which affects your rights as a Certificateholder, including the schedule for certain bankruptcy hearings and related matters. In addition, please be advised that you are likely to receive additional notices concerning these proceedings as the Chapter 11 Case continues. Please be prepared to receive and respond in a timely manner to all such notices. To facilitate direct communication with Certificateholders, please complete the Investor Information Form attached to the Trustee’s First Notice and return it to the Trustee at the address listed above.
