[Company] hereby agrees to comply with the following terms of licence and affirms and agrees:
1. That we are the end user of the GIS data and the data will not be distributed to any agent(s) or third party(s) without the City’s written permission.
2. That the City of London is granting a non-exclusive, non-transferable limited licence to use the GIS data without fee including the right to make copies and distribute complete, unmodified copies of the data within the organization only.
3. That the GIS data is copyrighted information of The Corporation of the City of London.
4. That GIS data may not be sold, leased or assigned in whole or in part.
5. That the GIS data is provided "as is" without warranty of any kind, either expressed or implied, including but not limited to the implied warranties of merchantability and fitness for a particular purpose. The Corporation of the City of London assumes no liability for any alleged or actual, incidental or consequential damages resulting from the furnishing, performance or use of the GIS data.
6. The GIS data will not be used in commercial products without the express permission of the City of London.
7. The GIS data will not be used or posted on an external website.
8. It is understood that failure to adhere to all of the above terms and conditions will terminate this agreement, in which case we agree to destroy the data and all derivative products on all computer systems including backup storage devices on which the data may reside and notify the City of London accordingly.
