1.Definitionsusedinthecontract

1.1InterpretthisContractusingJointSchedule1(Definitions).

2.How the contractworks

2.1TheSupplieriseligiblefortheawardofCall-­‐OffContractsduringtheFrameworkContractPeriod.

2.2CCSdoesn’tguaranteetheSupplieranyexclusivity,quantityorvalueofworkundertheFramework Contract.

2.3CCShaspaidonepennytotheSupplierlegallytoformtheFrameworkContract.TheSupplier acknowledges thispayment.

2.4IftheBuyerdecidestobuyDeliverablesundertheFrameworkContractitmustuseFramework Schedule7(Call-­‐OffAwardProcedure)andmuststateitsrequirementsusingFrameworkSchedule6(Order FormTemplateandCall-­‐OffSchedules).IfallowedbytheRegulations,theBuyercan:

  • makechangestoFrameworkSchedule6(OrderFormTemplateandCall-­‐OffSchedules)
  • createnewCall-­‐OffSchedules
  • excludeoptionaltemplateCall-­‐OffSchedules
  • useSpecialTermsintheOrderFormtoaddorchangeterms

2.5EachCall-­‐OffContract:

●isaseparateContractfromtheFrameworkContract

●isbetweenaSupplierandaBuyer

●includesCoreTerms,SchedulesandanyotherchangesoritemsinthecompletedOrderForm

●survivestheterminationoftheFrameworkContract

2.6WheretheSupplierisapproachedbyaneligiblebuyerrequestingDeliverablesorsubstantiallysimilar goodsorservices,theSuppliermusttellthemaboutthisFrameworkContractbeforeacceptingtheirorder. TheSupplierwillpromptlynotifyCCSiftheeligiblebuyerwon’tusethisFrameworkContract.

2.7TheSupplieracknowledgesithasalltheinformationrequiredtoperformitsobligationsundereach ContractbeforeenteringintoaContract.WheninformationisprovidedbyaRelevantAuthoritynowarranty ofitsaccuracyisgiventotheSupplier.

2.8TheSupplierwon’tbeexcusedfromanyobligation,orbeentitledtoadditionalCostsorCharges becauseitfailedtoeither:

●verifytheaccuracyoftheDueDiligenceInformation

●properlyperformitsownadequatechecks

2.9CCSandtheBuyerwon’tbeliableforerrors,omissionsormisrepresentationofanyinformation.

2.10TheSupplierwarrantsandrepresentsthatallstatementsmadeanddocumentssubmittedaspartof theprocurementofDeliverablesareandremaintrueandaccurate.

3.Whatneedstobedelivered

3.1Alldeliverables

3.1.1TheSuppliermustprovideDeliverables:

●thatcomplywiththeSpecification,theFrameworkTenderResponseand,inrelationtoaCall-­‐ OffContract,theCall-­‐OffTender(ifthereisone)

●to a professionalstandard

●usingreasonableskillandcare

●using Good IndustryPractice

●usingitsownpolicies,processesandinternalqualitycontrolmeasuresaslongastheydon’t conflict with theContract

●on the datesagreed

●that comply withLaw

3.1.2TheSuppliermustprovideDeliverableswithawarrantyofatleast90daysfromDeliveryagainstall obviousdefects.

3.2Goodsclauses

3.2.1AllGoodsdeliveredmustbenew,orasnewifrecycled,unusedandofrecentorigin.

3.2.2AllmanufacturerwarrantiescoveringtheGoodsmustbeassignabletotheBuyeronrequestandfor free.

3.2.3TheSuppliertransfersownershipoftheGoodsonDeliveryorpaymentforthoseGoods,whicheveris earlier.

3.2.4RiskintheGoodstransferstotheBuyeronDeliveryoftheGoods,butremainswiththeSupplierifthe BuyernoticesdamagefollowingDeliveryandletstheSupplierknowwithin3WorkingDaysofDelivery.

3.2.5TheSupplierwarrantsthatithasfullandunrestrictedownershipoftheGoodsatthetimeoftransferof ownership.

3.2.6TheSuppliermustdelivertheGoodsonthedateandtothespecifiedlocationduringtheBuyer’s workinghours.

3.2.7TheSuppliermustprovidesufficientpackagingfortheGoodstoreachthepointofDeliverysafelyand undamaged.

3.2.8Alldeliveriesmusthaveadeliverynoteattachedthatspecifiestheordernumber,typeandquantityof Goods.

3.2.9TheSuppliermustprovidealltools,informationandinstructionstheBuyerneedstomakeuseofthe Goods.

3.2.10TheSuppliermustindemnifytheBuyeragainstthecostsofanyRecalloftheGoodsandgivenoticeof actualoranticipatedactionabouttheRecalloftheGoods.

3.2.11TheBuyercancancelanyorderorpartorderofGoodswhichhasnotbeenDelivered.IftheBuyergives lessthan14daysnoticethenitwillpaytheSupplier’sreasonableandprovencostsalreadyincurredonthe cancelledorderaslongastheSuppliertakesallreasonablestepstominimisethesecosts.

3.2.12TheSuppliermustatitsowncostrepair,replace,refundorsubstitute(attheBuyer’soptionand request)anyGoodsthattheBuyerrejectsbecausetheydon’tconformwithClause3.IftheSupplierdoesn’t dothisitwillpaytheBuyer’scostsincludingrepairorre-­‐supplybyathirdparty.

3.3Servicesclauses

3.3.1LateDeliveryoftheServiceswillbeaDefaultofaCall-­‐OffContract.

3.3.2TheSuppliermustco-­‐operatewiththeBuyerandthirdpartysuppliersonallaspectsconnectedwith theDeliveryoftheServicesandensurethatSupplierStaffcomplywithanyreasonableinstructions.

3.3.3TheSuppliermustatitsownriskandexpenseprovideallSupplierEquipmentrequiredtoDeliverthe Services.

3.3.4TheSuppliermustallocatesufficientresourcesandappropriateexpertisetoeachContract.

3.3.5TheSuppliermusttakeallreasonablecaretoensureperformancedoesnotdisrupttheBuyer’s operations,employeesorothercontractors.

3.3.6TheSuppliermustensureallServices,andanythingusedtoDelivertheServices,areofgoodquality and free fromdefects.

3.3.7TheBuyerisentitledtowithholdpaymentforpartiallyorundeliveredServices,butdoingsodoesnot stopitfromusingitsotherrightsundertheContract.

4Pricing andpayments

4.1InexchangefortheDeliverables,theSuppliermustinvoicetheBuyerfortheChargesintheOrder Form.

4.2CCSmustinvoicetheSupplierfortheManagementChargeandtheSuppliermustpayitusingthe processinFrameworkSchedule5(ManagementChargesandInformation).

4.3AllChargesandtheManagementCharge:

●excludeVAT,whichispayableonprovisionofavalidVATinvoice

●includeallcostsconnectedwiththeSupplyofDeliverables

4.4TheBuyermustpaytheSuppliertheChargeswithin30daysofreceiptbytheBuyerofavalid, undisputedinvoice,inclearedfundstotheSupplier’saccountstatedintheOrderForm.

4.5ASupplierinvoiceisonlyvalidifit:

●includesallappropriatereferencesincludingtheContractreferencenumberandotherdetails reasonablyrequestedbytheBuyer

●includesadetailedbreakdownofDeliveredDeliverablesandMilestone(s)(ifany)

●doesn’tincludeanyManagementCharge(theSuppliermustnotchargetheBuyerinanyway for the ManagementCharge)

4.6TheBuyermayretainorset-­‐offpaymentofanyamountowedtoitbytheSupplierifnoticeand reasons areprovided.

4.7TheSuppliermustensurethatallSubcontractorsarepaid,infull,within30daysofreceiptofavalid, undisputedinvoice.Ifthisdoesn’thappen,CCSortheBuyercanpublishthedetailsofthelatepaymentor non-­‐payment.

4.8IfCCSortheBuyercangetmorefavourablecommercialtermsforthesupplyofanymaterials,goodsor servicesusedbytheSuppliertoprovidetheDeliverablesatcostandthatcostisreimbursablebytheBuyer, thenCCSortheBuyermayeither:

●requiretheSuppliertoreplaceitsexistingcommercialtermswiththemorefavourableterms offeredfortherelevantitems

●enterintoadirectagreementwiththatSubcontractororthirdpartyfortherelevantitem

4.9IfCCSortheBuyerusesClause4.8thentheFrameworkPrices(andwhereapplicable,theCharges) mustbereducedbyanagreedamountbyusingtheVariationProcedure.

4.10CCSandtheBuyer'srighttoenterintoadirectagreementforthesupplyoftherelevantitemsis subject toboth:

●therelevantitembeingmadeavailabletotheSupplierifrequiredtoprovidetheDeliverables

●anyreductionintheFrameworkPrices(andwhereapplicable,theCharges)excludesany unavoidablecoststhatmustbepaidbytheSupplierforthesubstituteditem,includingany licencefeesorearlyterminationcharges

4.11TheSupplierhasnorightofset-­‐off,counterclaim,discountorabatementunlessthey’reorderedtodo so by acourt.

5.Thebuyer’sobligationstothesupplier

5.1IfSupplierNon-­‐PerformancearisesfromanAuthorityCause:

●neitherCCSortheBuyercanterminateaContractunderClause10.4.1

●theSupplierisentitledtoreasonableandprovenadditionalexpensesandtorelieffromDelay Payments,liabilityandDeductionunderthisContract

●theSupplierisentitledtoadditionaltimeneededtomaketheDelivery

●theSuppliercannotsuspendtheongoingsupplyofDeliverables

5.2Clause5.1onlyappliesiftheSupplier:

●givesnoticetothePartyresponsiblefortheAuthorityCausewithin10WorkingDaysof becomingaware

●demonstratesthattheSupplierNon-­‐PerformanceonlyhappenedbecauseoftheAuthority Cause

●mitigatedtheimpactoftheAuthorityCause

6.Record keeping andreporting

6.1TheSuppliermustattendProgressMeetingswiththeBuyerandprovideProgressReportswhen specifiedintheOrderForm.

6.2TheSuppliermustkeepandmaintainfullandaccuraterecordsandaccountsoneverythingtodowith theContractfor7yearsaftertheEndDate.

6.3TheSuppliermustallowanyAuditoraccesstotheirpremisestoverifyallcontractaccountsand recordsofeverythingtodowiththeContractandprovidecopiesforanAudit.

6.4TheSuppliermustprovideinformationtotheAuditorandreasonableco-­‐operationattheirrequest.

6.5IftheSupplierisnotprovidinganyoftheDeliverables,orisunabletoprovidethem,itmust immediately:

●telltheRelevantAuthorityandgivereasons

●propose correctiveaction

●provideadeadlineforcompletingthecorrectiveaction

6.6TheSuppliermustprovidetheAuthoritywithaSelfAuditCertificatesupportedbyareportattheend ofeachContractYear.Thereportmustcontain:

●the methodologyused

●the sampling techniquesapplied

●details of anyissues

●any remedial actiontaken

6.7TheSelfAuditCertificatemustbecompletedandsignedbyanauditororseniormemberofthe Supplier’smanagementteamthatiseitherqualifiedinarelevantauditorfinancialdiscipline.

7.Supplierstaff

7.1TheSupplierStaffinvolvedintheperformanceofeachContractmust:

●beappropriatelytrainedandqualified

●bevettedusingGoodIndustryPracticeandtheSecurityPolicy

●complywithallconductrequirementswhenontheBuyer’sPremises

7.2WhereaBuyerdecidesoneoftheSupplier’sStaffisn’tsuitabletoworkonacontract,theSupplier mustreplacethemwithasuitablyqualifiedalternative.

7.3Ifrequested,theSuppliermustreplaceanypersonwhoseactsoromissionshavecausedtheSupplier to breach Clause27.

7.4TheSuppliermustprovidealistofSupplierStaffneedingtoaccesstheBuyer’sPremisesandsaywhy access isrequired.

7.5TheSupplierindemnifiesCCSandtheBuyeragainstallclaimsbroughtbyanypersonemployedbythe SuppliercausedbyanactoromissionoftheSupplieroranySupplierStaff.

8.Rights andprotection

8.1TheSupplierwarrantsandrepresentsthat:

●ithasfullcapacityandauthoritytoenterintoandtoperformeachContract

●eachContractisexecutedbyitsauthorisedrepresentative

●itisalegallyvalidandexistingorganisationincorporatedintheplaceitwasformed

●there are no known legal or regulatory actions or investigations before any court, administrativebodyorarbitrationtribunalpendingorthreatenedagainstitoritsAffiliatesthat mightaffectitsabilitytoperformeachContract

●itmaintainsallnecessaryrights,authorisations,licencesandconsentstoperformitsobligations under eachContract

●itdoesn’thaveanycontractualobligationswhicharelikelytohaveamaterialadverseeffecton itsabilitytoperformeachContract

●itisnotimpactedbyanInsolvencyEvent

●itwillcomplywitheachCall-­‐OffContract

8.2ThewarrantiesandrepresentationsinClauses2.10and8.1arerepeatedeachtimetheSupplier providesDeliverablesundertheContract.

8.3TheSupplierindemnifiesbothCCSandeveryBuyeragainsteachofthefollowing:

●wilfulmisconductoftheSupplier,SubcontractorandSupplierStaffthatimpactstheContract

●non-­‐paymentbytheSupplierofanytaxorNationalInsurance

8.4AllclaimsindemnifiedunderthisContractmustuseClause26.

8.5CCSoraBuyercanterminatetheContractforbreachofanywarrantyorindemnitywheretheyare entitled to doso.

8.6IftheSupplierbecomesawareofarepresentationorwarrantythatbecomesuntrueormisleading,it mustimmediatelynotifyCCSandeveryBuyer.

8.7AllthirdpartywarrantiesandindemnitiescoveringtheDeliverablesmustbeassignedfortheBuyer’s benefit by theSupplier.

9.Intellectual Property Rights(IPRs)

9.1EachPartykeepsownershipofitsownExistingIPRs.TheSuppliergivestheBuyeranon-­‐exclusive, perpetual,royalty-­‐free,irrevocable,transferableworldwidelicencetouse,changeandsub-­‐licensethe Supplier’sExistingIPRtoenableittoboth:

●receiveandusetheDeliverables

●makeuseofthedeliverablesprovidedbyaReplacementSupplier

9.2AnyNewIPRcreatedunderaContractisownedbytheBuyer.TheBuyergivestheSupplieralicenceto useanyExistingIPRsandNewIPRsforthepurposeoffulfillingitsobligationsduringtheContractPeriod.

9.3WhereaPartyacquiresownershipofIPRsincorrectlyunderthisContractitmustdoeverything reasonablynecessarytocompleteatransferassigningtheminwritingtotheotherPartyonrequestandatits owncost.

9.4NeitherPartyhastherighttousetheotherParty’sIPRs,includinganyuseoftheotherParty’snames, logosortrademarks,exceptasprovidedinClause9orotherwiseagreedinwriting.

9.5IfthereisanIPRClaim,theSupplierindemnifiesCCSandeachBuyeragainstalllosses,damages,costs orexpenses(includingprofessionalfeesandfines)incurredasaresult.

9.6IfanIPRClaimismadeoranticipatedtheSuppliermustatitsownexpenseandtheBuyer’ssoleoption, either:

●obtainforCCSandtheBuyertherightsinClause9.1and9.2withoutinfringinganythirdparty IPR

●replaceormodifytherelevantitemwithsubstitutesthatdon’tinfringeIPRwithoutadversely affectingthefunctionalityorperformanceoftheDeliverables

10.Ending thecontract

10.1TheContracttakeseffectontheStartDateandendsontheEndDateorearlierifrequiredbyLaw.

10.2TheRelevantAuthoritycanextendtheContractfortheExtensionPeriodbygivingtheSuppliernoless than3Months'writtennoticebeforetheContractexpires.

10.3Endingthecontractwithoutareason

10.3.1CCShastherighttoterminatetheFrameworkContractatanytimewithoutreasonorliabilitybygiving theSupplieratleast30days'noticeandifit’sterminatedClause10.5.2to10.5.7applies.

10.3.2EachBuyerhastherighttoterminatetheirCall-­‐OffContractatanytimewithoutreasonorliabilityby givingtheSuppliernotlessthan90days'writtennoticeandifit’sterminatedClause10.5.2to10.5.7applies.

10.4WhenCCSorthebuyercanendacontract

10.4.1Ifanyofthefollowingeventshappen,theRelevantAuthorityhastherighttoimmediatelyterminateits ContractbyissuingaTerminationNoticetotheSupplier:

●there’saSupplierInsolvencyEvent

●there’saContractDefaultthatisnotcorrectedinlinewithanacceptedRectificationPlan

●theRelevantAuthorityrejectsaRectificationPlanortheSupplierdoesnotprovideitwithin10 days of therequest

●there’sanymaterialdefaultoftheContract

●there’saDefaultofClauses2.10,9,14,15,27,32orFrameworkSchedule9(CyberEssentials) (whereapplicable)relatingtoanyContract

●there’saconsistentrepeatedfailuretomeetthePerformanceIndicatorsinFramework Schedule 4 (FrameworkManagement)

●there’saChangeofControloftheSupplierwhichisn’tpre-­‐approvedbytheRelevantAuthority inwriting

●there’saVariationtoaContractwhichcannotbeagreedusingClause24(Changingthe contract)orresolvedusingClause34(Resolvingdisputes)

●iftheRelevantAuthoritydiscoversthattheSupplierwasinoneofthesituationsin57(1)or 57(2)oftheRegulationsatthetimetheContractwasawarded

●theCourtofJusticeoftheEuropeanUnionusesArticle258oftheTreatyontheFunctioningof theEuropeanUnion(TFEU)todeclarethattheContractshouldnothavebeenawardedtothe SupplierbecauseofaseriousbreachoftheTFEUortheRegulations

●theSupplieroritsAffiliatesembarrassorbringCCSortheBuyerintodisreputeordiminishthe public trust inthem

10.4.2CCSmayterminatetheFrameworkContractifaBuyerterminatesaCall-­‐OffContractforanyofthe reasonslistedinClause10.4.1.

10.4.3IfthereisaDefault,theRelevantAuthoritycan,withoutlimitingitsotherrights,requestthatthe SupplierprovideaRectificationPlan.

10.4.4WhentheRelevantAuthorityreceivesarequestedRectificationPlanitcaneither:

●rejecttheRectificationPlanorrevisedRectificationPlan,givingreasons

●accepttheRectificationPlanorrevisedRectificationPlan(withoutlimitingitsrights)andthe SuppliermustimmediatelystartworkontheactionsintheRectificationPlanatitsowncost, unlessagreedotherwisebytheParties

10.4.5WheretheRectificationPlanorrevisedRectificationPlanisrejected,theRelevantAuthority:

●mustgivereasonablegroundsforitsdecision

●mayrequestthattheSupplierprovidesarevisedRectificationPlanwithin5WorkingDays

10.4.6Ifanyoftheeventsin73(1)(a)to(c)oftheRegulationshappen,theRelevantAuthorityhastheright toimmediatelyterminatetheContractandClause10.5.2to10.5.7applies.

10.5Whathappensifthecontractends

Where the Relevant Authority terminates a Contract under Clause 10.4.1 all of the following apply:

10.5.1TheSupplierisresponsiblefortheRelevantAuthority’sreasonablecostsofprocuring ReplacementDeliverablesfortherestoftheContractPeriod.

10.5.2TheBuyer’spaymentobligationsundertheterminatedContractstopimmediately.

10.5.3AccumulatedrightsofthePartiesarenotaffected.

10.5.4TheSuppliermustpromptlydeleteorreturntheGovernmentDataexceptwhererequiredto retain copies bylaw.

10.5.5TheSuppliermustpromptlyreturnanyofCCSortheBuyer’spropertyprovidedunderthe terminatedContract.

10.5.6TheSuppliermust,atnocosttoCCSortheBuyer,co-­‐operatefullyinthehandoverandre-­‐ procurement(includingtoaReplacementSupplier).

10.5.7ThefollowingClausessurvivetheterminationofeachContract:3.2.10,6,7.2,9,11,14,15,16, 17,18,34,35andanyClausesandScheduleswhichareexpresslyorbyimplicationintendedto continue.

10.6Whenthesuppliercanendthecontract

10.6.1TheSuppliercanissueaReminderNoticeiftheBuyerdoesnotpayanundisputedinvoiceontime.The SuppliercanterminateaCall-­‐OffContractiftheBuyerfailstopayanundisputedinvoicedsumdueandworth over10%ofthetotalContractValueor£1,000,whicheveristhelower,within30daysofthedateofthe ReminderNotice.

10.6.2IfaSupplierterminatesaCall-­‐OffContractunderClause10.6.1:

●theBuyermustpromptlypayalloutstandingChargesincurredtotheSupplier

●theBuyermustpaytheSupplierreasonablecommittedandunavoidableLossesaslongasthe Supplierprovidesafullyitemisedandcostedschedulewithevidence-­‐themaximumvalueof thispaymentislimitedtothetotalsumpayabletotheSupplieriftheContracthadnotbeen terminated

●Clauses10.5.4to10.5.7apply

10.7When subcontracts can beended

At the Buyer’s request, the Supplier must terminate any Subcontracts in any of the following events:

●thereisaChangeofControlofaSubcontractorwhichisn’tpre-­‐approvedbytheRelevant Authority inwriting

●theactsoromissionsoftheSubcontractorhavecausedormateriallycontributedtoarightof termination under Clause10.4

●aSubcontractororitsAffiliatesembarrassesorbringsintodisreputeordiminishesthepublic trustintheRelevantAuthority

10.8Partiallyendingandsuspendingthecontract

10.8.1WhereCCShastherighttoterminatetheFrameworkContractitcansuspendtheSupplier'sabilityto acceptOrders(foranyperiod)andtheSuppliercannotenterintoanynewCall-­‐OffContractsduringthis period.Ifthishappens,theSuppliermuststillmeetitsobligationsunderanyexistingCall-­‐OffContractsthat have already beensigned.

10.8.2WhereCCShastherighttoterminateaFrameworkContractitisentitledtoterminateallorpartofit.

10.8.3WheretheBuyerhastherighttoterminateaCall-­‐OffContractitcanterminateorsuspend(forany period),allorpartofit.IftheBuyersuspendsaContractitcanprovidetheDeliverablesitselforbuythem from a thirdparty.

10.8.4TheRelevantAuthoritycanonlypartiallyterminateorsuspendaContractiftheremainingpartsofthat Contractcanstillbeusedtoeffectivelydelivertheintendedpurpose.

10.8.5ThePartiesmustagreeanynecessaryVariationrequiredbyClause10.8usingtheVariationProcedure, buttheSuppliermaynoteither:

●reject theVariation

●increasetheCharges,exceptwheretherighttopartialterminationisunderClause10.3

10.8.6TheBuyercanstilluseotherrightsavailable,orsubsequentlyavailabletoitifitactsonitsrightsunder Clause10.8.

11.Howmuchyoucanbeheldresponsiblefor

11.1EachParty'stotalaggregateliabilityineachContractYearunderthisFrameworkContract(whetherin tort,contractorotherwise)isnomorethan£100,000.

11.2EachParty'stotalaggregateliabilityineachContractYearundereachCall-­‐OffContract(whetherin tort,contractorotherwise)isnomorethanthegreaterof£5millionor150%oftheEstimatedYearlyCharges unlessspecifiedintheCall-­‐OffOrderForm

11.3NoPartyisliabletotheotherfor:

●any indirectLosses

●Lossofprofits,turnover,savings,businessopportunitiesordamagetogoodwill(ineachcase whether direct orindirect)

11.4InspiteofClause11.1and11.2,neitherPartylimitsorexcludesanyofthefollowing:

●itsliabilityfordeathorpersonalinjurycausedbyitsnegligence,orthatofitsemployees,agents orSubcontractors

●itsliabilityforbriberyorfraudorfraudulentmisrepresentationbyitoritsemployees

●anyliabilitythatcannotbeexcludedorlimitedbyLaw

●itsobligationtopaytherequiredManagementChargeorDefaultManagementCharge

●anyliabilitythatiscoveredbyaRequiredInsurance

11.5InspiteofClauses11.1and11.2,theSupplierdoesnotlimitorexcludeitsliabilityforanyindemnity givenunderClauses7.5,8.3,9.5,12.2or14.9orCall-­‐OffSchedule2(StaffTransfer)ofaContract.

11.6EachPartymustuseallreasonableendeavourstomitigateanyLossordamagewhichitsuffersunder orinconnectionwitheachContract,includinganyindemnities.

11.7WhencalculatingtheSupplier’sliabilityunderClause11.1or11.2thefollowingitemswillnotbetaken intoconsideration:

●Deductions

●anyitemsspecifiedinClause11.5

11.8If morethanoneSupplierispartytoaContract,eachSupplierPartyisfullyresponsibleforboththeir ownliabilitiesandtheliabilitiesoftheotherSuppliers.

12.Obeying thelaw

12.1TheSuppliermustusereasonableendeavourstocomplywiththeprovisionsofJointSchedule5 (Corporate SocialResponsibility).

12.2TheSupplierindemnifiesCCSandeveryBuyeragainstanycostsresultingfromanyDefaultbythe SupplierrelatingtoanyapplicableLawtodowithaContract.

12.3TheSuppliermustappointaComplianceOfficerwhomustberesponsibleforensuringthatthe SuppliercomplieswithLaw,Clause12.1andClauses27to32.

13.Insurance

TheSuppliermust,atitsowncost,obtainandmaintaintheRequiredInsurancesinJointSchedule3(Insurance Requirements)andanyAdditionalInsurancesintheOrderForm.

14.Dataprotection

14.1TheRelevantAuthorityistheControllerandtheSupplieristheProcessorforthepurposesoftheData ProtectionLegislation.

14.2TheSuppliermustprocessPersonalDataandensurethatSupplierStaffprocessPersonalDataonlyin accordancewithJointSchedule11(ProcessingData).

14.3TheSuppliermustnotremoveanyownershiporsecuritynoticesinorrelatingtotheGovernment Data.

14.4TheSuppliermustmakeaccessibleback-­‐upsofallGovernmentData,storedinanagreedoff-­‐site locationandsendtheBuyercopiesevery6Months.

14.5TheSuppliermustensurethatanySuppliersystemholdinganyGovernmentData,includingback-­‐up data,isasecuresystemthatcomplieswiththeSecurityPolicyandanyapplicableSecurityManagementPlan.

14.6IfatanytimetheSuppliersuspectsorhasreasontobelievethattheGovernmentDataprovided underaContractiscorrupted,lostorsufficientlydegraded,thentheSuppliermustnotifytheRelevant Authorityandimmediatelysuggestremedialaction.

14.7IftheGovernmentDataiscorrupted,lostorsufficientlydegradedsoastobeunusabletheRelevant Authoritymayeitherorboth:

telltheSuppliertorestoreorgetrestoredGovernmentDataassoonaspracticalbutno laterthan5WorkingDaysfromthedatethattheRelevantAuthorityreceivesnotice,orthe Supplierfindsoutabouttheissue,whicheverisearlier

restoretheGovernmentDataitselforusingathirdparty

14.8TheSuppliermustpayeachParty’sreasonablecostsofcomplyingwithClause14.7unlessCCSorthe Buyer is atfault.

14.9TheSupplier:

●mustprovidetheRelevantAuthoritywithallGovernmentDatainanagreedopenformatwithin 10WorkingDaysofawrittenrequest

●musthavedocumentedprocessestoguaranteepromptavailabilityofGovernmentDataifthe Supplier stopstrading

●mustsecurelydestroyallStorageMediathathasheldGovernmentDataattheendoflifeof thatmediausingGoodIndustryPractice

●securelyeraseallGovernmentDataandanycopiesitholdswhenaskedtodosobyCCSorthe BuyerunlessrequiredbyLawtoretainit

●indemnifiesCCSandeachBuyeragainstanyandallLossesincurrediftheSupplierbreaches Clause14andanyDataProtectionLegislation.

15.Whatyoumustkeepconfidential

15.1Each Partymust:

●keepallConfidentialInformationitreceivesconfidentialandsecure

●not disclose, use or exploit the Disclosing Party’s Confidential Information without the DisclosingParty'spriorwrittenconsent,exceptforthepurposesanticipatedundertheContract

●immediatelynotifytheDisclosingPartyifitsuspectsunauthorisedaccess,copying,useor disclosureoftheConfidentialInformation

15.2InspiteofClause15.1,aPartymaydiscloseConfidentialInformationwhichitreceivesfromthe DisclosingPartyinanyofthefollowinginstances:

●wheredisclosureisrequiredbyapplicableLaworbyacourtwiththerelevantjurisdictionifthe RecipientPartynotifiestheDisclosingPartyofthefullcircumstances,theaffectedConfidential Informationandextentofthedisclosure

●iftheRecipientPartyalreadyhadtheinformationwithoutobligationofconfidentialitybeforeit wasdisclosedbytheDisclosingParty

●iftheinformationwasgiventoitbyathirdpartywithoutobligationofconfidentiality

●iftheinformationwasinthepublicdomainatthetimeofthedisclosure

●iftheinformationwasindependentlydevelopedwithoutaccesstotheDisclosingParty’s ConfidentialInformation

●toitsauditorsorforthepurposesofregulatoryrequirements

●onaconfidentialbasis,toitsprofessionaladvisersonaneed-­‐to-­‐knowbasis

●totheSeriousFraudOfficewheretheRecipientPartyhasreasonablegroundstobelievethat theDisclosingPartyisinvolvedinactivitythatmaybeacriminaloffenceundertheBriberyAct 2010

15.3TheSuppliermaydiscloseConfidentialInformationonaconfidentialbasistoSupplierStaffonaneed-­‐ to-­‐knowbasistoallowtheSuppliertomeetitsobligationsundertheContract.TheSupplierStaffmustenter intoadirectconfidentialityagreementwiththeRelevantAuthorityatitsrequest.

15.4CCSortheBuyermaydiscloseConfidentialInformationinanyofthefollowingcases:

●onaconfidentialbasistotheemployees,agents,consultantsandcontractorsofCCSorthe Buyer

●onaconfidentialbasistoanyotherCentralGovernmentBody,anysuccessorbodytoaCentral GovernmentBodyoranycompanythatCCSortheBuyertransfersorproposestotransferallor anypartofitsbusinessto

●ifCCSortheBuyer(actingreasonably)considersdisclosurenecessaryorappropriatetocarry out its publicfunctions

●whererequestedbyParliament

●underClauses4.7and16

15.5ForthepurposesofClauses15.2to15.4referencestodisclosureonaconfidentialbasismeans

disclosureunderaconfidentialityagreementorarrangementincludingtermsasstrictasthoserequiredin Clause15.

15.6TransparencyInformationandanyInformationwhichisexemptfromdisclosurebyClause16isnot ConfidentialInformation.

15.7TheSuppliermustnotmakeanypressannouncementorpublicisetheContractsoranypartofthemin anyway,withoutthepriorwrittenconsentoftheRelevantAuthorityandmusttakeallreasonablestepsto ensurethatSupplierStaffdonoteither.

16.Whenyoucanshareinformation

16.1TheSuppliermusttelltheRelevantAuthoritywithin48hoursifitreceivesaRequestForInformation.

16.2WithintherequiredtimescalestheSuppliermustgiveCCSandeachBuyerfullco-­‐operationand informationneededsotheBuyercan:

●publish the TransparencyInformation

●complywithanyFreedomofInformationAct(FOIA)request

●complywithanyEnvironmentalInformationRegulations(EIR)request

16.3TheRelevantAuthoritymaytalktotheSuppliertohelpitdecidewhethertopublishinformationunder Clause16.However,theextent,contentandformatofthedisclosureistheRelevantAuthority’sdecision, whichdoesnotneedtobereasonable.

17.Invalidpartsofthecontract

IfanypartofaContractisprohibitedbyLaworjudgedbyacourttobeunlawful,voidorunenforceable,it mustbereadasifitwasremovedfromthatContractasmuchasrequiredandrenderedineffectiveasfaras possiblewithoutaffectingtherestoftheContract,whetherit’svalidorenforceable.

18.No other termsapply

TheprovisionsincorporatedintoeachContractaretheentireagreementbetweentheParties.TheContract replacesallpreviousstatementsandagreementswhetherwrittenororal.Nootherprovisionsapply.

19.Otherpeople’srightsinacontract

NothirdpartiesmayusetheContracts(RightsofThirdParties)Act(CRTPA)toenforceanytermofthe Contractunlessstated(referringtoCRTPA)intheContract.Thisdoesnotaffectthirdpartyrightsand remediesthatexistindependentlyfromCRTPA.

20.Circumstances beyond yourcontrol

20.1AnyPartyaffectedbyaForceMajeureEventisexcusedfromperformingitsobligationsundera Contractwhiletheinabilitytoperformcontinues,ifitboth:

●providesaForceMajeureNoticetotheotherParty

●usesallreasonablemeasurespracticaltoreducetheimpactoftheForceMajeureEvent

20.2EitherpartycanpartiallyorfullyterminatetheaffectedContractiftheprovisionoftheDeliverablesis materiallyaffectedbyaForceMajeureEventwhichlastsfor90dayscontinuously.

20.3WhereaPartyterminatesunderClause20.2:

●eachpartymustcoveritsownLosses

●Clause10.5.2to10.5.7applies

21.Relationshipscreatedbythecontract

NoContractcreatesapartnership,jointventureoremploymentrelationship.TheSuppliermustrepresent themselvesaccordinglyandensureothersdoso.

22.Giving up contractrights

ApartialorfullwaiverorrelaxationofthetermsofaContractisonlyvalidifitisstatedtobeawaiverin writingtotheotherParty.

23.Transferringresponsibilities

23.1TheSuppliercannotassignaContractwithouttheRelevantAuthority’swrittenconsent.

23.2TheRelevantAuthoritycanassign,novateortransferitsContractoranypartofittoanyCrownBody, publicorprivatesectorbodywhichperformsthefunctionsoftheRelevantAuthority.

23.3WhenCCSortheBuyerusesitsrightsunderClause23.2theSuppliermustenterintoanovation agreementintheformthatCCSortheBuyerspecifies.

23.4TheSuppliercanterminateaContractnovatedunderClause23.2toaprivatesectorbodythatis experiencing an InsolvencyEvent.

23.5TheSupplierremainsresponsibleforallactsandomissionsoftheSupplierStaffasiftheywereitsown.

23.6IfCCSortheBuyeraskstheSupplierfordetailsaboutSubcontractors,theSuppliermustprovidedetails ofSubcontractorsatalllevelsofthesupplychainincluding:

●theirname

●thescopeoftheirappointment

●thedurationoftheirappointment

24.Changing thecontract

24.1EitherPartycanrequestaVariationtoaContractwhichisonlyeffectiveifagreedinwritingandsigned by bothParties

24.2TheSuppliermustprovideanImpactAssessmenteither:

●withtheVariationForm,wheretheSupplierrequeststheVariation

●withinthetimelimitsincludedinaVariationFormrequestedbyCCSortheBuyer

24.3IftheVariationtoaContractcannotbeagreedorresolvedbytheParties,CCSortheBuyercaneither:

●agreethattheContractcontinueswithouttheVariation

●terminatetheaffectedContract,unlessinthecaseofaCall-­‐OffContract,theSupplierhas alreadyprovidedpartoralloftheprovisionoftheDeliverables,orwheretheSuppliercanshow evidenceofsubstantialworkbeingcarriedouttoprovidethem

●refertheDisputetoberesolvedusingClause34(ResolvingDisputes)

24.4CCSandtheBuyerarenotrequiredtoacceptaVariationrequestmadebytheSupplier.

24.5IfthereisaGeneralChangeinLaw,theSuppliermustbeartheriskofthechangeandisnotentitledto askforanincreasetotheFrameworkPricesortheCharges.

24.6IfthereisaSpecificChangeinLaworoneislikelytohappenduringtheContractPeriodtheSupplier mustgiveCCSandtheBuyernoticeofthelikelyeffectsofthechangesassoonasreasonablypractical.They mustalsosayiftheythinkanyVariationisneededeithertotheDeliverables,FrameworkPricesoraContract and provideevidence:

●thattheSupplierhaskeptcostsaslowaspossible,includinginSubcontractorcosts

●ofhowithasaffectedtheSupplier’scosts

24.7AnychangeintheFrameworkPricesorrelieffromtheSupplier'sobligationsbecauseofaSpecific ChangeinLawmustbeimplementedusingClauses24.1to24.4.

25.Howtocommunicateaboutthecontract

25.1AllnoticesundertheContractmustbeinwritingandareconsideredeffectiveontheWorkingDayof deliveryaslongasthey’redeliveredbefore5:00pmonaWorkingDay.Otherwisethenoticeiseffectiveonthe nextWorkingDay.Anemailiseffectivewhensentunlessanerrormessageisreceived.

25.2NoticestoCCSmustbesenttotheCCSAuthorisedRepresentative’saddressoremailaddressinthe Framework AwardForm.

25.3NoticestotheBuyermustbesenttotheBuyerAuthorisedRepresentative’saddressoremailaddress in the OrderForm.

25.4ThisClausedoesnotapplytotheserviceoflegalproceedingsoranydocumentsinanylegalaction, arbitration or disputeresolution.

26.Dealing withclaims

26.1IfaBeneficiaryisnotifiedofaClaimthenitmustnotifytheIndemnifierassoonasreasonablypractical andnolaterthan10WorkingDays.

26.2AttheIndemnifier’scosttheBeneficiarymustboth:

●allowtheIndemnifiertoconductallnegotiationsandproceedingstodowithaClaim

●givetheIndemnifierreasonableassistancewiththeclaimifrequested

26.3TheBeneficiarymustnotmakeadmissionsabouttheClaimwithoutthepriorwrittenconsentofthe Indemnifierwhichcannotbeunreasonablywithheldordelayed.

26.4TheIndemnifiermustconsideranddefendtheClaimdiligentlyusingcompetentlegaladvisorsandina waythatdoesn’tdamagetheBeneficiary’sreputation.

26.5TheIndemnifiermustnotsettleorcompromiseanyClaimwithouttheBeneficiary'spriorwritten consentwhichitmustnotunreasonablywithholdordelay.

26.6EachBeneficiarymusttakeallreasonablestepstominimiseandmitigateanylossesthatitsuffers because of theClaim.

26.7IftheIndemnifierpaystheBeneficiarymoneyunderanindemnityandtheBeneficiarylaterrecovers moneywhichisdirectlyrelatedtotheClaim,theBeneficiarymustimmediatelyrepaytheIndemnifierthe lesser ofeither:

●thesumrecoveredminusanylegitimateamountspentbytheBeneficiarywhenrecoveringthis money

●theamounttheIndemnifierpaidtheBeneficiaryfortheClaim

27.Preventingfraud,briberyandcorruption

27.1TheSuppliermustnotduringanyContractPeriod:

●commitaProhibitedActoranyothercriminaloffenceintheRegulations57(1)and57(2)

●doorallowanythingwhichwouldcauseCCSortheBuyer,includinganyoftheiremployees, consultants,contractors,SubcontractorsoragentstobreachanyoftheRelevantRequirements orincuranyliabilityunderthem

27.2TheSuppliermustduringtheContractPeriod:

●create,maintainandenforceadequatepoliciesandprocedurestoensureitcomplieswiththe RelevantRequirementstopreventaProhibitedActandrequireitsSubcontractorstodothe same

●keepfullrecordstoshowithascompliedwithitsobligationsunderClause27andgivecopiesto CCSortheBuyeronrequest

●ifrequiredbytheRelevantAuthority,within20WorkingDaysoftheStartDateoftherelevant Contract, and then annually, certify in writing to the Relevant Authority, that they have compliedwithClause27,includingcomplianceofSupplierStaff,andprovidereasonable supportingevidenceofthisonrequest,includingitspoliciesandprocedures

27.3TheSuppliermustimmediatelynotifyCCSandtheBuyerifitbecomesawareofanybreachofClauses 27.1 or27.2orhasanyreasontothinkthatit,oranyoftheSupplierStaff,haseither:

●beeninvestigatedorprosecutedforanallegedProhibitedAct

●beendebarred,suspended,proposedforsuspensionordebarment,orisotherwiseineligibleto take part in procurement programmes or contracts because of a Prohibited Act by any government department oragency

●receivedarequestordemandforanyunduefinancialorotheradvantageofanykindrelatedto aContract

●suspectedthatanypersonorPartydirectlyorindirectlyrelatedtoaContracthascommittedor attemptedtocommitaProhibitedAct

27.4IftheSuppliernotifiesCCSortheBuyerasrequiredbyClause27.3,theSuppliermustrespond promptlytotheirfurtherenquiries,co-­‐operatewithanyinvestigationandallowtheAuditofanybooks, records and relevantdocumentation.

27.5InanynoticetheSuppliergivesunderClause27.4itmustspecifythe:

●ProhibitedAct

●identityofthePartywhoitthinkshascommittedtheProhibitedAct

●actionithasdecidedtotake

28.Equality,diversityandhumanrights

28.1TheSuppliermustfollowallapplicableequalityLawwhentheyperformtheirobligationsunderthe Contract,including:

●protectionsagainstdiscriminationonthegroundsofrace,sex,genderreassignment,religionor belief,disability,sexualorientation,pregnancy,maternity,ageorotherwise

●anyotherrequirementsandinstructionswhichCCSortheBuyerreasonablyimposesrelatedto equalityLaw

28.2TheSuppliermusttakeallnecessarysteps,andinformCCSortheBuyerofthestepstaken,toprevent anythingthatisconsideredtobeunlawfuldiscriminationbyanycourtortribunal,ortheEqualityandHuman RightsCommission(oranysuccessororganisation)whenworkingonaContract.

29.Health andsafety

29.1TheSuppliermustperformitsobligationsmeetingtherequirementsof:

●allapplicableLawregardinghealthandsafety

●theBuyer’scurrenthealthandsafetypolicywhileattheBuyer’sPremises,asprovidedtothe Supplier

29.2TheSupplierandtheBuyermustassoonaspossiblenotifytheotherofanyhealthandsafetyincidents ormaterialhazardsthey’reawareofattheBuyerPremisesthatrelatetotheperformanceofaContract.

30.Environment

30.1WhenworkingonSitetheSuppliermustperformitsobligationsundertheBuyer’scurrent EnvironmentalPolicy,whichtheBuyermustprovide.

30.2TheSuppliermustensurethatSupplierStaffareawareoftheBuyer’sEnvironmentalPolicy.

31.Tax

31.1TheSuppliermustnotbreachanytaxorsocialsecurityobligationsandmustenterintoabinding agreementtopayanylatecontributionsdue,includingwhereapplicable,anyinterestoranyfines.CCSand theBuyercannotterminateaContractwheretheSupplierhasnotpaidaminortaxorsocialsecurity contribution.

31.2WheretheChargespayableunderaContractwiththeBuyerareorarelikelytoexceed£5millionat anypointduringtherelevantContractPeriod,andanOccasionofTaxNon-­‐Complianceoccurs,theSupplier mustnotifyCCSandtheBuyerofitwithin5WorkingDaysincluding:

●thestepsthattheSupplieristakingtoaddresstheOccasionofTaxNon-­‐Complianceandany mitigatingfactorsthatitconsidersrelevant

●otherinformationrelatingtotheOccasionofTaxNon-­‐CompliancethatCCSandtheBuyermay reasonablyneed

31.3WheretheSupplieroranySupplierStaffareliabletobetaxedortopayNationalInsurance contributionsintheUKrelatingtopaymentreceivedunderaCall-­‐OffContract,theSuppliermustboth:

●complywiththeIncomeTax(EarningsandPensions)Act2003andallotherstatutesand regulationsrelatingtoincometax,theSocialSecurityContributionsandBenefitsAct1992 (includingIR35)andNationalInsurancecontributions

●indemnify the Buyer against any Income Tax, National Insurance and social security contributionsandanyotherliability,deduction,contribution,assessmentorclaimarisingfrom ormadeduringoraftertheContractPeriodinconnectionwiththeprovisionoftheDeliverables bytheSupplieroranyoftheSupplierStaff

31.4IfanyoftheSupplierStaffareWorkerswhoreceivepaymentrelatingtotheDeliverables,thenthe SuppliermustensurethatitscontractwiththeWorkercontainsthefollowingrequirements:

●theBuyermay,atanytimeduringtheContractPeriod,requestthattheWorkerprovides informationwhichdemonstratestheycomplywithClause31.3,orwhythoserequirementsdo notapply,theBuyercanspecifytheinformationtheWorkermustprovideandthedeadlinefor .responding

●theWorker’scontractmaybeterminatedattheBuyer’srequestiftheWorkerfailstoprovide theinformationrequestedbytheBuyerwithinthetimespecifiedbytheBuyer

●the Worker’s contract may be terminated at the Buyer’s request if the Worker provides informationwhichtheBuyerconsidersisn’tgoodenoughtodemonstratehowitcomplieswith Clause31.3orconfirmsthattheWorkerisnotcomplyingwiththoserequirements

●theBuyermaysupplyanyinformationtheyreceivefromtheWorkertoHMRCforrevenue collection andmanagement

32.Conflict ofinterest

32.1TheSuppliermusttakeactiontoensurethatneithertheSuppliernortheSupplierStaffareplacedin thepositionofanactualorpotentialConflictofInterest.

32.2TheSuppliermustpromptlynotifyandprovidedetailstoCCSandeachBuyerifaConflictofInterest happensorisexpectedtohappen.

32.3CCSandeachBuyercanterminateitsContractimmediatelybygivingnoticeinwritingtotheSupplier ortakeanystepsitthinksarenecessarywherethereisormaybeanactualorpotentialConflictofInterest.

33.Reportingabreachofthecontract

33.1AssoonasitisawareofittheSupplierandSupplierStaffmustreporttoCCSortheBuyeranyactualor suspected breachof:

●Law

●Clause12.1

●Clauses 27 to32

33.2TheSuppliermustnotretaliateagainstanyoftheSupplierStaffwhoingoodfaithreportsabreach listedinClause33.1totheBuyeroraPrescribedPerson.

34.Resolvingdisputes

34.1IfthereisaDispute,theseniorrepresentativesofthePartieswhohaveauthoritytosettletheDispute will,within28daysofawrittenrequestfromtheotherParty,meetingoodfaithtoresolvetheDispute.

34.2IftheDisputeisnotresolvedatthatmeeting,thePartiescanattempttosettleitbymediationusing theCentreforEffectiveDisputeResolution(CEDR)ModelMediationProcedurecurrentatthetimeofthe Dispute.IfthePartiescannotagreeonamediator,themediatorwillbenominatedbyCEDR.IfeitherParty doesnotwishtouse,orcontinuetousemediation,ormediationdoesnotresolvetheDispute,theDispute mustberesolvedusingClauses34.3to34.5.

34.3UnlesstheRelevantAuthorityreferstheDisputetoarbitrationusingClause34.4,theParties irrevocablyagreethatthecourtsofEnglandandWaleshavetheexclusivejurisdictionto:

●determine theDispute

●grant interimremedies

●grantanyotherprovisionalorprotectiverelief

34.4TheSupplieragreesthattheRelevantAuthorityhastheexclusiverighttoreferanyDisputetobefinally resolvedbyarbitrationundertheLondonCourtofInternationalArbitrationRulescurrentatthetimeofthe Dispute.Therewillbeonlyonearbitrator.TheseatorlegalplaceofthearbitrationwillbeLondonandthe proceedingswillbeinEnglish.

34.5TheRelevantAuthorityhastherighttoreferaDisputetoarbitrationeveniftheSupplierhasstartedor hasattemptedtostartcourtproceedingsunderClause34.3,unlesstheRelevantAuthorityhasagreedtothe courtproceedingsorparticipatedinthem.Evenifcourtproceedingshavestarted,thePartiesmustdo everythingnecessarytoensurethatthecourtproceedingsarestayedinfavourofanyarbitrationproceedings iftheyarestartedunderClause34.4.

34.6TheSuppliercannotsuspendtheperformanceofaContractduringanyDispute.

35.Which lawapplies

This Contract and any issues arising out of, or connected to it, are governed by English law.
