Wholesale CanadaDSL/FTTNServices Addendum - v1.8 – November 2013
This WHOLESALE CANADA DSL/FTTN SERVICES ADDENDUM consistsof this cover sheet, any applicable schedules, and any amendments to the foregoing (collectively referred to as this “Addendum”). The Addendum is to amend a previously signed DSL Services Agreement between IKANO and the Customer (capitalized terms used herein but not defined shall have the meaning ascribed to them in the Agreement) and shall override any previous Agreements or Addendums. By signing this Addendum the Customer expresses the desire to sell Canada DSL/FTTN services through the IKANO DSL platform. This Addendum is by and between IKANO Communications, Inc., (“IKANO”) and the Customer indicated below. This Addendum is to be effective on the date it is executed by IKANO (the “Effective Date”).
Program
IKANO develops, aggregates, and provisions Canada DSL/FTTN services through the use of its own Infrastructure and loops provided by ILECs, CLEC’s or other third parties. The Customer desires to engage IKANO to provide certain IP based products and services on the terms set forth below. This Addendum specifies a wholesale Canada DSL/FTTN product which has its own unique terms and features that were previously not included in any IKANO DSL agreements prior to May 2010. It therefore has terms that will modify the existing IKANO DSL agreements accordingly. This Addendum modifies the terms of any previously signed agreements and/or addendums between IKANO and the Customer in regards to the DSL products. Should there arise any discrepancies between this Addendum and the original agreements and or addendums that were signed, this Addendum shall prevail. The Agreement includes the schedule referenced below:

Promotional Pricing:
IKANO will be running promotions on the DSL/FTTN services from time to time. IKANO will notify Customers of all promotions as they are launched into the system.
Canada DSL/FTTN Minimum Term Commitment–Currently there are no minimum terms. All DSL/FTTN services are provided as a month-to month service; excluding any promotional pricing.

DSL Terms:
DSL Static IP option. As shown in the table above,there is a $2.00 extra fee for a single static IP to be set on the DSL service. In the future we may offer more than 1 single sticky static IP for an additional fee.
Dry Loop Setup Chargefor Canada DSL Services.For Dry Loop DSL there is a onetime $15.00 setup fee for residential locations or a onetime $25.00 setup fee for business locations. If the DSL service is provisioned on a line share connection (on an existing working telephone number) then there are no setup fees.
Diagnostic Maintenance Charge (DMC) for DSL. This charge is billed for any Bell Canada tickets opened with Bell Canada as requested by the Customer for non-Bell Canada service faults, service upgrades and downgrades whether requiring the dispatch of a field technician or not (The Field Technician Dispatch Charge does not include inside wire install or repair). Each DMC will be billed at a rate of $90.00 per dispatch.
FTTN Terms:
FTTN Static IP option. There is a $2.00 extra fee for a single static IP to be set on the FTTN service. In the future we may offer more than 1 single sticky static IP for an additional fee.
Dry Loop Setup Charge for Canada DSL/FTTN Services.For Dry Loop FTTN there is a one-time $15.00 setup fee for residential locations or a one-time $25.00 setup fee for business locations. If the FTTNservice is provisioned on a line share connection (on an existing working telephone number) then there are no setup fees.
FTTN Modems. Any FTTNServices require a DSL/FTTN modem that is ADSL2+ compatible in order to get the appropriate speeds. It is the responsibility of the Customer to supply DSL and FTTN modems that are compatible with the DSL/FTTN services to their subscribers.
+ Modem* forSpeeds with 7MB or higher Upload rate: The cost is $8.00 per month for a modem lease. FTTN services with the 7MB or higher upload rate will require a Bell Canada provided VDSL modem.These modems will be provided to the subscriber by Bell, subscriber may not use their own, and there is no benefit to doing so since Customer will be required to pay for it. If the subscriber no longer requires the services intended for the VDSL modem, Customer will need to return the modem right away and replace it with a standard ADSL2+ modem. A non-returned modem charge is $175.00.
FTTN Services $95.00 Installation Fee: All FTTN services ordered come with a Full Install service. That means, separate from any Bell technician work required, a third-party technician will be sent out on-site to the subscriber premises.The third-party technician should introduce themselves as being from “Interhop” or “PowerDSL”, we cannot have the third-party installation service use your individual company name. The full install will include any inside wiring work that needs to be done for one (1) jack (including the jack/POTS splitter installation). This is included in the $95.00 installation fee, which cannot be waived.Customer must also make sure the modem is onsite so that the third-party install technician can verify sync. While we do understand that some people do not need the third-party install technician to come out to the location, it is required at this time. If the subscriber does not need any wiring changes or assistance they can kindly let the technician know when the technician arrives. There may be a $35.00 fee if Bell cannot complete an FTTN installation due to customer not being available (missed appointments).
General Terms for all products:
Speed Change Fee. There is a $25.00 fee to upgrade or downgrade the speed that is being supplied on the DSL or FTTN connections.
Canadian Taxes. Provider will bill the Customer any Canadian taxes that apply, which as of this date is a 13% HST tax. All Canadian taxes can change from time to time based on Canadian law and the prices will be effective upon posting. All listed fees including DSL/FTTN service fees, diagnostic maintenance changes and installation fees will be subject to taxes.
Residential Usage Limits. At this time there is a 300GB per calendar month maximum download/upload bandwidth cap on all residential DSL and FTTN Services. The fee is $0.50 per GB for overage if users go over the 300GB cap with a maximum additional charge of $50.00 per month.
Additional Undisclosed Fees. IKANO reserves the right to pass along any other additional fees incurred from our vendors that may arise for providing and supporting our service to Customer. We will send out an email in advance of imposing these fees to the administrative contacts on the account.
