Theundersignedpartyherebyagreesthatithasreadandcompletedthis form,andhasmarked thematerialbeingsubmitted in accordance withthe instructionsabove.Theundersigned party acknowledges that theCommonwealth isnotliablefortheuseordisclosure of trade secret dataor confidential proprietaryinformationthathasnotbeenclearlymarkedassuch,andwhichwasnot accompanied byaspecificexplanationincluded with thisform.
Theundersignedagreestodefendanyactionseekingreleaseofthe materialsitbelievesto betradesecretorconfidential,andindemnify andhold harmlesstheCommonwealth, its agentsandemployees,fromanyjudgments awardedagainstthe Commonwealth in favorofthepartyrequesting thematerials,andanyandallcostsconnectedwiththatdefense. This indemnification survivessolongastheCommonwealthhaspossessionofthe submitted material, and will apply to allcostsunlessand untiltheundersignedprovides a written statementorsimilarnotice totheCommonwealthstatingthatitnolonger wishes toexemptthesubmittedmaterial frompublic disclosure.
