**PartnerAgreement**
1.UVSIwillprovidethepartnerwithacomplimentarycopyoftheVancouver
Utilities.Azipfile(about20MB)canbeuploadedtotheUVSoftware
websitewecanemailyouauserid/passwordtoenablethedownload.
Afterinstallingyoucanprintthedocumentation.Seeinstructionstoprint
thedocumentationat'
2.Thepartnermaynotusethecomplimentarycopyforcommercialgain,
withoutwrittenpermissionfromUVSoftware.
3.ThepartnermaynotinstalltheVancouverUtilitiesatanyothersite
withoutwrittenconsentfromUVSoftware.
4.Thepartnerisexpectedtousethecopyforinvestigation,evaluation,
andtrainingofpersonnel.
5.Partnersmayusetheircopyontheirpremisestoperformsample
conversionsofJCL,COBOL,&DATAfortheircustomersandprospects.
Pleaseseetherecommendationsforsampleconversionsinthe
'UserAgreement'.
6.ThepartnermayrequesttrainingfromUVSoftware.Trainingcostsare
$6600USperweekforUSACanadaor$7600elsewhere.Thisincludes
allexpensesexceptforairlinepertripcostof$1800forUSA/Canada
and$2800elsewhere.Werecommendtwoweeksminimumanditshouldbe
four to six weeksifthetrainingcanbecombinedwiththefirst
customerconversion.

7.Thetrainingwouldbemosteffectiveaspartofthefirstcustomer
conversion.UVSoftwarecantrainbothpartnerandcustomerpersonnel.
UVSoftwarecanalsoensurethatthefirstconversiongetsofftoa
quickstart.Within 6 weeks,wecanusuallyconvertallJCL,COBOL,&
DATA(flatfilesVSAMsequentialindexed),andgetstartedonthe
testingandparallelrunning.
8.ThecomplimentarycopyofVancouverUtilitieswillnotbeprovideduntil
thereisaclearindicationofcommitment.Weknowyouareseriously
interestedwithpotentialcustomerswhenyousupplyuswithsampleJCL
forconversionreturnbyemail. Please supply zipfilesofsampleJCLs,
Procs,&SYSINmodules.
9.InstallingthecomplimentarycopyofVancouverUtilitiesonthe
partner'smachineisusuallymuchmoreeffectivewithon-sitetraining
forthepartner'spersonnelorforacombinationofpartnerandfirst
customerpersonnel.
10.Itissuggestedthatthepartnershipagreementberenewedevery5years,
buttheagreementwillcontinueunlessoruntilcanceledbyeitherside,
tobeeffective6monthsafterreceivingwrittennotice.
11.Iftheagreementiscanceled,thepartnermustremovetheVancouver
Utilitiessoftwarefromallhismachinesanderaseanybackupcopies.
12. UV Software endeavors to provide a high quality product of value to you,
but makes no guarantee as to the usefulness of the product for any
particular application. UV Software assumes no responsibility for loss of
data or any other losses that may occur while using the product supplied.
13. The Vancouver Utilities software package for Unix & Linux systems is
proprietary to & copyrighted by UV Software Inc. The product is supplied
to the user under license for use as specified in this document.

**PartnerSalestoCustomers**
1.Thepartnershouldaskthecustomertocompletethe'User
Agreement'andsubmitittoUVSoftware.
2.UVSoftwarerequirestheusernameandsitelocation,whichisembedded
inthesoftwarealongwiththelicense#assigned.
3.UVSIwillshipthelatestversionofVancouverUtilitiestothecustomer
ortothepartner(asdesiredbythepartner).Alternatively,wecan
uploadazipfile(20MB)supplyauserid/passwordforFTP/download.
4.Ifdesiredwewillsupplyasecondcopyofthelatestsoftwaretoupdate
thepartner'smachine,toensuresynchronizationwiththecurrentcustomer.

**Whytheend-usermustpurchaseVancouverUtilities**
1.ConvertedJCL/scriptscallVancouverUtilityreplacementsformainframe
utilities(SORT,IDCAMS,IEBGENER,IKJEFT01,FTP,etc).Forexample,'uvsort'
replacesmainframeSORTorSYNCSORT,sincetheunixsystem'sort'cannot
sortmainframetypefiles(mayhavepackedfieldsdonothavethe
LineFeedsrequiredbyunixsort).
2.ConvertedJCL/scriptscallseveralfunctionsthatareseparatefromthe
JCL/scriptsarepartoftheVancouverUtilitiespkg.Allconverted
scriptscallcommonfunction'jobset51'toinitializethejobenvironment
(setupjobtempsubdir,allowsteprestartonanystep,etc).
ConvertedscriptsalsocallfunctionstosupportGDG(generationfiles).
