The unitary service rendering enterprise «Brest Branch of the Belarusian Chamber of Commerce and Industry», hereinafter referred to as the Organizer, represented by the Head of the foreign economic cooperation department Elena Pivnik, acting on the basis of the power of attorney No. 07-05/358 of 03.05.2017, as one Party and______, hereinafter referred to as the Exhibitor, represented by______, acting on the basis of ______, as anotherParty, both hereinafter referred to as the Parties, have signed the present contract, hereinafter referred to as the Contract on the following:

1.2. Dates: 26-27 April 2018.

3.1. Payment for participation in the Event includes payment of the registration fee, payment for rent of the exhibition space (according to the form of participation and number of square meters of the exhibition space) and payment for the additional equipment and services ordered according to the list «Additional exhibition equipment».

3.2. The payment of the Contract amount is made in Euro in accordance with the Invoice / Pricing Addendum being an integral part of the Contract in the amount of 100 % (one hundred percent) advance payment to the account of the Organizer prior to the 30thof March 2018. If the Exhibitor cancels his participation no later than 15 calendar days prior to the Event, 50% (fifty percent) of the contract amount is reimbursed. Notice of withdrawal shall be made only in writing. In case of cancellation after the abovementioned deadline the Organizer has the right to charge the Exhibitor the Contract amount in full. The costs of bank transfers are borne by the Exhibitor.
4. Rights and obligations of the Parties.
4.1. The Organizer undertakes to:
4.1.1. for the period of the exhibition provide the Exhibitor with the exhibition booth and additional equipment in accordance with the clause 3.1. of the Contract;
4.1.2. ensure full confidentiality of all materials, ideas and information about the Exhibitor and the Exhibitor’s products. The third parties involved in the execution of the Contract should also be informed by the Organizer of the importance of confidentiality. All confidential information is and shall remain the property of the Exhibitor;
4.1.3. provide the Certificate of the Acceptance of the services provided to the Exhibitor within 3 (three) business days after the end of the exhibition but not later than the 5th day of the month following the reporting month;
4.1.4. The Organizer has the right to change the location or the design of the Exhibitor's booth without reduction of the exhibition space in case the unforeseen technical circumstances arise. In other cases changes are possible only with the consent of the Exhibitor. The disposition of the exhibition as a whole, its alteration or modification of the specific details of the exhibition shall remain within the competence of the Organizer;
4.1.5. The Organizer reserves the right to refuse to register a company for participation in the Event in case the company’s products, printing materials, personnel, etc do not correspond to the interests and objectives of the Event;
4.1.6. In case of non-payment in accordance with the clause 3.2 of the Contract the Organizer is entitled to terminate the Contract unilaterally and may offer the released exhibition space to another Exhibitor.
4.2. The Exhibitor undertakes to:
4.2.1. within 3 (three) business days from receipt from the Organizer of the Certificate of Acceptance of the services provided according to the Contract either to sign it or to provide a reasonable refusal to sign within the same period. In the absence of claims from the Exhibitor within 3 (three) business days from receipt of the Certificate of Acceptance by the Exhibitor, the services are considered as provided and accepted by the Exhibitor in the amount specified in the Certificate of Acceptance regardless of whether it is signed by the Exhibitor or not;
4.2.2. accept and pay for services provided by the Organizer in accordance with the Invoice / Pricing Addendum to the Contract;
4.2.3. not to carry out dismantling of the booth, packaging of exhibits and their removal from the exhibition until 18.00 on the 27th of April 2018 - the official closing time of the exhibition;
4.2.4. to provide the Organizer with signed originalsof the following documents: the Contract, the Invoice / Pricing Addendum and the Certificate of Acceptance of the services provided. Preliminarily, the Contract may be executed by means of a facsimile transmission;
4.2.5. at the end of the Event to hand over all the equipment in good condition, in the case of damage the Exhibitor undertakes to reimburse the full cost of the damaged equipment.
4.3. The Exhibitor has the right to:
4.3.1.carry out promotional activities only within rented exhibition space and only for the sake of the represented company.
5. Responsibilities of the Parties.
5.1. The Organizer is responsible for the quality of works and services provided.
5.2. The Organizer is not responsible for damage or loss caused to the Exhibitor by the third parties during the exhibition opening hours from 10:00 to 18:00 on 26-27 April 2018.
5.3. During preparation to the exhibition and during its occurrence the Exhibitor is responsible for compliance to the safety regulations "Fire Safety Regulations of the Republic of Belarus during the exhibitions. PPB 2.24 -2004" on rented exhibition space.
5.4. The Parties shall not be liable for improper fulfillment or non-fulfillment of contractual obligations due to force majeure (natural disasters, war, terrorist attacks, changes in legislation of the Republic of Belarus, written instructions of controlling authorities and wrong acts of officials of foreign states).
5.5. In case of delay in payment for services the Organizer has the right to charge the Exhibitor a penalty of 0.1% of the unpaid amount for each day of delay. The penalty is calculated from the moment the delay arises but cannot exceed the Contract amount.
5.6. In case the Organizer does not deliver proper quality service in accordance with the Contract the Organizer undertakes to redo works at own expense prior to the start of the exhibition.
5.7. For non-fulfillment of the contractual obligations the Organizer returns the prepaid amount to the account of the Exhibitor.
6. Dispute resolution.
6.1. Dispute resolution is carried out on the basis of the legislation of the Republic of Belarus in an economic court at the location of the respondent. Disputes involving non-residents of the Republic of Belarus are resolved by the Economic Court of the Brest region in accordance with the applicable law.
6.2. Claims for provided services are accepted during the exhibition period in writing only.
6.3. Should there be no claims from the Exhibitor the services are considered as provided and accepted by the Exhibitor in the amount indicated in the Certificate of Acceptance.
6.4. The Party believing that its rights under the Contract are violated shall within three business days make a claim to the other Party. The claim is considered as made in a proper manner if sent to the other Party’s address specified in the Contract by any means, allowing to establishthe identity of the sender and to determine the fact of mail delivery to the recipient. The fact of returned mail with an indication of the recipient’s absencein case the claim was directed to the address specified in the Contract shall not prevent from appealing to courts.
6.5. Attaching to the claimthe copies of documents justifying and supporting the claimed charges, if these documents are already available for the other Party, is not required. In the case of property dispute, the draft of Reconciliation Act shall be attached to the claim.
6.6. The Party having received the claim shall notify the other Party of the results of claim consideration within 3 (three) business days from the date of the claim receipt. Failure to respond or produce motivated objections to the claim within the prescribed period is considered as acceptance of the claim and the circumstances set out in it.
7. Additional terms.
7.1. The Contract and all amendments to it (including the Annexes to the Contract, the Invoice / Pricing Addendum, the Certificate of Acceptance) are an integral part of the Contract and have equal legal force if they are made in writing and are signed by the authorized representatives of both Parties and are sealed.
7.2. The Parties recognize the legal validity of the Contract, its annexes and amendments executed by facsimile transmission, e-mail or other means of communication allowing to reliably establish that the document originates from the Party under the Contract, in case the original seal and signature of the authorized representative of one of the Parties are present until the originals of the documents are obtained.
7.3. The Contract commences upon its signature by the second Party and is valid until complete fulfillment of the obligations by the Parties.
7.4. In matters not regulated by the Contract the Parties shall be governed by the applicable lawof the Republic of Belarus.
