(ALBERTA)

ASSIGNMENT OF BOARDORDER

THIS AGREEMENT made as of the ● day of [month], 20●(the "Effective Date"),

BETWEEN:

●, a body corporate, having an office at the City of Calgary, in the Province ofAlberta, (hereinafter called the "Assignor")

- and -

●, a body corporate, having an office at the City of Calgary, in the Province ofAlberta, (hereinafter called the "Assignee")

WHEREAS the Assignor is the holder of the rights granted by virtue of a certain Order(s) issued by the Surface Rights Board for the Province of Alberta which Order(s) is/are set out and described in Schedule “A” attached hereto and is/are hereinafter referred to as “the Order”; and

WHEREAS by Memorandum of Agreement dated the 15th day of November, 2010, the Assignor agreed to assign the Order to the Assignee;

NOW THEREFORE THIS AGREEMENT WITNESSES THAT in consideration of the mutual covenants and agreements herein contained and subject to the terms and conditions hereinafter set out, the parties agree as follows:

  1. The Assignor does hereby assign, set over, transfer, and deliver unto the Assignee its entire right, title, estate and interest in and to the Order to the Assignee subject to the terms and conditions herein contained.
  2. Notwithstanding anything herein contained or any act of the Assignor, the Assignor now has good right, full power, and absolute authority to make this assignment according to the true intent and meaning of these presents.
  3. Nothing herein express or implied shall operate or have effect as any warranty or guarantee of title or covenant for title on the part of the Assignor.
  4. The Assignee shall assume, observe, and perform the covenants, conditions, and agreements of the Assignor set forth and contained in the Order and to indemnify and save harmless the Assignor from and against the observance and performance thereof.
  5. Each of the Assignor and Assignee shall and will from time to time and at all times hereafter do and perform all such acts and things and execute all such deeds, documents, and writings and give all further assurances as may be required to give effect to this assignment.
  6. This Assignment shall enure to the benefit of and be binding upon the Assignor and Assignee and their respective successors and assigns.
  7. This Assignment is governed by the laws of the Province of Alberta.
  8. Time is of the essence.
