ARTICLE ONE: Naming
Our organization will be named the Freshman Sophomore Business Club, otherwise referred to as FSBC
ARTICLE TWO: Mission & Purpose
2.1 The Purpose of Our Organization is to:
a. Help students wanting to major in business and/or economics take the right classesand make the right choices, which will best prepare them for the major andadmission to the Walter A. Haas School of Business
b. Foster the growth of business and economics-related interests in freshmen and sophomores through advice, friendship, events, socials, and programs
c. Educate freshmen and sophomores about current business issues and events in the United States and globally
d. Supply mentors to freshmen and sophomores enrolled in lower-division business and economics classes to provide help with tests, homework, and other issues pertaining to professional development
e. Provide our members with networking, internship, and other opportunities for professional development
2.2 Our Mission:
The Freshman & Sophomore Business Club is an organization chartered to foster interaction amongst students who are interested in business. Our organization guides members through the admissions process for the Haas Business School and conducts events that give students a heightened knowledge of contemporary business, creating a foundation for further professional growth in the Haas School or elsewhere
2.3 Our Vision:
A close knit group of students interested in the contemporary business environment and the Haas School of Business, who actively pursue this purpose through relevant activities
ARTICLE THREE: Membership
Application for club membership is restricted to students of freshman or sophomore standing at the University of California, Berkeley. Continuing lifetime members will earn FSBC Alumni Standing when they are no longer freshmen or sophomores, or graduate from the University of California, Berkeley. Participating Faculty and Staff may be active participants within the club, but may not attain an official membership. An individual does not have to be a business or economics major to attain a membership. We will not haze according to California State Law; we will not restrict membership based upon race, color, national origin, religion, sex, physical or mental disability, medical condition (cancer-related or genetic characteristics), ancestry, marital status, age, sexual orientation, citizenship, or status as a covered veteran (special disabled veteran, Vietnam-era veteran or any other veteran who served on duty during a war or in a campaign or expedition for which campaign badge has been authorized). Only registered students, faculty, and staff may be active in a registered student organization.
ARTICLE FOUR: Diagram of Hierarchy
4.1 The Directors, Archivist, and President compose the Executive Committee, otherwise known as ExComm
4.2 Each Director will preside over his/her respective committee and report tothe President
ARTICLE FIVE: FSBC Leadership
5.1 Executive
5.1.1 The Executive duties will be fulfilled by the President of FSBC, who is first andforemost the Chairperson of the Executive Committee, which is composed of the FSBC Directors and the Archivist
5.1.2 As the leader of FSBC’s governing body, the President is ultimately responsible for the actions of any and all FSBC Directors, Assistant Directors, Committee Members, or Members. The President will take responsibility for any and all consequences of the actions of his/her fellow FSBC members, so long as their actions were directly or indirectly sanctioned, supervised, or suggested by the Executive
5.1.3 The President is not personally responsible for the actions or consequences of actions committed without the permission of any member of the Executive Board
5.1.4 The President represents FSBC, FSBC’s mission and vision, and FSBC’s interests in all decisions both within and outside of the organization, and will consequently be held accountable for FSBC’s public persona, internal well-being, and longevity
5.1.5 The President has the following Executive responsibilities:
5.1.5.1 Presiding over the weekly meetings of the Executive Committee
5.1.5.2 Serving as Master of Ceremonies at every FSBC event and social unless an ExComm member volunteers for the responsibility and receives Executive consent
5.1.5.3 Supervising the work and responsibilities of every FSBC Officer
5.1.5.4 Ensuring the happiness and overall satisfaction of every FSBC Member
5.1.5.5 Ensuring all FSBC programs come to fruition in a professional and efficient manner
5.1.5.6 Fulfilling the duties and responsibilities of any Director or Assistant Director which remain incomplete, until an adequate replacement is found
5.1.5.7 Ensuring all FSBC procedures and actions are lawful and uphold the integrity of the organization
5.1.5.8 Preserving FSBC’s Affiliation with the Haas School and the ASUC
5.1.6 The President has the following Executive powers:
5.1.6.1 The President may call for a vote of the Executive Committee at any timeand on any issue
5.1.6.2 The President may reject any proposal so long as the Executive does not violate any of the Procedures as outlined in Article 6 of this Constitution
5.1.6.3 The President may exercise Executive decision-making power at any time and in any situation, so long as the Executive utilizes discretion and does not violatethe Procedures as outlined in Article 6 of this Constitution
5.1.6.4 The President may remove any FSBC Officer from their position if they have displayed egregious acts of incompetence, violation of the FBSC Constitution, violation of club protocol, or have displayed insubordinate behavior to the degree at which it poses a threat to the organization’s overall well-being, solong as the Executive utilizes extreme discretion and does not violate theProcedures as outlined in Article 6 of this Constitution
5.1.6.5 The President has the right to assign or re-assign duties to any FSBC Officer, instigate new rules as the Executive sees fit so long as they do not violate the Constitution, and may revise or amend the Constitution so long as these actions do not violate the Procedures as outlined in Article 6 or the Rules for Amendment in Article 9 of this Constitution
5.1.7 The President is subject to the following checks:
5.1.7.1 Any member of the Executive Committee may call for a Vote of NoConfidence, after which the Executive Committee will immediately conduct a confidential poll, Executive excluded. The Vote of No Confidence will be approved if the Executive Committee unanimously votes to remove the President from the Executive position
5.1.7.2 All Procedures outlined in Article 6 of this Constitution
5.2 Finance
5.2.1 The Finance duties will be fulfilled by the Finance Director of FSBC, who is firstand foremost the Chairperson of the Finance Committee, which is composed of the Assistant Finance Director and the Finance Committee Members. The Finance Director is also a member of the Executive Committee and reports directly to the President
5.2.2 As the Director of the Finance Committee, the Finance Director is immediately responsible for the actions of any and all Finance Committee Members. The Finance Director will take immediate responsibility for any and all consequences of the actions of his/her subordinates in the Finance branch of FSBC, so long as their actions were directly or indirectly sanctioned, supervised, or suggested by the Finance Director
5.2.3 The Finance Director is not responsible for the actions or consequences of actions committed without Directorate permission
5.2.4 The Finance Director will be the primary caretaker of all FSBC finances, finance-related records keeping, membership purchases, interactions with the ASUC, and interactions with monetary sponsors
5.2.4.1 The Finance Director does not have the right to withhold any club funds if the Executive Board decides, following the Procedures in Article 6 of this Constitution, to access them
5.2.5 The Assistant Finance Director will preside over the Finance Committee in the absence of the Finance Director, will report directly to the Finance Director, will share in the responsibilities detailed in Article 5 Subsection 2.4 of this Constitution, and is also a member of the Finance Committee
5.2.6 The Finance Committee will report to the Finance Director and the Assistant Finance Director, complete the tasks assigned to them by said officers, brainstorm Finance-related projects, and execute them according to club protocol
5.2.7 The Finance Committee will conduct weekly meetings during the school year
5.2.8 The Finance Committee’s main objective is to raise money for the club, track expenditures, and ensure a stable monetary future for FSBC
5.3 Marketing
5.3.1 The Marketing duties will be fulfilled by the Marketing Director of FSBC, who is firstand foremost the Chairperson of the Marketing Committee, which is composed of the Assistant Marketing Directorthe Marketing Committee Members. The Marketing Director is also amember of the Executive Committee and reports directly to the President
5.3.2 As the Director of the Marketing Committee, the Marketing Director is immediately responsible for the actions of any and all of theMarketing Committee Members. The Marketing Director will take immediate responsibility for any and all consequences of the actions of his/her subordinates in the Marketing branch of FSBC, so long as their actions were directly or indirectly sanctioned, supervised, or suggested by the Marketing Director
5.3.3 The Marketing Director is not responsible for the actions or consequences of actions committed without Directorate permission
5.3.4 The Marketing Director will be the primary caretaker of the club website ( and will aid in all other club activities that involve the use of Marketing/Media Management skills and strategies – including PR strategies, marketing for fundraisers, and the media management considerations of FSBC events/socials
5.3.5 The Assistant Marketing Director will preside over the Marketing Committee in the absence of the Marketing Director, will report directly to the Marketing Director, will share in the responsibilities detailed in Article 5 Subsection 3.4 of this Constitution, and is also a member of the Marketing Committee
5.3.6 The Marketing Committee will report to both the DirectorandAssistant Marketing Director, complete the tasks assigned to them by said officers, brainstorm marketing and public relations related projects, and execute them according to club protocol
5.3.7 The Marketing Committee will conduct weekly meetings during the school year
5.3.8 The Marketing Committee’s main objective is to continually conceptualize new improvements and innovations for the club website, update the website, and aid in the fundraisers, strategies, and considerations detailed in Article 5 Subsection 3.4 of this Constitution
5.3.9 The Marketing Committee’s secondary objective is to continually conceptualize new strategies for FSBC’s public image, spread knowledge of our club’s existence to the campus at large, ensure proper club promotion at FSBC events, and aid in the considerations detailed in Article 5 Subsection 6.4 of this Constitution
5.4 External Affairs
5.4.1 The External Affairs duties will be fulfilled by the External Affairs Director ofFSBC, who is first and foremost the Chairperson of the External Affairs Committee, which is composed of the External Affairs Committee Members. The External Affairs Director is also a member of the Executive Committee and reports directly to the President
5.4.2 As the Director of the External Affairs Committee, the External Affairs Director is immediately responsible for the actions of any and all External Affairs Committee Members. The External Affairs Director will take immediate responsibility for any and all consequences of the actions of his/her subordinates in the External Affairs branch of FSBC, so long as their actions were directly or indirectly sanctioned, supervised, or suggested by the External Affairs Director
5.4.3 The External Affairs Director is not responsible for the actions or consequences of actions committed without Directorate permission
5.4.4 The External Affairs Director will be the primary interface between FSBC and non-FSBC organizations, businesses, student groups, professors, and other individuals, and will be the main coordinator, next to the President, in the conceptualizing and execution of FSBC professional events, including those detailed in Articles 8 and 9 of this Constitution
5.4.5 The Assistant External Affairs Director will preside over the External Affairs Committee in the absence of the External Affairs Director, will report directly to the External Affairs Director, will share in the responsibilities detailed in Article 5 Subsection 4.4 of this Constitution, and is also a member of the External Affairs Committee
5.4.6 The External Affairs Committee will report to both the DirectorandAssistant External Affairs Director, complete the tasks assigned to them by said officers, brainstorm External Affairs-related projects, and execute them according to club protocol
5.4.7 The External Affairs Committee will conduct weekly meetings during the school year
5.4.8 The External Affairs Committee’s main objective is to continually conceptualize new improvements and innovations for FSBC professional events, network on behalf of FSBC within the community and society at large, organize co-sponsorships, and aid in the considerations detailed in Article 5 Subsection 4.4 of this Constitution
5.5 Internal Affairs
5.5.1 The Internal Affairs duties will be fulfilled by the Internal Affairs Director ofFSBC, who is first and foremost the Chairperson of the Internal Affairs Committee,which is composed the Internal Affairs Committee Members. The Internal Affairs Director is also a member of the Executive Committee and reports directly to the President
5.5.2 As the Director of the Internal Affairs Committee, the Internal Affairs Director is immediately responsible for the actions of any and all Internal Affairs Committee Members. The Internal Affairs Director will take immediate responsibility for any and all consequences of the actions of his/her subordinates in the Internal Affairs branch of FSBC, so long as their actions were directly or indirectly sanctioned, supervised, or suggested by the Internal Affairs Director
5.5.3 The Internal Affairs Director is not responsible for the actions or consequences of actions committed without Directorate permission
5.5.4 The Internal Affairs Director will be primarily responsible for the well-being and satisfaction of members, other member-relations considerations, inter-member networking, social events, alumni correspondence, FSBC’s Mentorship Program, and other such programs as detailed in Articles 8 and 9 of this Constitution
5.5.5 The Assistant Internal AffairsDirector will preside over the Internal Affairs Committee in the absence of the Internal Affairs Director, will report directly to theInternal Affairs Director, will share in the responsibilities detailed in Article 5 Subsection 5.4 of this Constitution, and is also a member of the Internal Affairs Committee
5.5.6 The Internal Affairs Committee will report to both the DirectorandAssistant Internal Affairs Director, complete the tasks assigned to them by said officers, brainstorm Internal Affairsrelated projects, and execute them according to club protocol
5.5.7 The Internal Affairs Committee will conduct weekly meetings during the school year
5.5.8 The Internal Affairs Committee’s main objective is to continually conceptualize new improvements and innovations for FSBC’s social and networking events,encourage membership participation within the organization, improve FSBC’s Mentorship Program, maintain alumni involvement, and aid in the considerations detailed in Article 5 Subsection 5.4 of this Constitution
5.6Community Service (CommServ)
5.6.1 The Community Service duties of FSBC will be fulfilled by theCommunity ServiceDirector of FSBC, who is first and foremost the Chairperson of the Community Service Committee, which is composed of the Community Service Committee Members. The Community ServiceDirector is also a member of the Executive Committee and reports directly to the President
5.6.2 As the Director of the Community Service Committee, the Community Service Director is immediately responsible for the actions of any and all Community Service Committee Members. The Community Service Director will take immediate responsibility for any and all consequences of the actions of his/her subordinates in the Community Service branch of FSBC, so long as their actions were directly or indirectly sanctioned, supervised, or suggested by the Community Service Director
5.6.3 The Community Service Director is not responsible for the actions or consequences of actions committed without Directorate permission
5.6.4 The Community Service Director will be responsible for the recording of all Executive Committee Meeting minutes and action items, community service outreach on behalf of FSBC, email reminders to members preceding events, socials, and/or new programs, and other such programs as detailed in Articles 8 and 9 of this Constitution
5.6.5 The Assistant Community Service Directorwill preside over the Community Service Committee in the absence of the Community Service Director, will report directly to the Community Service Director, will share in the responsibilities detailed in Article 5 Subsection 7.4 ofthis Constitution, and is also a member of the Community Service Committee
5.6.6 The Community Service Committee will report to both the Directorand Assistant Community Service Director, complete the tasks assigned to them by said officers, brainstorm community service-related projects, and execute them according to club protocol
5.6.7 The Community Service Committee will conduct weekly meetings during the school year
5.6.8 The Community Service Committee must conduct periodic Community Service events and aid in the considerations detailed in Article 7 Subsection 1.4 of this Constitution
5.7 Archiving
5.7.1 The Archiving duties will be fulfilled by the Executive Archivist, who will have no committee, but who will serve as a member of the Executive Committee and report directly to the President
5.7.2 This position may only be filled by a freshman starting in the Fall Semester of each new school year, and is considered a Junior Officer position
5.7.3 The Executive Archivist’s primary responsibilities are the accurate and unbiased recording of FSBC email correspondence history, noteworthy club occurrences, photography of FSBC events,publish FSBC’s monthly e-newsletter,feedback from FSBC members regarding events/socials/and other programs, and the timely compilation of Executive Committee and other Committee minutes and notes. Access to these records is restricted based on the Executive Committee’s discretion. The Executive Archivist will also complete whatever tasks they are assigned by the Executive
