TERMS AND CONDITIONS OF GRANTS

BETWEEN:

Essex County Council of County Hall, Chelmsford, Essex, CM1 1QH (“ECC”)

and

(insert name)…………………….. of (insert address)…………………….. (“the Organisation”)

  1. The Organisation confirms that the information contained within the Application Form submitted to the Life Raft Trust is true and that the supporting documents provided were current and accurate.
  1. The purpose of the grant is to provide support to the activity of the Organisationto help with a temporary, recession induced downturn and is structured to improve the business outlook for the Organisation so that its own capacity is restored and/or enhanced.
  1. ECC staff cannot provide professional business advice. The Organisation remains fully responsible for all aspects of their operations at all times and ECC will not be held responsible in any way for the actions, debts or liabilities of the Organisation.
  1. ECC will comply with all relevant legislation, including the Data Protection Act 1998, Freedom of Information Act 2000 and the Caldicott Principles at all times.
  1. The Organisation agrees to comply with all relevant legislation and good practiceand to maintain adequate insurance, licences and permissions at all times.
  1. The agreement between ECC and The Organisation may comprise many documents including, but not limited to:
  1. Any documents requesting funds
  2. Any letter or other document from ECC offering funding
  3. Any payment conditions or other special conditions set out between ECC and the Organisation in writing
  4. Any detailed plan of the Organisation’s activity or budget, and financial information provided by the Organisation and accepted by ECC
  5. Any changes to anything for which the Organisation is responsible that have been agreed in writing between ECC and the Organisation.
  1. Funding will be committed within the financial year of grant but depending on the circumstances of the Organisation may relate to support over more than one year and may be paid in instalments. Specific details will be set out in the Letter of Agreement.
  1. The total grant monies awarded to any one Organisation will be capped at £50,000.
  1. The Organisation will maintain true, full and complete records of all expenditure funded by the Grant and shall permit ECC to have access to such records at all reasonable times, and upon reasonable notice being given.
  1. ECC reserves the right to withdraw or alter any grant offer but this right will only be exercised in exceptional circumstances. A grant offer will be withdrawn, or repayment required, if it becomes apparent that:
  1. False information has been deliberately supplied to ECC
  2. The grant monies are being misused
  3. The Organisation does not ensure equal opportunities in the delivery of, and access to, services
  1. The Organisation must inform ECCimmediately of any changes in circumstances or if it goes into administration, stops trading or ceases to be open to the public before the grant or remaining instalments are paid. This may result in ECC seeking repayment of all or any of the grant received to date.
  1. If Life Raft Trust funds are withdrawn by ECC for whatever reason, there shall be no contractual obligation on the part of ECC to provide the monies to the Organisation.
  1. ECC may require the Organisation to acknowledge the grant on publicity and marketing materials, and/or in the press or media. Guidelines will be provided as appropriate.
  1. The Organisation must acknowledge the grant from the Life Raft Trust in their annual report.
  1. The Organisation will be required to evaluate the overall impact of the grant. Guidance on how to do this will be provided after the grant has been awarded. The timescale for completing the evaluation will be decided on a case by case basis and notified to the Organisation in the Letter of Agreement.
  1. ECC and the Organisation shall each use all reasonable endeavours to resolve any disputes by means of prompt discussion at management level. If this is not possible, the matter shall be referred to an independent professional mediator at a cost to be borne equally. Such mediator shall be identified and agreed between ECC and the Organisation.
  1. These Terms and Conditions will remain in force until the purpose of the grant is fulfilled, or 12 months has elapsed whichever is the longest.
