12.Vessel Acceptance Criteria and Nomination / (I)Acceptance Criteria:
Except as otherwise may be specified in writing in particular case, and as minimum acceptable acceptance requirement, vessels nominated for lifting of the Product at the Load Port(s) must comply to the followings:
a) The Maritime Provisions and the vessel size restrictions of the particular LoadPort; including but not limited to deadweight, draught, beam and overall length restrictions
b) The Vessel shall be duly classed, seaworthy and in all respects comply with all applicable KSA, and international rules and regulations and treaties;
c) The Vessel shall in all respects be fit and suitable for loading and carrying the quantity and quality of the Product;

d) The Vessel will have adequate and comprehensive P&I coverage with anIG P & I club acceptable to SABIC, and the coverage should not contain any provisions or exclusion of coverage for damage to SABIC’s property; and
e) The Vessel shall be fully crewed with an efficient and competent master, officers and crew members
f) VOYAGE TIME: Vessel must reached at discharge port within 20 (twenty) days from the sailing date.
II.Nomination:
(a) The Owner/Agent/Ship Broker shall nominate a “Suitable Performing Vessel” todirectly to BCIC with copies of the C/P/sub C/P as genuine authority to nominate that vessel by the successful bidder with laycan of 5 days spread (the last day of which will be the “Canceling Date”), declared by seller SABIC, to load the quantity agreed under the Supply Contract with SABIC.
(b) SABIC is to convey its acceptance/rejection of the nominated Vessel to Buyer/Owner in writing within one working day after receipt of such nomination (Friday, Saturday excluded). SABIC shall not be obliged to provide reasons for its rejection of a nomination, but shall not reject any nomination unreasonably. In case of rejection, Owner/Agent/Ship Broker shall, as soon as possible thereafter, nominate an alternative. Buyer/Owner may, with SABIC's prior written approval, substitute any approved vessel with another suitable Vessel to replace the approved vessel. Unless expressly otherwise agreed, the rejection by SABIC, or the substitution by Owner of a nominated Vessel, shall not in any way relieve the Owner and SABIC from its obligation to perform the agreed loading
(c) If, upon arrival, Owner’s Vessel does not meet the acceptance criteria and/or are refused by the applicable Ports Authorities and /or the Vessel fails the holds inspection for the first time, then Laytime to count from Actual Commencement of Loading. If the Vessel fails the acceptance criteria and/or other acceptance requirements as foreseen herein before for a second time, SABIC may, in its sole option and discretion, revoke its approval and refuse to berth such vessel, or load - or continue to load her.

(d) Owner/Agent/Ship Broker to nominate “Suitable Performing vessel” at least five (05) days prior to first day of such laycan. Owner/Agent/Ship Broker, in its written nomination of the vessel, shall furnish at least the following vessel details to enable SABIC to evaluate the suitability of the Vessel according to the above acceptance criteria:

Vessel should be Free of Central line Bulk Head and free of Inner Beams which should be suitable to load Bulk Urea.
e. i. .Bidder will submit a copy of the C/P or terms and conditions of fixation of the vessel while nominating a vessel which must include full details of the shipowners (Name of Owners, PIC, phone no, e-mail address) & also clearly showing terms of payment..
ii. Vessel will be fixed with head owners or disponent owners of the vessel. In case vessel fixed with a disponent owner then the bidder must provide the charter party chain of the vessel at the time of nomination of the vessel and the bidder will also remain responsible and liable for the performance of the disponent owners of the C/P chain. .
iii. Vessel should be fixed with head owner or disponent owner in the name of the bidder and a proof thereof to be submitted.
iv. Bidder will ensure payment of freight, dead freight and demurrage to the owner or disponent owner as per terms and condition of theC/P signed between BCIC & the successful bidder. Any failure in payment of freight by the bidder will be treated as breach of the C/P and BCIC shall have the right to payment of freight directly to the ship owner or the disponent owners without any notification to the bidder.

Ifthe freight agreed between bidder and BCIC do not cover the freight agreed by the bidder with the ship owner, then BCIC have the right to realize any excess freight from bidder's performance guarantee or from any other contract with the same bidder.
v. IT MAY BE MENTIONED THAT PRICE OF THE COMMODITY (UREA) IS FIXED ON THE BASIS OF LAYCAN. DUE TO FAILURE TO NOMINATE VESSEL AS PERLAYCAN IF THE PRICE OF THE COMMODITY INCREASES, THEN THEADDITIONAL INVOL VEMENT FOR INCREASE OF PRICE WILL BE ON OWNER/AGENT/SHIP BROKER ACCOUNT & TO BE REALIZED ACCORDINGLY.
f.After SABIC acceptance, the Owner/Agent/Ship broker is to regularly advise vessel’s position, and best ETA at loading port(s) and name of load port Agents, as more fully set out below.
III. Notice(s)
(a)On approach totheLoadPort, the Master of the Vessel shall give notice(s) to SABIC and their load port Agents of a tentative Stowage Plan calculated on the basis of the stowage factor, supplied by SABIC, indicating the exact quantity of cargo required and vessel ETA at load port. The Master will provide further 7 days, 5 days, 72 hours,48 Hrs and 24 Hrs notice(s) of the approximate date on which the vessel will arrive at port of loading. Any change of ETA of more than 24 Hours is to be advised immediately to all parties.
(b) The notice of Readiness (NOR) is to be tendered when she arrives at the customary anchorage area and after vessel passing of the pre-loadingholds inspection by a mutually acceptable and independent Marine Surveyor appointed by SABIC, pursuant to BUYER’S Supply Contract with SABIC, at their expense.

(c) If cargo holds, including free board (deck area), are found in unsatisfactory condition and not acceptable by the independent Marine Surveyor, the Owners/Agent/Ship Broker are to clean the vessel’s hold at their time and cost. The lay time to stop counting from the time vessel fails hold inspection `till vessel passing re-inspection. If Vessel passes for normal re-inspection, out of laycan, then Lay time to start counting from the actual commencement of loading.
(d) The cost of subsequent inspection is for Owner/Ship Broker’s Agent/Ship Broker account. Owners to represent the vessel for second inspection within maximum 72 hours. In case vessel fails the inspection for the second time, said nomination stands cancelled in SABICs’ discretion.
IV. AGE:
VESSEL AGE SHOULD NOT EXCEED 25 (TWENTY FIVE) YEARS PROVIDED THE VESSEL IS APPROVED BY INSURER SADHARAN BIMA CORPORATION (SBC, DHAKA, BANGLADESH) PRIOR TO SHIPMENT. SBC NORMALLY CHARGED HIGHER RATE OF PREMIUM FOR THE VESSELS WHOSE AGE IS OVER 20 (TWENTY) YEARS. SBC ALLOWS & CONCESSION IN PREMIUM FOR SHIPMENT OF CARGO UP TO 20 YEARS OF AGE AND CLASSED BY A CLASSIFIEDASSOCIATION/ SOCIETY. OTHERWISE, ADDITIONAL PREMIUM, UNCLASSED OAP/AP OR ANY OTHER EXTRA CHARGES IMPOSED BY SBC WILL HAVE TO BE BORNE BY THE OWNER/AGENT/SHIP BROKER.
V. FLAG:
EXCLUDING ISRAEL.
VI. Layday and Cancelling
a.In case the vessel is not expected to arrive at loading port within the canceling dates, the Owner/Agent/Ship Broker should promptly inform SABIC and then request for an extension of the Canceling Date. SABIC has the sole discretion to either cancel the nomination or granting of a conditional extension, which is to bedeclared within 1 (one) working day from time of receiving Buyers’/Owners’ request within SABIC’s office working hours.If the vessel is delayed beyond the revised extension of the Canceling Date, the nomination shall automatically, without further notice, deemed to be cancelled.

b.Lay days not to commence prior to the agreed laycan unless with written consent of SABIC and, if commenced earlier, lay time to count at half from the time of commencement of loading `till the first day of the laycan
VII.Preparation Of Holds For Loading:
At the nominated loading port(s), Master to tender vessel with holds, including free board (Deck area) properly swept, cleaned and dried, and free of rust, totally free of grains, residues of all previous cargoes to SABIC’s independent Surveyor’s satisfaction, and in all respects ready to receive the intended cargo.Where bulk cargo is to be loaded, and prior to tendering the vessel for loading cargo, battens are to be removed, bilge boards and timber boards are to be in place and made tight against cargo seepage and rose boxes are to be suitablycovered against cargo seepage. Where bagged cargo is to be loaded, cargo battens are to be fitted prior to tendering the vessel for loading. Moreover, the vessel to be tendered to SABIC at load port, without any cargo on board either on deck nor under deck.
VIII.Berth(s) at LoadPort
At loading, SABIC will have the option to use a second berthand SABIC shall have the right of shifting the Vessel, in such event, shifting expenses from 1st to 2’nd berth to be for the Owner/Agent/Ship Broker account and the shifting time not tocount as loading time (or Laytime used) unless the vessel is already on demurrage.
(Clarification: 1st shifting “if any” is always Owner/Agent/Ship Broker account, as SABIC provide a services berth in case other berths are busy with loading to save the time for both parties, where vessels can conduct the inspection, cleaning etc. in order to be prepared for loading, however any subsequent shifting will be SABIC account (except if loading operation due to vessel specification require a shifting then it should be at Owner/Agent/Ship Broker account).
IX.Trimming/Hatches/Stevedores/Cargo Loading
(a) Cargo shall be loaded by SABIC free of risk and expenses to the vessel. SABIC shall only pay for the trimming which the loading facilities can achieve. Any extra leveling, trimming or filling, if required by the vessel’s Master, to be at Owner/Agent/Ship Broker risk and expenses. Time used for the same not to count as used lay time or time on demurrage. Vessel shall be capable of accomplishing such work. Vessel to furnish full use of tackles, cranes, winches with necessary steam or power to operate smooth, free of expense to SABIC. Opening and closing of hatches at loading port shall be for Owner/Agent/Ship Broker account, provided local regulation permit

The Master shall cover the hatch of each hold as soon as loading into same is finished and also all hatches when loading is finished for the day, or as directed by SABIC if the weather is wet, highly humid, dusty or threatening. Vessel’s Master shall also keep covered all hatches in which loading is not actually being performed. SABIC shall appoint Stevedores for loading, however, SABIC shall not be responsible for any negligence, default or error of judgment of Stevedores. Claim for stevedore damage, if any, to be settled directly between Stevedores and Owner/Agent/Ship Broker.
b.Cargo to be loaded in clear unobstructed main holds only which are suitable for Ship Loaders to go inside the Holds to load. No cargo to be loaded in deep tanks or any other inaccessible places unless with Shippers/SABIC’s consent, in which case any extra time used or expenses or risks involved, incurred in loading is to be for Owner/Agent/Ship Broker account.
X. Time for Loading
(a) Cargo for a Single Grade shall be loaded or stowed at the rate of 1,200 Metric tons per
weather working day for bagged shipments; 6,000Mts per weather working day, spout
trimmed, for Bulk shipments with Single Decker vessels; and 3,000Mts per weather working day, spout-trimmed, for Bulk shipments with TweenDeckvessels; the load rates are applicable for each period of 24 consecutive hours, Friday from noon/Saturday and
Holiday(s) excepted unless used with a minimum of 5 HO/HA, prorata if less.
(b) In case Vessel loads two different Grades of Urea, then Load rate for the 2nd Grade
applicable would be 6,000mt basis minimum 2 HO/HA, prorata if less for SDBC vessels; and3,000mt basis minimum 2 HO/HA, prorata if less for Tween Deck vessels, otherwise rest allas per X.a.
c)At loading port, time from 12th Hrs, Friday until 08.00 Hrs Sunday or from 12.00 Hrs the day before a holiday until 08.00 Hrs the day after a holiday’ not to count as used laytime unless used.
(d)At first load port laytime to commence (at 14:00 Hrs. if NOR tendered before noon and at 08:00 Hrs. the next working day, if NOR tendered after noon and during office hours) after vessel has provided notice that she has received free pratique, is ready to receive cargo in allrespects whether in berth or not.

(e)At any subsequent load port/berth, laytime or time on demurrage shall commence after
tendering N.O.R. whether in berth or not. If upon arrival at port of loading it is found that th
e vessel cannot enter port due to congestion, the Master may tender N.O.R. by cable or radio
to SABIC’s Agent and, if accepted by the latter, laytime or time on demurrage shall
commence to count in accordance with the terms of this acceptance including but not limited
to Clause XI.a. If, upon entering the port, the vessel fails to obtain free pratique or customs clearance, or, is for any other reason found unfit to load the cargo, then time shall cease to count as used laytime or time on demurrage untilthe vessel is fully ready to proceed with the loading operation. If, by virtue of such failure vessel loses its place in loading line, then time shall cease to count as used laytime, or time on demurrage, until the vessel has been fully secured alongside the loading facility and is ready in all respects to receive cargo.
(f.)Time used for shifting from anchorage to loading berth shall not be counted as used
laytime or time on demurrage. Time lostby the inability of the vessel to load in accordance
with this agreement shall not count as used laytime or time on demurrage. All notices at
loading port shall be given only during office hours. Office hours are deemed to be 08:00-
16:00 hours Sunday to Thursday and 08:00-12:00 hours on Friday.
(g)SABIC shall be entitled to despatch to the extent of working time saved, to be counted `till the vessel completes loading, at half demurrage rate, as declared by Owner/Agent/Ship Broker in its nomination of the vessel.
XI. Computation of Lay time
a.It is agreed that if the cargo cannot be delivered or loaded by reason of act of Government, perils of the Harbour, War, Rebellion, tumults, Civil commotion, Insurrections, Political disturbances, Government intervention, Closure of Plant, Breakdown of machinery, Epidemics, Quarantines, Riots, Strikes, or Lock Out or work stoppage of any class of workmen, long shore men or stevedores or other persons essential to the working, carriage, delivery or shipment from point of origin to ship side loading of the said cargo, whether partial or general, or accidents at the plant, at SABIC’s works or wharf, landslides, bad weather , frost, snow, customs and/or constituted authorities or any cause beyond the control of SABIC, affected shipment may be canceled by SABIC without liability on the part of either party. Any loading stoppages time due to humidity, rain, strong/high wind, rain, and sea swells shall not count as used lay time.
b.In the event that cargo cannot be loaded or loading is interrupted by reason of any one or more of the above causes, any time so lost shall not be computed as laytime unless the vessel is already on demurrage at load port.
