SUBORDINATION, NON-DISTURBANCE ATTORNMENT AGREEMENT

THISAGREEMENT,madethis dayof ,20,between Southern

Farm Bureau Life Insurance Company, a Mississippi corporation, whose address is 1401

Livingston Lane, Jackson, Mississippi 39213, hereinafter referred to as the "Mortgagee," and ,whoseaddress is , hereinafterreferredto as the"Lessee";

WITNESSETH:

WHEREAS, Lessee has entered into a certain Lease (the "Lease") with , a(n) , hereinafterreferredtoas"Lessor,"bearingdateofthe dayof ,20 , coveringpremises,hereinafterreferredtoasthe"LeasedPremises,"locatedin County, , andmorefullydescribedin Exhibit"A"attachedheretoand herebymadeaparthereof;and,

WHEREAS, Mortgagee is currently contemplating making a loan in the sum of

dollars($ ) totheLessor,represented byaNoteinsuchamountandsecuredbyaDeedofTrustorMortgage (the"Mortgage")coveringtheLeasedPremises;and,

WHEREAS,LesseehasagreedthattheLeaseshallbesubjectandsubordinate tothe MortgageprovidedLesseeisassuredofcontinuedoccupancyofitspremisesunderthe termsofthe Lease,subjecttothetermsoftheMortgage.

NOW,THEREFORE, inconsideration ofthepremisesandofthesumofONEDOLLAR ($1.00),byeachpartyinhandpaidtotheother,thereceiptwhereofisherebyacknowledged,itis herebyagreedasfollows:

(1) TheLeaseshallbesubjectandsubordinate totheMortgageandtoallrenewals, modifications,consolidations,replacementandextensionsthereof.

(2) Intheevent itshouldbecomenecessarytoforeclosetheMortgage,Mortgagee,foritself anditssuccessorsandassigns,agreesthatLesseemaycontinueitsoccupancy oftheLeased PremisesinaccordancewiththetermsandprovisionsoftheLease,solongasLesseecontinues to payrentandotherwisetoperformitsobligationsonitsparttobeperformedhereunderandunder theLease.

(3) Lesseefurtheragreesthat,intheeventLesseeacquirestitletotheLeasedPremises pursuanttoanyprovisionsoftheLeaseorotherwise, therewillbenomergeroftheestatesofthe landlordandtenantandtheLeaseandtheLessee'sobligations thereunder shallcontinueinfull forceandeffect.

(4) So longas Lesseehasquietenjoymentof theLeasedPremises,andsubjectto theterms oftheMortgage,Lesseeagreestoattornto(a)Mortgagee wheninpossession oftheLeased Premises,whetherbyforeclosureoftheMortgageorpursuanttotheassignmentofleasesgivenby LessortoMortgagee,orto(b)areceiverwhen appointedinanactionorproceedingtoforeclosethe Mortgage,orto(c)anypartyacquiringtitletotheLeased Premises. Lesseeagreestoexecute and deliver,uponrequest,anappropriateagreementofattornment.

(5) NotwithstandinganythingintheLeasetothecontrary,Lesseeherebyagreesthatso longas theMortgageeholdsamortgageontheLeasedPremises,LesseewillmailtotheMortgagee atitsprincipalplaceofbusinesshereinabove setforth,oratsuchotherplaceasmaybehereafter fromtimetotimedesignatedbymortgagee inwriting,acopyofallmaterialnoticeswhichLessee mayfromtimetotimeserveuponLessorunderandpursuanttothetermsandprovisions ofthe Lease,providedthatnonoticestoLessor,whethermaterialornot,shallbeeffective against Mortgagee foranypurposeunlessacopyofsuchnoticeisalso,atthesametimeitisservedupon Lessor,serveduponMortgagee.

(6) Lesseeagreesthat,fromandafterthe datehereof,it:(a)willnotpayrentunderthe Leasemorethan30daysinadvanceofitsduedate,(b)willnotmodify,alterorchangetheterms oftheLeasewithoutthepriorwrittenconsentofMortgagee, (c)willnotsurrenderorcancelthe Leaseorconsenttomodification ofanyofitstermsnortothetermination thereofbytheLessor withoutthepriorwrittenconsentofMortgagee, and(d)willnotseektoterminatetheLease, withholdrentals,orseektheforfeitureoforotherwiseattempttolimitoradverselyaffectthe rightsoftheLessorbyreasonofanyact,omissionordefaultundertheLeasebyLessoruntil Lesseehasgiven writtennotice ofsuchact,omissionordefaulttoMortgagee,anduntil Mortgagee isgiventhetimepermittedintheLeaseorareasonable periodofnotlessthan30daysfollowing thegivingofsuchnotice,whicheverisgreater,duringwhichperiodMortgageeshallhavethe right, but shall not be obligated, to remedy such act, omission or default or proceed with reasonable diligenceandgoodfaithtocompletethecuringthereof.Mortgagee may,atitsoption, withinthetimepermittedhereinforMortgageetocureanyact,omissionordefaultbyLessor undertheLease,doandperformanyactorthingrequired oftheLessorundertheLease, andall thingssodoneandperformedbyMortgageeshallbeaseffectivetopreventtheLessor’srights undertheLeasefrombeingforfeitedorotherwiseadverselyaffectedbecauseofadefaultby Lessor,asthesamewouldhavebeenifdoneandperformedbyLessor.

(7) LesseeagreesthatMortgageemay, atits option,causetheloan contemplatedhereinto bemadebyoneofitsaffiliatecompaniesormaygrantaparticipationinsaidloan,ormaysellthe loantoathirdparty.

(8) ThisAgreementshallbebindingonandinuretothebenefitofthesuccessorsand assignsofthepartieshereto.

INWITNESSWHEREOF,thepartiesheretohavecaused thisinstrumenttobeexecutedthe dayandyearfirstabovewritten.
