STATEMENT OF RIGHTS

The Richard Stockton College of New Jersey (“Stockton College”), through Stockton Affiliated Services, Inc., (“SASI”) a New Jersey 501 (c) (3) nonprofit corporation, holds and may at its sole discretion; exercise the following rights and options with respect to this Request for Proposal (RFP):

  1. To select and enter into an agreement with the one or more Proposer(s) whose proposal best satisfies the interests of the College and not necessarily on the basis of price or any other single factor.
  2. To reject any and/or all proposals.
  3. To issue additional subsequent solicitations for proposals and/or amendments to the RFP.
  4. To conduct investigations with respect to the qualifications of each Proposer.
  5. To negotiate with Proposers for amendments or other modifications to their proposals.
  6. To modify dates.
  7. All proposals prepared in response to this RFP are at the sole expense of the Proposer, and with the express understanding that there will be no claim, whatsoever, for reimbursement from the College for the expense of preparation.
  8. Proposals submitted in response to this RFP may contain technical, financial, or other data whose public disclosure could cause substantial injury to a Proposer’s competitive position, or constitute a trade secret. To protect these data from disclosure, the Proposer should specifically identify the pages of the proposal that contain such information, by properly marking the applicable pages and inserting the following notice in the front of its proposal:

The data on pages (specify Page Numbers) of this proposal identified by an asterisk (*) contain technical or financial information, which are trade secrets, or information for which disclosure would result in substantial injury to the Proposer’s competitive position. The Proposer requests that such data be used only for the evaluation of the proposal, but understands that the disclosure will be limited to the extent Stockton College and SASI consider proper under the law. If an agreement is entered into with the Proposer, SASI shall have the right to use or disclose the data as provided in the agreement, unless otherwise obligated by law.

The data in this RFP is provided for general information purposes only. SASI does not guarantee or warrant the correctness of this information; moreover, SASI accepts no responsibility for any omissions or deletions of information relating to this Request for Proposals.

The successful Proposer shall be required to execute an Agreement with SASI that will govern the rights, duties and obligations between SASI and the successful Proposer. SOLICITATION LETTER

Stockton Affiliated Services Inc. (SASI), an affiliate of Stockton College, one of the nation’s most progressive institutions of higher education, is seeking proposals from out of home advertising industry for outdoor advertising firms to build, operate and maintain the two sign structures and sell the advertising space on College-owned property along the Atlantic City Expressway between Mileposts 22-1 to 22.9 East Bound and Mileposts _21.4 to 22.4 West Bound. Because of read restrictions each of these site signs/billboards will be a one directional digital sign on both the north and south side of the Atlantic City Expressway that has an active advertising space of not larger than 20’ by 60’ to comply with State of New Jersey Outdoor Advertising Regulations. Qualified out of home advertising firms are invited to submit proposals in response to this Request for Proposals.

StocktonCollege owns considerable land adjacent to the heavily traveled Atlantic City Expressway and the billboards along the expressway are some of the most valuable in the nation generating millions of dollars in annual revenues. SASI has determined that it can develop two signs on its property that would serve to promote the College and its programs as well as generate much needed revenues. SASI seeks to enter into a partnership with an out of home advertising firm, which would build, operate, maintain and sell the advertising space based upon a revenue sharing model. The expense for the build out of the signs would be generated from ‘first revenues’ at a mutually agreed upon rate. The sign will become the property of the College at the end of the 30-year proposed term of this agreement.

SASI will work with the selected out of home advertising firm to obtain the necessary approvals for the sign including Pinelands Commission approval. Additional proposal evaluation scoring will be granted to those out of home firms with existing Pinelands credits that can be applied to the Stockton Project.

SASI has begun the process of reviewing the billboard sites to determine the ability to adhere to environmental and regulatory requirements. The sites were also reviewed by organizations in the out of home advertising industry for their market viability and based upon these findings; SASI is issuing this request for proposal to identify a business partner for this mutually beneficial project.

SASI also specified digital technology for the signs that would allow for the posting of advertising in ‘real time’ and for the use of the signs for important emergency messages such as Amber Alerts, evacuations and road conditions in coordination with the Atlantic City Expressway, the New Jersey State Police And Emergency Management agencies. The messaging on the sign would be split between messages promoting College programs and activities and paid commercial advertising. The commercial advertising content would be controlled by the Advertising Standards developed by SASI, insuring that advertising would not violate community standards.

The structure for the digital sign would be a site sign designating the Stockton College Campus and would include the College’s logo. The design of the sign should be similar to those used by other colleges and universities in the development of similar sign programs. For this purpose several designs for the sign have been included in the appendix along with sign construction specifications. Proposers are not limited to this design but final approval for the structural or site sign design will rest with SASI and StocktonCollege for the purpose of retaining the designation of the sign as a site sign.SASI will hold a briefing session on Thursday May 6, 2010 tentatively scheduled at 11 a.m. for interested Proposers at its offices at 10 West Jimmie Leeds Rd located in Galloway Township NJ followed by a self-guided visit to the billboard sites.Please confirm your attendance by email to .

It is keeping with this commitment to financial responsibility that Stockton seeks to develop the digital site sign that would provide much needed supplement revenue to the College and its academic, cultural and athletic programs. Stockton Affiliated Services Inc. (“SASI”) is a dynamic and innovative non-profit corporation. that was organized and incorporated as a college auxiliary organization for the purpose of supporting the teaching and learning mission of The Richard Stockton College of New Jersey .under the Public College Auxiliary Organization Act, N.J.S.A. 18A:64-26 et seq. (the “Act”),”). SASI creates and manages an array of programs and services, which support and strengthen the College’s missions of teaching, research, scholarship and public service. SASI serves the College by assisting the College in shaping the growth and activities of the corporation to best meet the needs of the College and by providing financial support to assist with the evolving needs of the College and the community. Part of its corporate goal is to raise and manage private resources supporting the mission and priorities of the College as determined by the President and the Board of Trustees and to develop revenue streams to provide opportunities for students and a margin of institutional excellence unavailable with state funds. The College has directed SASI, through its management agreement, to develop certain off-campus property owned by the College, including the AC expressway land, to generate supplemental revenue to support the College missions.

1.0INFORMATION FOR PROPOSERS:

Part 1 - Project Description

SASI is seeking proposals from qualified out of home advertising firms and others to develop, build and manage two digital site signs on properties owned by the College that are adjacent and read to the Atlantic City Expressway in Hammonton, New Jersey. The Atlantic City Expressway carries more than 66,000,000 vehicular trips annually.

SASI is using the Request for Proposal procurement method to secure the services of a firm or firms, which would be granted the right to develop and operate two digital site signs on College property. Proposers to this request must demonstrate required experience in the out of home industry as well as the financial capabilities to build, manage and sell the advertising space on the signs.

The Proposer through the response to the request for proposals should demonstrate his ability to design, finance, build, maintain and sell the two requested signs in a manner that is acceptable to SASI. The College wishes to enter into a mutually beneficial partnership for the development and operation of these two digital site signs that will provide the College with the ability to raise public awareness of the institution and its programs as well as generate much needed advertising revenues for the College and its programs.

Term of Contract

The anticipated term of the contract to be awarded as a result of this RFP will be for a minimum period of 20 years to accommodate the capital expense requirement. SASI may authorize longer periods if the College determines such longer periods are in its best interest. Proposers may present justification for longer award based upon the capital expense of building the proposed structures or a business case that concluding longer-term agreements would generate more revenue for the College.

Part 2- Proposal Submission Process

SASI is using the Request for Proposal process to select a business partner to develop and operate its digital site sign project. The evaluation of each proposal shall be made using criteria that include the revenues share offered to the College, as well as sales and business plans suggested to develop and manage the two signs, the experience and financial stability of the organization and its personnel assigned to the Stockton Project.

Respondents to this RFP shall follow the instructions contained in the document in preparing and submitting a response proposal. Failure to abide by the instructions may be deemed non-responsive to the RFP and may be cause for rejection.

The primary medium for communication regarding this RFP shall be via the internet. The RFP, Required Forms, Addendums, Questions and Answers can all be accessed on the SASI website by accessing the Richard Stockton college website ( )and typing “SASI” in the search box on the main page. This will It is the responsibility of the Respondent to monitor the SASI website for any changes, additions, clarifications, cancellations etc. as related to this RFP.

Use of the internet has proven to be the most efficient medium for communication with potential Respondents. It is by no means intended by SASI to be exclusionary. If internet access is not available to an interested Respondent, SASI will take alternate methods of communications measures to ensure all. In order to be considered for selection, proposals must be received no later than 2:00 PM on May 20, 2010, to the attention of Trish Krevetski, RFP Coordinator, Stockton Affiliated Services Inc.,P.O. SUBMISSION OF PROPOSALS

One (1) original and eight (8) copies of the proposal are to be submitted in sealed envelopes, securely fastened and marked on the exterior with the name and address of the Proposer, proposal due date and the title “Digital Site Signs.” Proposals must be submitted with a cover letter signed by a principal or officer of the firm.

Proposals received after the date and time specified above will not be accepted for review and will be returned unopened to the responding Proposer. Proposals must be submitted to the following:

Responses to all questions of substantive nature will be posted on the SASI website under the RFP tab for the information of all Proposers. SASI will evaluate the viability of each question prior to answering. Any informal explanation, clarification, or interpretation will not bind SASI that is not incorporated into an addendum.

PROPOSER RESPONSIBILITY

The Proposer assumes the sole responsibility for the complete effort required in submitting a proposal in response to SASI’s RFP. No special consideration will be given after proposals are opened because of a Proposer’s failure to be knowledgeable as to all of the requirements of this RFP. SASI assumes no responsibility and bears no liability for cost incurred by a Proposer in the preparation and submittal of a proposal in response to this RFP.

REVIEW OF PROPOSALS

SASI reserves the right to reject any and all proposals received in response to this RFP, when determined to be in SASI and the College’s best interest, and to waive minor noncompliance in a proposal. SASI further reserves the right to make such investigations as it deems necessary as to the qualifications of any and all firms submitting proposals in response to this RFP. In the event that all proposals are rejected or if SASI, at any time, deems the number of qualified firms receiving designations as the result of this RFP to be insufficient to meet the potential needs of SASI and the College, or for any other reason, SASI reserves the right to re-solicit proposals. SASI shall not be deemed obligated at any time to award any contract to any Proposer.

cONTENTS OF PROPOSAL

Subsequent to proposal opening, all information submitted by Proposers in response to this solicitation is considered public information, except as may be exempted from public disclosure.

A Proposer may designate specific information as not subject to disclosure when the Proposer has a good faith legal/factual basis for such assertion. SASI reserves the right to make the determination concerning such assertion, and will advise the Proposer accordingly. The location in the proposal of any such designation should be clearly stated in a cover letter.
