1.5TheAgentundertakesnottoaccepttherepresentationofothershippingcompaniesnortoengageinNVOCCorsuchfreightforwardingactivitiesintheTerritory,whichareindirectcompetitiontoanyofthePrincipal’stransportationactivities,withoutpriorwrittenconsent,whichshallnotunreasonablybewithheld.
1.6ThePrincipalundertakesnottoappointanyotherpartyintheAgent’sTerritoryfortheservicesdefinedinthisAgreement.
1.7Theestablishedcustomofthetradeand/orportshallapplyandformpartofthisAgreement.
1.8Incountrieswherethepositionoftheagentisinanywaylegallyprotectedorregulated,theAgentshallhavethebenefitofsuchprotectionorregulation.
1.9AllaspectsofthePrincipal’sbusinessaretobetreatedconfidentiallyandallfilesandrecordspertainingtothisbusinessarethepropertyofthePrincipal.
2.0DutiesoftheAgent
2.1TorepresentthePrincipalintheTerritory,usinghisbestendeavourstocomplyatalltimeswithanyreasonablespecificinstructionswhichthePrincipalmaygive,includingtheuseofPrincipal’sdocumentation,termsandconditions.
2.2InconsultationwiththePrincipaltorecommendand/orappointonthePrincipal’sbehalfandaccount,Sub-Agents.
2.3InconsultationwiththePrincipaltorecommendand/ortoappointonthePrincipal’sbehalfandaccount,Stevedores,Watchmen,Tallymen,TerminalOperators,Hauliersandallkindsofsuppliers.
2.4TheAgentwillnotberesponsibleforthenegligentactsordefaultsoftheSub-AgentorSub-ContractorunlesstheAgentfailstoexerciseduecareintheappointmentandsupervisionofsuchSub-AgentorSub-Contractor.NotwithstandingtheforegoingtheAgentshallberesponsiblefortheactsofhissubsidiarycompaniesappointedwithinthecontextofthisClause.
2.5TheAgentwillalwaysstrictlyobservetheshippinglawsandregulationsofthecountryandwillindemnifythePrincipalforfines,penalties,expensesorrestrictionsthatmayariseduetothefailureoftheAgenttocomplyherewith.

3.1ActivitiesofAgent(Deletethosewhichdonotapply)
3.2MarketingandSales
3.11ToprovidemarketingandsalesactivitiesintheTerritory,inaccordancewithgeneralguidelineslaiddownbythePrincipal,tocanvassandbookcargo,topublicisetheservicesandtomaintaincontactwithShippers,Consignees,ForwardingAgents,PortandotherAuthoritiesandTradeOrganisations.
3.12Toprovidestatisticsandinformationandtoreportoncargobookingsanduseofspaceallotments.Toannouncesailingand/orarrivals,andtoquotefreightratesandannouncefreighttariffsandamendments.
3.13Toarrangeforpublicrelationswork(includingadvertising,pressreleases,sailingschedulesandgeneralpromotionalmaterial)inaccordancewiththebudgetagreedwiththePrincipalandforhisaccount.
3.14Toattendtoconference,consortiaand/oralliancemattersonbehalfofthePrincipalandforthePrincipal’saccount.
3.15ToissueonbehalfofthePrincipalBillsofLandingandManifests,deliveryorders,certificatesandsuchotherdocuments.
3.2PortAgency
3.21Toarrangeforberthingofvessels,loadinganddischargingofthecargo,inaccordancewiththelocalcustomandconditions.
3.22Toarrangeandco-ordinateallactivitiesoftheTerminalOperators,Stevedores,TallymenandallotherContractors,intheinterestofobtainingthebestpossibleoperationanddespatchofthePrincipal’svessel.
3.23Toarrangeforcallingforward,receptionandloadingofoutwardcargoanddischargeandreleaseofinwardcargoandtoattendtothetranshipmentofthroughcargo.
3.24Toarrangeforbunkering,repairs,husbandry,crewchanges,passengers,ship’sstores,spareparts,technicalandnauticalassistanceandmedicalassistance.
3.25TocarryoutthePrincipal’srequirementsconcerningclaimshandling,PImatters,GeneralAverageand/orinsurance,andtheappointmentofSurveyors.
3.26Toattendtoallnecessarydocumentationandtoattendtoconsularrequirements.
3.27Toarrangeforandattendtotheclearanceofthevesselandtoarrangeforallotherservicesappertainingtothevessel’smovementsthroughtheport.
3.28ToreporttothePrincipalthevessel’spositionandtoprepareastatementoffactsofthecalland/oraportlog.
3.29TokeepthePrincipalregularlyandtimelyinformedonPortandworkingconditionslikelytoaffectthedespatchofthePrincipal’svessels.
3.3ContainerandRo/RoTraffic
Where“equipment”isreferredtointhefollowingsectionitshallcomprisecontainer,flatracks,trailersorsimilarcargocarryingdevices,owned,leasedorotherwisecontrolledbythePrincipal.
3.31Toarrangeforthebookingofequipmentonthevessel.
3.32ToarrangeforthestuffingandunstuffingofLCLcargoattheportandtoarrangefortheprovisionofinlandLCLterminals.
3.33Toprovideandadministerapropersystem,ortocomplywiththeprincipal’ssystemforthecontrolandregistrationofequipment.ToorganiseequipmentstockwithintheTerritoryandmakeprovisionforstorage,positioningandrepositioningoftheequipment.
3.34TocomplywithCustomsrequirementsandarrangeforequipmentinterchangedocumentsinrespectofthemovementsforwhichtheAgentisresponsibleandtocontrolthesupplyanduseoflocks,sealsandlabels.
3.35Tomakeequipmentavailableandtoarrangeinlandhaulage.
3.36Toundertaketheleasingofequipmentintoandre-deliveryoutofthesystem.
3.37TooperateanadequateequipmentdamagecontrolsystemincompliancewiththePrincipal’sinstructions.Toarrangeforequipmentrepairsandmaintenance,whenandwherenecessaryandtoreportontheconditionofequipmentundertheAgent’scontrol.

GeneralAgency
3.41Tosupervise,activitiesandco-ordinateallmarketingandsalesactivitiesofPort,InlandAgentsand/orSub-agentsintheTerritory,inaccordancewithgeneralguidelineslaiddownbythePrincipalandtouseeveryefforttoobtainbusinessfromprospectiveclientsandtoconsolidatetheflowofstatisticsandinformation.
3.42Tosuperviseandco-ordinateallactivitiesofPort,InlandAgentsand/orSub-agentsassetforthintheagreement,inordertoensuretheproperperformanceofallcustomaryrequirementsforthebestpossibleoperationofthePrincipal’svesselintheG.A.’sTerritory.
3.43InconsultationwiththePrincipaltorecommendand/orappointonthePrincipal’sbehalfandaccountPort,InlandAgents,and/orSub-Agentsifrequired.
3.44ToprovidePort,InlandAgentsand/orSub-agentswithspaceallocationsinaccordancewiththePrincipal’srequirements.
3.45ToarrangeforanefficientrotationofvesselswithintheTerritory,incompliancewiththePrincipal’sinstructionsandtoarrangeforthemosteconomicaldespatchintheportsofitsareawithinthescopeofthesailingschedule.
3.46ToliaisewithPortAgentsand/orSub-agentsifandwhererequired,intheTerritoryinarrangingforsuchmattersasbunkering,repairs,crewchanges,ship’sstores,spareparts,technical,nautical,medicalassistanceandconsularrequirements
3.47ToinstructandsupervisePort,InlandAgentsand/orSub-AgentsregardingthePrincipal’srequirementsconcerningclaimshandling.PImattersand/orinsurance,andtheappointmentofSurveyors.AllexpensesinvolvedwithclaimshandlingotherthanroutineclaimsareforPrincipal’saccount.
3.5AccountingandFinance
3.51ToprovideforappropriaterecordsofthePrincipal’sfinancialpositiontobemaintainedintheAgent’sbooks,whichshallbeavailableforinspectionandtoprepareperiodicfinancialstatements.
3.52Tocheckallvouchersreceivedforservicesrenderedandtoprepareaproperdisbursementaccountinrespectofeachvoyageoraccountingperiod.
3.53ToadvisethePrincipalofallamendmentstoporttariffsandotherchargesastheybecomeknown.
3.54TocalculatefreightandotherchargesaccordingtoTariffssuppliedbythePrincipalandexerciseeverycareanddiligenceinapplyingalltermsandconditionsofsuchTariffsorotherfreightagreements.IfthePrincipalorganisesoremploysanorganisationforcheckingfreightcalculationsanddocumentationthecostsforsuchcheckingtobeentirelyforthePrincipal’saccount.
3.55TocollectfreightandrelatedaccountsandremittothePrincipalallfreightsandothermoniesbelongingtothePrincipalatsuchperiodicintervalsasthePrincipalmayrequire.AllbankchargestobeforthePrincipal’saccount.TheAgentshalladvisethePrincipalofthecustomarycredittermsandarrangements.IftheAgentisrequiredtograntcredittocustomersduetocommercialreasons,theriskinrespectofoutstandingcollectionsisforthePrincipal’saccountunlesstheAgenthasgrantedcreditwithouttheknowledgeandpriorconsentofthePrincipal.
3.56TheAgentshallhaveauthoritytoretainmoneyfromthefreightcollectedtocoverallpastandcurrentdisbursements,subjecttoprovidingregularcashpositionstatementstothePrincipal.
3.57TheAgentincarryingouthisdutiesunderthisAgreement shallnotberesponsibletothePrincipalforlossordamagecausedbyanyBanker,Brokerorotherperson,instructedbytheAgentingoodfaithunlessthesamehappensbyorthroughthewilfulneglectordefaultoftheAgent.TheburdenofprovingthewilfulneglectoftheAgentshallbeonthePrincipal.
4.0Principal’sDuties
4.1Toprovidealldocumentation,necessarytofulfiltheAgent’stasktogetherwithanystationeryspecificallyrequiredbythePrincipal.
4.2Togivefullandtimelyinformationregardingthevessel’sschedules,portsofcallandlinepolicyinsofarasitaffectstheportandsalesagencyactivities.
4.3ToprovidetheAgentsimmediatelyuponrequestwithallnecessaryfundstocoveradvancedisbursementsunlesstheAgentshallhavesufficientfundsfromthefreightscollected.
4.4ThePrincipalshallatalltimesindemnifytheAgentagainstallclaims,charges,losses,damagesandexpenseswhichtheAgentmayincurinconnectionwiththefulfilmentofhisdutiesunderthisAgreement.Suchindemnityshallextendtoallacts,mattersandthingsdone,sufferedorincurredbytheAgentduringthedurationofthisAgreement,notwithstandinganyterminationthereof,providedalways,thatthisindemnityshallnotextendtomattersarisingbyreasonofthewilfulmisconductornegligenceoftheAgent.

4.5WheretheAgentprovidesbonds,guaranteesandanyotherformsofsecuritytoCustomsorotherstatutoryauthoritiesthenthePrincipalshallindemnifyandreimbursetheAgentimmediatelysuchclaimsaremade,providedtheydonotarisebyreasonofthewilfulmisconductorthenegligenceoftheAgent.
4.6IfmutuallyagreedthePrincipalshalltakeovertheconductofanydisputewhichmayarisebetweentheAgentandanythirdpartyasaresultoftheperformanceoftheAgent’sduties.
5.0Remuneration
5.1ThePrincipalagreestopaytheagentandtheAgentaccepts,asconsiderationfortheservicesrendered,thecommissionsandfeessetforthonthescheduleattachedtothisAgreement.Anyfeesspecifiedinmonetaryunitsintheattachedscheduleshallbereviewedevery12monthsandifnecessaryadjustedinaccordancewithsuchrecognisedcostoflivingindexasispublishedinthecountryoftheAgent.
5.2ShouldthePrincipalrequiretheAgenttoundertakefullprocessingandsettlementofclaims,thentheAgentisentitledtoaseparateremunerationasagreedwiththePrincipalandcommensuratewiththeworkinvolved.
5.3TheremunerationspecifiedinthescheduleattachedisinrespectoftheordinaryandanticipateddutiesoftheAgentwithinthescopeofthisAgreement.ShouldtheAgentberequiredtoperformdutiesbeyondthescopeofthisAgreementthenthetermsonwhichtheAgentmayagreetoperformsuchdutieswillbesubjecttoexpressagreementbetweentheparties.Withoutprejudicetothegeneralityoftheforegoingsuchdutiesmayincludee.g.participatinginconferenceactivitiesonbehalfofthePrincipal,bookingfare-payingpassengers,sendingoutgeneralaveragenoticesandmakingcollectionsunderaveragebondsinsofarasthesedutiesarenotperformedbytheaverage adjuster.
5.4IftheTariffcurrencyvariesinvalueagainstthelocalcurrencybymorethan10%afterconsiderationofanycurrencyadjustmentfactorexistinginthetradethebasisforcalculationofremunerationshallbeadjustedaccordingly.
5.5AnyextraexpensesoccasionedbyspecificadditionalrequirementsofthePrincipalintheuseofcomputerequipmentandsystemsfortheperformanceoftheAgent’sdutiestothePrincipalshallbebornebythePrincipal.
5.6ThePrincipalisresponsibleforalladditionalexpensesincurredbytheAgentinconnectingitscomputerstoanynationalorlocalportcommunitysystem.
6.0Duration
6.01Thisagreementshallremain inforceasspecifiedinclause1.01ofthisAgreement.Anynoticeofterminationshallbesentbyregisteredorrecordedmail.
6.02
IftheAgreement foranyreasonotherthannegligenceorwilfulmisconductoftheAgentshouldbycancelledatanearlierdatethanontheexpiryofthenoticegivenunderclause1.01hereof,thePrincipalshallcompensatetheAgent.ThecompensationpayablebythFONASBA-StandardLinerandGeneralAgencyAgreement2001ePrincipaltotheagentshallbedeterminedinaccordancewithclause6.04below.
6.3IfforanyreasonthePrincipalwithdrawsorsuspendstheservice,theAgentmaywithdrawfromthisagreementforthwith,withoutprejudicetoitsclaimforcompensation.
6.4Thebasisofcompensationshallbethemonthlyaverageofthecommissionandfeesearnedduringtheprevious12monthsoriflessthan12monthshavepassedthenareasonableestimateofthesame,multipliedbythenumberofmonthsfromthedateofcancellationuntilthecontractwouldhavebeenterminatedinaccordancewithclause1.01above.Furthermorethegrossredundancypayments,whichtheAgentand/orSub-Agent(s)iscompelledtomaketoemployeesmaderedundantbyreasonofthewithdrawalorsuspensionofthePrincipal'sservice,ortermination
ofthisAgreement,shallalsobetakenintoaccount.
6.5TheAgentshallhaveagenerallienonamountspayabletothePrincipalinrespectofanyundisputedsumsdueandowingtotheAgentincludingbutnotlimitedtocommissions,disbursementsandduties.
7.0Jurisdiction
7.1a)ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofthecountryinwhichthe AgenthasitsprincipleplaceofbusinessandanydisputearisingoutoforinconnectionwiththisAgreementshallbereferredtoarbitrationinthatcountrysubjecttotheproceduresapplicablethere.

8.Travellingexpenses:WhentheAgentisrequestedbythePrincipaltoundertakejourneysofanysignificantdistanceand/orduration,alltravelexpensesincludingaccommodationandotherexpenseswillbeforthePrincipal’saccount.
9.DocumentaryandAdministrativeCharges:SuchchargestobeleviedasappropriatebytheAgenttocargointerestsandtoremainwiththeAgentevenifrelatedtothetradeoftheprincipal.
