SharePoint 2013 Migration Offer Terms & Conditions

This document sets forth details of the SharePoint 2013 MigrationOffer (“Offer”), including eligibility requirements and the obligations for bothMicrosoft Corporation (“Microsoft”) and the participating customer (“Customer”). By participating in the Offer, Customer has indicated acceptance of these terms and conditions.

Scope of Offer

As detailed below, if Customer meets the eligibility requirements of the Offer, Customer may be eligible to benefit from services to migrate certain content from on-premises SharePoint 2013 to Sharepoint Online and OneDrive for Business (“Services”). The customer must request the service between October 17, 2016 and March 31, 2017 (“Offer Period”).Content prepared and scheduled for migration before the expiration of the offer will be migrated even if the migration project extends beyond the end of the offer. For migrations to continue past the offer timeframe there must not be a pause or stop of project activities for more than 2 weeks during the project.

Adoption Offer Terms

Eligible Service

The migration offer includes both assessment and assisted migration of select SharePoint 2013 team sites and my sites to SharePoint Online and OneDrive for Business.

The Services connect SharePoint 2013 Migration customers to Microsoft specialists for a variety of migration activities. We agree to use commercially reasonable efforts to provide the Services. These activities include:

  • Conduct a migration walkthrough workshop covering the process and approach for the selected migration scenario.
  • Provide prerequisites for assessment and migration tools as applicable for the scenario.
  • Provide prerequisites for migration team access to the source and target environment for the purpose of assessment and migration.
  • Provide assessment tools to perform assessments of the target source environment, or provide instructions on how to use native source platform functions to create assessment reports.
  • Assist in deploying and running assessment and migration tools (if applicable).
  • Configure migration infrastructure in preparation for content migration (when applicable).
  • Conduct a limited test migration to validate the migration infrastructure and required prerequisites.
  • Provision out-of-the-box target SharePoint Online sites as a part of migration.
  • Conduct one pilot migration prior to velocity migration.
  • Provide guidance on migration scheduling for the selected scenario.
  • Conduct velocity migration waves of content according to the migration schedule defined by the FastTrack migration process, with input from the customer and validated by FastTrack resources.
  • Provide migration results after each migration wave.
  • Participate in velocity migration issues triage and provide guidance on potential remediation options.
  • Provide a final migration report for each velocity migration window.

Migration Limits

The total amount of data eligible for migration cannot exceed any of the following:

  • Total licensed users for the target Office 365 Tenant x 500MB
  • Example: 1500 users licensed for SPO = 732.5 GB
  • 10 TB per Office 365 Tenant
  • The total amount of storage purchased for the target Office 365 Tenant
  • 75% or more of the target site collection quota for each site migrated

Migration Scope

The content that will be migrated must meet the assessment criteria provided by the assessment tool. Some content may not eligible to migrate or will require Customer remediation prior to migration.

Customer Requirements

The Services depend upon Customer’stimely collaboration, as well as the accuracy and completeness of any information Customer provides.Failure to provide such cooperation and/or information may result in the inability to perform the Services. Microsoft shall have no liability for failure to perform Services under this Agreement, including, without limitation, if Customer does not comply with the obligations of this Agreement. Microsoft’s resources and our subcontractors’ resources may perform FastTrack Services remotely from our facilities or our partner’s facilities. The Customer’s responsibilities to consume the Offer include:

  • Provide project resources recommended for assessment and migration activities.
  • Provide infrastructure prerequisites for assessment and migration activities (if required).
  • Provide access and permissions to the source and target environments to Microsoft personnel to perform migration activities (if required).
  • Provide prerequisites and perform activities required to support assessment and migration.
  • Install FastTrack-provided assessment tools and complete assessment data gathering activities (if applicable).
  • Install FastTrack-provided migration software on-premises (if applicable).
  • Complete remediation activities outlined in the FastTrack-provided remediation report (if applicable).
  • Provide a migration schedule using FastTrack templates and guidance.
  • Conduct migration quality assurance and user acceptance testing.
  • Conduct post-migration migration remediation (if applicable).
  • Plan and implement change management and end user communications (if applicable).

SharePoint 2013 Migration will be conducted in batches of site collections using a multi-pass migration approach. Each batch will be approximately 500 (GB) in size and there will be approximately 500 site collections total.

Batches are migrated based on a predefined 24x7 schedule. Each batchconsist of two passes:

* First pass – Completed during business hours Monday through Friday.

* Second pass (incremental) – Scheduled within a 48-hour off-hour window (typically a weekend).

Migration scheduling will be further explained by the FastTrack team during the initial phase of your migration project.

Customer Eligibility Requirements

Customer musthave an active Office 365 plan with at least 150 seatsof SharePoint 2013 at the time of Offer request. Customer must also have an eligible plan as identified in the FastTrack Center Benefit for Office 365.

In addition to these Terms and Conditions, Microsoft may insist on additional requirements, limitations and customer obligations, including without limitation Customer eligibility criteria, eligible products and/or source environments, and minimum system requirements. Such additional eligibility requirements, limitations, and obligations are subject to change from time to time in Microsoft’s discretion. Unless otherwise agreed upon by Microsoft and you, such additional eligibility requirements, limitations, and obligations will only apply to Services that have not begun before the Services Commencement Date.

Offer Timing

This Offer will be available to request starting in October 2016 and must be requested prior to the Offer end date of March 31, 2017. Content prepared for and scheduled for migration before the expiration of the Offer will be migrated even if the migration project extends beyond the end of the Offer. For migrations to continue past the Offer timeframe there must not be a pause or stop of project activities for more than two weeks. The Services must conclude within 12 months from the Services’ commencement date.

Cost

There is no fee for this Offer. However, depending on the type of migration, you may incur additional costs, such as:

  • Cost for server infrastructure on-premises to support the migration
  • Cost for Windows licenses for infrastructure on-premises
  • Azure drive shipping costs if drive shipping used to ship content to the FastTrack migration factory

Publicity

Customer may be offered to be featured in a written case study and other promotional materials, detailing Customer’s selection and use of Microsoft Office 365 technologies; including Company quotes, logos and imagery.Customer’s approval to be featured in publicity would be required before any publicity occurs.

Sharing of Information

Customer agrees to share information with Microsoft about forecasts and progress of Adoption upon request.

Voiding of Offer

Any non-compliance with the terms of this Offer will void the Offer. In such circumstances, the Partner will have to refund to Microsoft all adoption investment funds Microsoft has paid to the Partner pursuant to the Offer. Microsoft also reserves the right to pursue all other legal and equitable remedies available under applicable law.

Offer Disputes

For any disputes regarding the Offer, Customer must contact Microsoft in writing by completing a support requestat fasttrack.microsoft.com or emailing ithin 30 days of the disputed event. After 30 days, the Offer shall be treated in all respects as final.

Liability

Although Customers have been approved by Microsoft to participate in this Offer, they are not affiliated with Microsoft and do not have authority to bind or impose any obligation or liability on Microsoft. Except as otherwise set forth in a separate agreement between Microsoft and Customer, to the maximum extent permitted by applicable law, Microsoft will not be liable for any damages arising from the Services that may be provided to a Customer in connection with this Offer.

Indemnity

Customer will at all times indemnify Microsoft against any loss, costs, expenses or liability, whether direct or indirect, arising out of the breach of the terms of this Offer by Customer. This indemnity will survive the expiration or termination of the Offer.

Termination of or Changes to Offer

Microsoft, in its sole discretion, may terminate, modify, or revise the terms of this Offer at any time. Modifications may include, but are not necessarily limited to, the SKUs eligible for the Offer, the scope included in the Offer, or the Customer’ eligibility for the Offer. Customer may terminate its participation in the Offer at any time by notifying Microsoft in writing.

Applicable Law

The laws of the State of Washington govern the terms of this Offer.

Relationship of the Parties

Neither the terms of this document as a whole nor any specific term or condition relating to the Offer will be interpreted as creating a partnership, joint venture, agency or franchise between Microsoft and Customer.

FAQs

To the extent the FAQs provide additional information regarding this Offer, they are fully incorporated by reference herein; provided, however, that to the extent of any inconsistency between the Terms and Conditions and the FAQs, these Terms shall prevail and govern theFastTrack Center Benefit for Office 365
