  1. Comment on Remuneration Policy/Report

The policy is worded well, runs over 23 pages and is in narrative, graphic and numerical format. Key performance indicators and clear targets are provided to the extent required to recalculate bonuses, and this means that a responsible investor can hold the company to account in this respect.

The cash remuneration paid to the chief executive amounts to 1 050,0 times a notional R60000 salary (at an exchange rate of USD1 = ZAR14,00) while the chairman received a ratio of 280,0 times. The CEO remuneration ratio is regarded to be extremely high and socially unacceptable.

  1. Comment on Social and Environmental matters:

The company has a significant sustainability report of some 74 pages covering a wide variety of aspects.

Work-related fatalities have increased from zero in F2014 to five in F2015. The group had 80368 employees and contractors at end F2015, compared with 123803 at end F2014.

It mentions (p203 of the annual report) 13 environmental fines totalling USD32454.

It has also been charged with using transfer pricing to avoid or evade taxes in the amount of USD522m. The case is in process.

  1. Comment on King III compliance register

Barclays Africa reports the following non-compliance to the King II guidelines:

BHP Billiton does not need to publish a King III compliance register. It appears to benchmark its corporate governance practices against the USA (NYSE) standards. A significant difference is highlighted on p162 of the annual report.

There are currently no signs that BHP Billiton is involved, or plans to become involved in areas that would be objectionable in terms of the RAITH criteria.
